This agreement is between the undersigned client and Party Baby USA, LLC, DBA BASH at 6203 Edloe Street, Suite A and PB 77005, LLC, Suite B, West University Place, Texas 77005

BASH PRIVATE BUYOUT AGREEMENT

BOOKING & PAYMENT

A non-refundable deposit equal to 50% of the contracted Private Buyout Fee is required to reserve your event date.

The Beverage Minimum is not collected in advance and is not included in the deposit.

Your event date is not reserved until the required deposit has been successfully processed.

The remaining Private Buyout Fee, beverage charges, food and catering charges, event add-ons, applicable service charge, sales tax, and any other contracted charges will be calculated and charged to the credit card on file.

By booking, the client authorizes BASH to process the final event balance and any applicable contracted charges to the card on file.

YOUR FINAL INVOICE MAY INCLUDE:

Remaining Private Buyout Fee
Beverage purchases or applicable Beverage Minimum shortfall
BASH catering
Outside Food Service Fee, when applicable
Additional staffing or bartenders requested by the client or required by BASH
BASH Event Support, when selected
Additional event or setup time
Furniture removal or storage fees
Vendor charges or other requested services
Excessive cleaning or damage charges, when applicable
20% service charge
Applicable sales tax

BASH reserves the right to require additional staffing based on final guest count, event format, beverage service, or other event needs. Any required additional staffing will be communicated to the client in advance whenever reasonably possible.

BEVERAGE MINIMUM

The Beverage Minimum is separate from the Private Buyout Fee and is not prepaid. It is the minimum amount you will be charged for beverages during your event, regardless of actual consumption.

All beverages purchased during the event are charged at the applicable menu price and applied toward the Beverage Minimum.

If beverage purchases are less than the contracted Beverage Minimum, the final beverage charge will be the full Beverage Minimum. If purchases exceed the Beverage Minimum, the final beverage charge will be the actual amount purchased.

Any unused portion of the Beverage Minimum is non-refundable and has no cash or credit value.

PRIVATE BUYOUT OPTIONS

TUESDAY & WEDNESDAY MINI PRIVATE BUYOUT

3 Consecutive Hours | 6:00 PM–9:00 PM | Up to 25 Guests

$1,000 Private Buyout Fee + $500 Beverage Minimum

Enjoy exclusive access to BASH from 6:00 PM–9:00 PM with one dedicated bartender.

The Mini Private Buyout includes up to 25 guests.

Additional guests are $75 per person, up to a maximum of 30 guests.

WEDNESDAY–FRIDAY PRIVATE BUYOUT

4-HOUR EXPERIENCE

4 Consecutive Hours | Up to 60 Guests

$2,000 Private Buyout Fee + $1,500 Beverage Minimum

Available for four consecutive hours during the applicable private-event window.

Includes dedicated BASH bartending staff appropriate for the size and format of the event.

6-HOUR EXPERIENCE

6 Consecutive Hours | Up to 60 Guests

$2,500 Private Buyout Fee + $2,000 Beverage Minimum

Available for six consecutive hours during the applicable private-event window.

Includes dedicated BASH bartending staff appropriate for the size and format of the event.

SATURDAY PRIVATE BUYOUT

6 Consecutive Hours | Up to 80 Guests

$2,500 Private Buyout Fee + $2,500 Beverage Minimum

Available for six consecutive hours between 6:00 PM–1:00 AM.

Includes two dedicated BASH bartenders.

For guest counts exceeding 80 attendees, the Party Baby Extended Guest Experience must be added as adjoining event space.

Combined maximum capacity: 145 guests.

PARTY BABY ADD-ON OPTIONS

STAGING & SUPPORT SUITE — $1,500

Party Baby may be added as a behind-the-scenes support space for catering setup, vendor staging, storage of personal items, or other event operations.

The Staging & Support Suite does not include use of Party Baby as guest or entertainment space.

EXTENDED GUEST EXPERIENCE — $2,500

Full use of Party Baby as additional entertainment and guest gathering space.

The Extended Guest Experience is required for BASH events exceeding 80 guests and includes one additional dedicated bartender.

When Party Baby is added to a Saturday BASH Private Buyout as the Extended Guest Experience, the combined Beverage Minimum for both venues is $3,000.

All eligible beverages purchased in either BASH or Party Baby count toward the combined Beverage Minimum.

SIGNATURE EVENT BAR

Private Buyout clients may select a BASH Signature Event Bar menu, featuring a curated selection of Signature Cocktails, Spritzes, and featured wines at $15 each.

Signature Event Bar purchases count toward the contracted Beverage Minimum.

Guests may also order beverages from the full BASH bar. Beverages not included on the selected Signature Event Bar menu are charged at regular BASH menu pricing and also count toward the Beverage Minimum.

Beer, non-alcoholic beverages, premium spirits, Champagne, specialty pours, shots, doubles, and other beverages not included on the selected Signature Event Bar menu are charged at regular BASH menu pricing.

The Signature Event Bar is available only with Private Buyout Experiences and is not available with Private Hourly Rentals or Mahjong Rentals.

FOOD & CATERING

Clients are welcome to bring in their own caterer or allow BASH to curate and coordinate a menu for the event.

When BASH arranges the catering, there is no Outside Food Service Fee.

Client-selected outside food or catering is subject to a $200 Outside Food Service Fee. This fee covers reasonable assistance with food arrival and placement, cleanup, and additional trash removal.

The Outside Food Service Fee is waived when BASH Event Support is added.

Food and catering purchases do not count toward the Beverage Minimum and do not reduce the Private Buyout Fee.

BYOB is not permitted. All alcoholic and non-alcoholic beverages must be purchased through BASH.

SETUP & VENDOR ACCESS

Complimentary vendor access is included prior to your contracted event start time:

Mini Private Buyout: Up to 1 hour prior
4-Hour Private Buyout: Up to 2 hours prior
6-Hour Private Buyout: Up to 3 hours prior

This time is intended for vendor arrival, décor installation, catering setup, and other event preparation. It is not additional event time, and guests may not arrive during the setup period.

Additional setup time may be arranged for $200 per hour, subject to availability.

All guests must exit BASH by the contracted event end time. Vendors have up to 30 minutes following the event to remove approved décor, rentals, and event materials.

ADDITIONAL EVENT TIME

Additional event time may be added, subject to availability and venue operating hours, for $600 per hour.

This charge applies to BASH only and does not include overtime charges imposed by DJs, entertainers, caterers, photographers, planners, or other outside vendors.

Any outside-vendor extension charges are the client's responsibility.

We recommend booking your full desired event time in advance.

BASH EVENT SUPPORT — $400

A BASH manager will be onsite throughout your event to oversee the venue and BASH staff and assist with general venue needs, bar service, music and lighting adjustments, trash removal, cleanup, and basic event-related questions. This standard venue support is included with your Private Buyout.

For clients who would like additional hands-on event assistance, BASH Event Support may be added for a $400 flat fee.

BASH Event Support includes assistance with event flow and timeline, basic décor placement, food setup and replenishment, vendor arrivals and setup, guest flow, food-area maintenance, and vendor breakdown.

BASH Event Support does not include event design, extensive decorating, offsite errands, vendor sourcing or contracting, or full-service food and beverage service.

Additional service staff may be required based on guest count, event format, or service needs.

EVENT PLANNERS & VENUE COORDINATION

Professional event planners and coordinators are always welcome.

One complimentary onsite planning visit of up to one hour is included.

For events requiring additional planner access or substantial pre-event venue coordination, Extended Planner Access is available for $300.

Extended Planner Access includes reasonable pre-event email correspondence and coordination with BASH regarding venue access, setup requirements, vendor logistics, lighting, music, and other venue-related details.

Additional onsite planning visits beyond the complimentary visit are limited to one hour and are $50 per visit.

The outside planner remains responsible for event planning and design, décor, vendor management, timeline management, setup oversight, and overall event execution.

BASH remains responsible for the venue, bar operations, and BASH staff.

FURNITURE REMOVAL

Furniture-removal requests must be finalized no later than 30 days before the event, or at the time of booking for events reserved within 30 days.

Furniture removal fees are:

Sofa — $75 each
Side Chair — $50 each
Bar Stool — $25 each
High-Top Table — $25 each
Side/Coffee Table — $45 each
Mobile Secondary Bar — $400
Buffet — $150
Plants, Lamps & Countertop Décor — $25 each

A flat $250 overnight storage fee applies to events requiring removal of more than 50% of BASH furniture.

CLEANING & DAMAGE

Normal event cleanup is included.

An excessive cleaning fee of $200 or more may be assessed when cleanup exceeds normal event use, based on the extent of additional cleaning required.

The client is responsible for the cost of repairing or replacing BASH or Party Baby property damaged by the client, guests, vendors, or other persons associated with the event.

LAST CALL & RESTROOMS

Last call will take place 20 minutes prior to the contracted event end time, with no exceptions.

BASH includes one private restroom. Party Baby includes one private restroom when Party Baby has been contracted for the event.

SERVICE CHARGE & TAX

A 20% service charge applies to all charges associated with the event, including Private Buyout Fees, beverage purchases or Beverage Minimum shortfalls, food and catering, Party Baby fees, additional event time, staffing, furniture removal, and other applicable event services or add-ons.

Applicable sales tax is additional.

The portion of the service charge attributable to beverages is distributed to the BASH bar team as gratuity. The remaining portion is retained by BASH to support staffing, administration, venue operations, and event services.

BASH does not add a separate liquor-tax charge. BASH is responsible for the applicable Texas mixed beverage gross receipts tax associated with alcoholic beverage sales.

HOLIDAY & HIGH-DEMAND DATES

Holiday and high-demand dates may be subject to premium pricing, increased Beverage Minimums, and/or minimum rental requirements.

This includes Thanksgiving week, December holiday dates, New Year's Eve, New Year's Day, and other peak-demand dates or dates requiring additional staffing or special scheduling.

Applicable pricing will be provided before booking and incorporated into the event agreement.

CANCELLATION & RESCHEDULING

Cancellation

All deposits are non-refundable.

If an event is cancelled 31 days or more before the scheduled event date, the deposit will be forfeited and will not be refunded.

Cancellations made 30 days or fewer before the scheduled event date are responsible for the full contracted Private Buyout Fee, contracted Beverage Minimum, applicable 20% service charge, and sales tax, plus any approved custom décor, rentals, catering, vendor services, or other non-refundable expenses incurred by BASH on the client's behalf.

Any amounts previously paid will be credited toward the amount due. The client authorizes BASH to charge the remaining balance to the credit card on file.

Rescheduling

Requests to reschedule must be made at least 31 days before the scheduled event date and are subject to BASH availability.

One reschedule is permitted, and the new event must take place within six months of the original event date. The deposit may be transferred one time to the new event.

Requests made 30 days or fewer before the event date will be treated as a cancellation and subject to the cancellation terms above unless otherwise approved by BASH.

If the new date carries a higher Private Buyout Fee, Beverage Minimum, holiday premium, or other applicable pricing, the client is responsible for the pricing applicable to the new event date.

BASH reserves the right to make exceptions to this policy at its sole discretion.
