BASKET & BIKE RELEASE, WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNIFICATION AND PARTICIPATION AGREEMENT 

Tour Location:[Charles City County, Virginia; James City County, Virginia, Henrico County, Virginia; City of Richmond, Virginia, Town of Ashland, Virginia; City of Hopewell, Virginia, Prince George County, Virginia]
I, the undersigned individual, have requested permission to participate in activities relating to [Basket & Bike] (collectively, “Activities”). I understand the dangers and risks involved in participating in the Activities. IN CONSIDERATION for allowing me to participate in the Activities, I, on behalf of myself, my personal representatives, heirs, next of kin, successors and/or assigns, warrant and represent that I am at least eighteen (18) years of age, and I:

1. ASSUME FULL RESPONSIBILITY FOR ANY RISK OF BODILY INJURY, DEATH OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO THE ACTIVITIES AND FOR ALL LIABILITY TO ME, OR TO MY personal representatives, assigns, successors, heirs, next of kin or wards.

2. RELEASE, WAIVE, DISCHARGE AND COVENANT NOT TO SUE [Basket & Bike], and its parent, affiliates and related companies; [Upper Shirley Vineyards], and and their respective parents, affiliates; [Wedmore Place, LLC and the Williamsburg Winery], and their respective parents, affiliates; [The Jefferson Hotel], and their respective parents, affiliates; [The Henry Clay Inn],and their respective parents, affiliates; [Edgewood Plantation Bed & Breakfast], and their respective parents, affiliates;  their respective representatives, officers, directors, employees and agents and those in privity with them and the parents or affiliated entities of each of them, all for the purposes herein referred to as “RELEASEES”, FROM ANY AND ALL LOSS OR DAMAGE, AND ANY CLAIM OR DEMANDS THEREFOR ON ACCOUNT OF INJURY TO PERSON OR PROPERTY, OR RESULTING IN DEATH, ARISING OUT OF OR RELATED TO THE ACTIVITIES, WHETHER CAUSED, IN WHOLE OR IN PART, BY THE SOLE OR CONCURRENT NEGLIGENCE OR WRONGDOING, STRICT LIABILITY OR FAULT OF THE RELEASEES OR OTHERWISE.

3. Agree that this Release, Waiver of Liability and Assumption of Risk and Indemnification Agreement extends to all acts of negligence or wrongdoing by the Releasees, and is intended to be as broad and inclusive as is permitted by the laws of the Commonwealth of Virginia and that if any portion hereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

4. AGREE TO INDEMNIFY, DEFEND, AND SAVE AND HOLD HARMLESS the RELEASEES and each of them FROM ANY claim or demand brought by or on my behalf for any LOSS, LIABILITY, or DAMAGE arising out of or related to the Activities, WHETHER CAUSED BY THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ATTORNEY’S FEES, LITIGATION EXPENSES AND COURT COSTS.

5. Agree that I may be photographed, filmed and/or otherwise recorded for publicity purposes, and that my name, voice, image and likeness may appear in any medium or media now known or hereinafter devised, an unlimited number of times, without any compensation to me for such use.

6. Understand that this document refers to and covers events that may take place after it is signed, and the exact nature of any injury or loss I may suffer as a result of my participation in the Activities may not be entirely foreseeable.

7. Agree that if any portion hereof is held invalid, the balance shall, notwithstanding, continue in full legal force and effect.

I HAVE READ THIS ENTIRE RELEASE CAREFULLY AND I FULLY UNDERSTAND THERE ARE CERTAIN DANGERS INHERENT IN THE ACTIVITY WHICH CANNOT BE AVOIDED OR ELIMINATED. I FULLY UNDERSTAND THE RELEASE’S TERMS AND THAT I GIVE UP SUBSTANTIAL RIGHTS BY SIGNING IT. I SIGN IT VOLUNTARILY, KNOWINGLY AND WILLINGLY, WITHOUT ANY INDUCEMENT, AND MY SIGNATURE BELOW IS A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW. I HAVE THE RIGHT TO REFUSE TO SIGN THIS FORM, AND THE RELEASEES HAVE THE RIGHT TO REFUSE TO LET ME PARTICIPATE IN THE ACTIVITIES IF I DO NOT SIGN THIS FORM.
