TRAPOLOGY BOSTON RELEASE AND WAIVER AGREEMENT

TODAY'S DATE: April 19, 2024

Gray Matter, LLC operates and/or conducts live escape games (“Trapology Boston”). Participating in a live escape game can or could result in serious injuries or death to the Participant (the “Participant”). The Participant, and if applicable the minor’s legal parent or guardian (“Participant’s Representative”), by executing his or her signature to this release, does hereby release, waive, discharge and covenant not to sue Gray Matter, LLC, its officers, members, promoters, owners, employees, contractors or business partners from any and all liability, injuries, or any and all other claims and damages as a result of participating in an event sponsored by Gray Matter, LLC. Furthermore, the Participant and/or Participant’s Representative, on behalf of his or her personal representatives, assigns, heirs, and next of kin, does hereby release any and all claims, damages, injuries, incurred by the Participant in regards to the participation in such events. Participant and Participant’s Representative agree to hereby release any and all claims, of whatever kind of nature, present and future, damages and injuries.

Participant and/or Participant’s Representative further agree to indemnify, hold harmless and defend Gray Matter LLC and its officers, agents, and employees from any and all claims from injuries, including death, damages and losses sustained by Participant arising out of, connected with, or in any way associated with the activities of the Trapology Boston event.

Participant and Participant’s Representative assumes full responsibility for and risk of bodily injury, paralysis, death or property damage or theft due to negligence or non-negligence of Grey Matter, LLC, its owners, employees, contractors in the Trapology Boston event. The undersigned further acknowledges that he/she is voluntarily participating despite the risk of falls, contact and/or crashes with other participants, employees, defective equipment, and the condition of the room.

Participant in consideration of being permitted to participate in the Trapology Boston event acknowledges and assumes the risks and hazards involved in and arising from the attending, participating in, or as a spectator or bystander, of any event at Trapology Boston including, but not limited to the additional risks of being hit by flying objects, falling, making contact with other participants and actors and other unforeseen consequences, and does for himself or herself, his or her heirs, executors, administrators, and assigns, release and forever discharge Gray Matter, LLC, their contractors and actors of and from any and every claim, demand, action or right of action, of whatsoever kind of nature, either in law or in equity arising from or by reason of any bodily injury or personal injuries known or unknown, death and/or property damage resulting or to result from any accident which may occur as a result of participation in Trapology Boston or any activities in connection with Trapology Boston, whether by negligence or non-negligence or from any and all other incidents of harm and/or ill-will.

Participant and/or Participant’s Representative agree that Gray Matter, LLC or any of its assign's has the right to photograph or record Participants during the Trapology Boston event or on the premises.  Participant and/or Participant’s Representative agree that these photos, video footage and sound materials are the sole property of Gray Matter LLC or its assigns and may be used for in promotion, marketing, posting or the like, in the sole discretion of Gray Matter LLC, without any compensation.

In the event of any emergency, Participant and/or Participant’s Representative authorize an employee or representative of Gray Matter LLC to call emergency medical personnel and will not be held liable for any care rendered and Participant will be solely responsible for payment of any and all medical services rendered, however Gray Matter LLC does not employ medical professionals and shall not be held liable in the event that they do not enlist professional medical assistance.

In order to ensure the safety and enjoyment of all, Participant agrees and acknowledges the Gray Matter LLC has the right to remove any Participant from the Trapology event and premises at any time, if in their sole opinion of a Gray Matter LLC employee or representative, Participant is acting disorderly. Participant shall have no right to a refund and may be asked not to return in the future.

Gray Matter LLC may maintain your signatures and this release and waiver on file for use during future Trapology Boston events without the request for you to sign it again. All terms and conditions shall still apply. If at any point you wish to withdraw your consent you may do so in writing but shall not be permitted to participate in Trapology Boston events until a new release and waiver is signed.

Participant and/or Participants Representative agree to Trapology Boston Terms and Conditions that are all sales final and they will not be entitled to a refund for any purchase under any circumstance. 

I agree not to disclose, broadcast, advertise, post online, or use in any competing business or business context, any "confidential information" including the method and puzzle plans, solutions, operation techniques, and other proprietary information regarding the games and facilities.

I hereby consent that the Participant may participate in Trapology Boston event and I hereby voluntarily and with full understanding execute this Release and Waiver Agreement, on his/her behalf. I hereby affirmatively state that the said Participant is physically able to participate in said activity. I hereby agree to indemnify and hold the persons and entities mentioned above free and harmless from any loss, liability, damage, cost or expense that they may incur as result of the death or any injury or property damage that said Participant may sustain while participating in activities.
