release of liability and assumption of risk Agreement


THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY BEFORE DECIDING WHETHER TO SIGN.

In consideration of the use of an infrared sauna (the “Sauna”) owned by Odyssey Climbing Co., LLC, a Wisconsin limited liability company (“OCC”), and located at OCC’s indoor rock climbing gym (“Gym”) at 4150 N. Galaxy Drive, Grand Chute, Wisconsin (“Premises”), I, an adult visitor (18 years of age or older) (“Participant”), understand, acknowledge and agree as follows:

Sauna: This Release of Liability and Assumption of Risk Agreement (this “Agreement”) applies to all use of the Sauna by Participant during any visit to the Gym or Premises.

Activities: While an orientation may be provided for use of the Sauna, I will not assume that I am being supervised or observed in my use of the Sauna (and I acknowledge that I may not be). I understand that I must obey all posted and/or communicated Sauna rules (the “Rules”) at all times during use of the Sauna, including but not limited to time limits, hydration requirements, temperature exposure limits, and occupancy restrictions. I acknowledge that failure to follow such Rules constitutes misuse of the Sauna, which may result in restrictions on my future use of the Sauna, as determined by OCC in its sole discretion. I understand that all Sauna users must be 18 years of age or older and must be members of OCC, and I acknowledge, represent and warrant that I am 18 years of age or older and a member of OCC. Participant agrees not to use the Sauna while under the influence of alcohol, drugs, or any substance that may impair judgment or physical condition. Participant agrees to immediately exit the Sauna if they experience dizziness, nausea, discomfort, or any unusual symptoms.

Risks: By accessing or using the Sauna, Participant voluntarily assumes all risks associated with use, including but not limited to heat exposure, Sauna malfunctions, slippery conditions, actions or omissions of Participant or other Sauna users, misuse of the Sauna, confined spaces and close proximity to other Sauna users and equipment, aggravation of underlying conditions and other adverse health effects (the “Risks”). Participant understands that by using the Sauna, Participant may be exposing themself to the Risks and others, inherent or not, which may result in all manner of trauma including breaks, sprains, abrasions, loss of consciousness, dizziness, heat stroke / exhaustion, burns, dehydration and complications from dehydration, and claustrophobia. Participant expressly assumes, waives, releases, and discharges OCC, its owners, employees, and affiliates (collectively, the “Released Parties”) from any and all liability arising from or relating to Participant’s use of the Sauna, including claims arising from or relating to ordinary negligence of Participant or OCC (including its owners, employees, and affiliates), Participant’s own actions or inactions, or actions or inactions of other individuals at the Gym, on the Premises or in or around the Sauna, to the fullest extent permitted by law. Participant represents that they are in good physical condition and have consulted a licensed physician if necessary for use of the Sauna. Use of the Sauna constitutes your agreement to these terms and to use the Sauna responsibly and at your own risk. The Risks and others are inherent to use of the Sauna; they cannot be eliminated without destroying the basic nature of using the Sauna.

Participant understands that use of an infrared sauna may not be safe for individuals with certain medical conditions, including but not limited to:

  • cardiovascular conditions (e.g., heart disease, high/low blood pressure)
  • pregnancy
  • use of medications that impair heat tolerance
  • history of fainting, dizziness, or heat sensitivity
  • respiratory conditions
  • recent illness or alcohol/drug use

 

Participant affirms that they are not aware of any medical condition that would make their sauna use unsafe, or have received a physician’s approval prior to use.

Release and Indemnity: I agree to release and discharge and not to sue the Released Parties with respect to any claim, liability, demand, loss, or damages that I may suffer related in any way to my use of the Sauna and related activities, caused or alleged to be caused in whole or in part by any of the following: (1) negligence of the Released Parties; (2) my own actions or inactions; or (3) actions or inactions of any other individuals at the Gym or Premises or in or around the Sauna. I agree to defend, indemnify, and hold harmless (that is, to defend and pay or reimburse damages and costs, including attorneys’ fees) the Released Parties from any loss, liability, damage, or cost that the Released Parties may incur if, despite this Agreement, I, or anyone on my behalf, makes a claim against the Released Parties related in any way to my activities related to the Sauna. The foregoing agreements of release and indemnity include loss or damage caused or claimed to be caused in whole or in part by the negligence, but not the intentional wrongs or recklessness, of a Released Party.

Participant understands that the Sauna is provided for recreational purposes only and is not a medical or therapeutic service. OCC does not provide medical supervision, monitoring, or advice.

Other:

In the event I suffer any injury (of any kind, however minor) while at the Gym or Premises or while using the Sauna, I agree to notify an employee of OCC immediately.

Use of the Sauna is limited to registered members of OCC with an active reservation. Participant acknowledges that access is logged and monitored for safety and compliance purposes.

The terms of this Agreement and any dispute between a Released Party and myself related to this Agreement or otherwise, will be governed by the substantive laws (not including laws which might apply the laws of another jurisdiction) of the State of Wisconsin. Any suit or mediation of the dispute will take place solely in Brown County, Wisconsin. I consent to the jurisdiction of such courts, for myself.

This Agreement is intended to be binding, to the fullest extent permitted by law, on all persons signing below and their respective successors, heirs, executors, administrators and family members. It may not be altered without the written agreement of both myself, for myself, and OCC. If any part of this document is deemed by a court of competent jurisdiction to be unenforceable, the remainder shall nevertheless be in full force and effect.

This Agreement will govern visits to the Gym and Premises and use of the Sauna on the date on which it is signed and thereafter until it is withdrawn or replaced by a subsequent agreement which will apply to visits thereafter.

This is not a take-it-or-leave-it offer. The terms of this Agreement, including the agreements of release and indemnity, are subject to negotiation, which may include enlargement of fees or other financial obligations for myself. I acknowledge and agree that I may request and negotiate particular changes to this Agreement in order to allocate the Risks.

I have read and consent/agree to the terms and conditions herein, on behalf of myself, and I understand that I have given up substantial rights by signing this Agreement, and have signed this Agreement freely and without any inducement or assurance of any nature.

WARNING: A person who falsifies his or her signature below or misrepresents the capacity (for example, as being at least 18 years old) in which they sign will be considered a FORGER and in addition to other civil and criminal penalties will be deemed to have agreed to indemnify the Released Parties from and against any claim of loss asserted by or on behalf of a person whose visit to the Gym or Premises or use of the Sauna was facilitated by that forgery.

I HAVE READ THIS AGREEMENT AND UNDERSTAND AND ACCEPT ITS TERMS. I UNDERSTAND THAT I HAVE THE RIGHT TO REQUEST DIFFERENT TERMS, BUT BY SIGNING THIS AGREEMENT, I WAIVE THIS RIGHT AND AGREE TO THE TERMS CONTAINED IN THIS AGREEMENT.
