Alta Adventures Liability Waiver

Release and Waiver of Liability Agreement


In consideration of the services of Alta Adventures, LLC., its agents, owners, officers, volunteers, participants, employees, and all other persons or entities acting in any capacity on its behalf (collectively, “Alta Adventures”), I, on behalf of myself and any minor children named below, hereby enter into this Release and Waiver of Liability Agreement (this “Agreement”) and agree to release, indemnify, and discharge Alta Adventures, on behalf of myself, my spouse, my children, my parents, my heirs, assigns, personal representatives and estate as follows:

1. Description of Risks. I acknowledge that outdoor adventure-based activities, including but not limited to, rock & ice climbing, mountaineering, and mountain biking (each, an “Activity”), entail known and unanticipated risks that could result in physical or emotional injury, paralysis, death, or damage to myself, to property, or to third parties. I understand that such risks simply cannot be eliminated without jeopardizing the essential qualities of the activity. The risks include, among other things: the hazards of walking on uneven terrain and slips and falls; being struck by rockfall, icefall or other objects dislodged or thrown from above; the use and potential or actual failure of climbing ropes and equipment; the forces of nature, including lightning, weather changes and avalanche; the risks of falling off the rock, mountain or into a crevasse; the risks of exposure to wild animals or insect bites; accidents involving other bicycles or vehicles; collision with fixed or movable objects; injuries or accidents involving contact with the bicycle; falls from the bicycle; the negligence of other operators of motor vehicles or myself; exposure to temperature and weather extremes which could cause hypothermia, hyperthermia (heat related illnesses), heat exhaustion, sunburn, dehydration; the risk of altitude and cold including hypothermia, frostbite, acute mountain sickness, cerebral and pulmonary edema; travel in remote areas with poor or no access to emergency and/or medical services; accidents or illness can occur in remote places without medical facilities and emergency treatment or other services rendered; consumption of food or drink; and improper lifting or carrying; my own physical condition, and the physical exertion associated with this activity. I understand that Alta Adventures guides and employees will make reasonable efforts to ensure my safety, but I acknowledge that they are not infallible and may make errors in judgment. I understand that I cannot and should not rely solely on Alta Adventures employees for my safety, and that I must exercise my own judgment and take responsibility for my safety at all times. I acknowledge that guides and employees maybe unaware of a participant’s fitness or abilities, may misjudge the weather or other environmental conditions, may give incomplete warnings or instructions, and that equipment may malfunction despite their best efforts. I accept these limitationsand assume full responsibility for my own safety during all Activities.

2. Voluntary Assumption of Risks. I understand and acknowledge that the Activity or Activities I want to participate in may be dangerous and may involve the risk that I will sustain serious injury, temporary or permanent disability, death, and/or property damage. I understand that the Activity or Activities may not be fully supervised and that Alta Adventures does not provide medical services. I further acknowledge that any injury I may sustain while participating in any Activity may be compounded by negligent or delayed medical service or negligent or delayed assistance by Alta Adventures. I VOLUNTARILY AND FREELY ASSUME ALL RISKS AND DANGERS THAT MAY OCCUR PURSUANT TO MY PARTICIPATION IN ANY AND ALL ACTIVITIES, INCLUDING THE RISK OF INJURY, DEATH, OR PROPERTY DAMAGE, EVEN IF CAUSED BY NEGLIGENCE OF THE COMPANY.

3. Release and Wavier of Liability. I hereby agree, on behalf of myself, my heirs and my personal representatives, to fully and forever discharge and release Alta Adventures and its affiliates, and their respective partners, agents, operators, managers, employees, and representatives (the “Released Parties”) from any and all claims I may have or hereinafter have for any injury, temporary or permanent disability, death, damages, liabilities, expenses and/or causes of action, now known or hereinafter known in any jurisdiction in the world, attributable or relating in any manner to my entry upon and use of the premises and participation in any Activity, whether caused by the negligence of Alta Adventures or any of the Released Parties or by any other reason. I acknowledge and agree that this Agreement is intended to be, and is, a complete release, as much as allowed by law, of any responsibility of the Released Parties for all personal injuries, temporary or permanent disability, death, and/or property damages sustained by me while participating in an Activity.

4. Covenant Not to Sue. I agree, for myself and all my heirs, not to sue the Released Parties or initiate or assist in the prosecution of any claim for damages or cause of action against the Released Parties which I or my heirs may have as a result of any personal injury, death or property damage I may sustain while participating in an Activity.

5. Indemnification. I hereby agree to defend, indemnify and hold harmless Alta Adventures and the Released Parties from and against any third-party losses, damages, actions, suits, claims, judgments, settlements, awards, interest, penalties, expenses (including reasonable attorneys’ fees) and costs of any kind for any personal injury, loss of life or damage to property sustained by reason of or arising out of my participation in any Activity.

6. Insurance and Medical Disclosure. I certify that I have adequate insurance to cover any injury or damage I may cause or suffer while participating, or else I agree to bear the costs of such injury or damage myself. I further certify that I am willing to assume the risk of any medical or physical condition I may have, and that I have disclosed to Alta Adventures any medical conditions, medications, allergies, or physical limitations that might affect my safe participation in the Activities. I understand that withholding this information increases my risk and may limit Alta Adventures’ ability to provide appropriate assistance in an emergency.

7. Medical Treatment Authorization. I hereby authorize Alta Adventures to secure, and I consent to, any medical treatment that may be given to me should Alta Adventures determine, in its sole discretion, that I need medical care as a result of participating in any Activity. Accept full responsibility for all costs related to my medical treatment, including any transport costs, and I release all parties involved from any type of liability for anything that may happen during my treatment or transport.

8. Responsibility for Personal Property. I acknowledge and agree that I am fully and solely responsible for any of my property and personal belongings that I bring to an Activity, and that Alta Adventures will not be responsible for or provide any security for my property and personal belongings.

9. No Representations; AS IS. I acknowledge that Alta Adventures makes no representation as to the condition of any facilities, equipment, or routes used in the Activities. I accept and shall use all facilities, equipment, and routes in their “AS IS” condition. I acknowledge and agree that I am not relying upon any representation or statement by Alta Adventures or its employees, agents, or representatives regarding this Agreement, the facilities, equipment, routes, or Activities, except to the extent such representations are expressly set forth in this Agreement.

10. Responsibility for Alta Adventures Property. I agree that I am responsible for the proper use and care of all Alta Adventures equipment and property, and that I will be liable for the replacement cost of any Alta Adventures property which is damaged, destroyed, or lost due to my actions or negligence.

11. Governing Law and Venue. This Agreement will be governed by and interpreted in accordance with the laws of the State of Arizona, without giving effect to the principles of conflicts of law of such state. I agree that any action arising out of this Agreement must be brought exclusively in any state or federal court located in Maricopa County, Arizona.

12. Waiver of Rights. No waiver of any term or right in this Agreement shall be effective unless in writing, signed by an authorized representative of the waiving party. The failure of any party to enforce any provision of this Agreement shall not be construed as a waiver or modification of such provision, or impairment of its right to enforce such provision or any other provision of this Agreement thereafter.

13. Survival. Any provision of this Agreement providing for performance by either party after termination of this Agreement shall survive such termination and shall continue to be effective and enforceable.

14. Compliance with Laws. In the performance of the terms of this Agreement, the parties shall comply with all applicable federal, state, regional and local laws, rules and regulations.

15. Severability. If any provision or portion of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions or portions shall remain in full force and effect, and any invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, rather than stricken entirely.

16. Entire Agreement; Modification. This Agreement is the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior agreement or communications between the parties, whether written, oral, electronic, or otherwise. No change, modification, amendment, or addition of or to this Agreement shall be valid unless in writing and signed by authorized representatives of the parties. This Agreement shall be binding upon and inure to the benefit of the successors, assigns, and legal representatives of the parties.

I HEREBY ACKNOWLEDGE THAT I HAVE FULLY READ AND UNDERSTAND EACH OF THE ABOVE PROVISIONS AND THAT I UNDERSTAND I AM GIVING UP SIGNIFICANT LEGAL RIGHTS OF MINE, INCLUDING THE RIGHT TO SUE ALTA ADVENTURES. I ACKNOWLEDGE THAT PRIOR TO SIGNING THIS AGREEMENT I HAD THE OPPORTUNITY TO CONSULT WITH AN ATTORNEY TO REVIEW THIS AGREEMENT.

I AM AT LEAST EIGHTEEN (18) YEARS OF AGE AND FULLY COMPETENT, AND I EXECUTE THIS AGREEMENT VOLUNTARILY AND FOR ADEQUATE CONSIDERATION INTENDING TO BE FULLY BOUND.

StoneMan Climbing Liability Waiver

In consideration of the services of StoneMan Climbing Co, LLC., their agents, owners, officers, volunteers, participants, employees, and all other persons or entities acting in any capacity on their behalf (hereinafter collectively referred to as "SMCC"), I hereby agree to release, indemnify, and discharge SMCC, on behalf of myself, my spouse, my children, my parents, my heirs, assigns, personal representative and estate as follows:

1. I acknowledge that outdoor adventure based activities such as rock & ice climbing, mountaineering, and mountain biking entails known and unanticipated risks that could result in physical or emotional injury, paralysis, death, or damage to myself, to property, or to third parties. I understand that such risks simply cannot be eliminated without jeopardizing the essential qualities of the activity. The risks include, among other things: the hazards of walking on uneven terrain and slips and falls; being struck by rock fall, icefall or other objects dislodged or thrown from aboe; the use and potential or actual failure of climbing ropes and equipment; the forces of nature, including lightning, weather changes and avalanche; the risks of falling off the rock, mountain or into a crevasse; the risks of exposure to wild animals or insect bites; accidents involving other bicycles or vehicles; collision with fixed or movable objects; injuries or accidents involving contact with the bicycle; falls from the bicycle; the negligence of other operators of motor vehicles or myself; exposure to temperature and weather extremes which could cause hypothermia, hyperthermia (heat related illnesses), heat exhaustion, sunburn, dehydration; the risk of altitude and cold including hypothermia, frostbite, acute mountain sickness, cerebral and pulmonary edema; travel in remote areas with poor or no access to emergency and/or medical services; accidents or illness can occur in remote places without medical facilities and emergency treatment or other services rendered; consumption of food or drink; and improper lifting or carrying; my own physical condition, and the physical exertion associated with this activity. Furthermore, SMCC employees have difficult jobs to perform. They seek safety, but they are not infallible. They might be unaware of a participant's fitness or abilities. They might misjudge the weather or other environmental conditions. They may give incomplete warnings or instructions, and the equipment being used might malfunction.

2. I expressly agree and promise to accept and assume all of the risks existing in this activity. My participation in this activity is purely voluntary, and I elect to participate in spite of the risks.

3. I hereby voluntarily release, forever discharge, and agree to indemnify and hold harmless SMCC from any and all claims, demands, or causes of action, which are in any way connected with my participation in this activity or my use of SMCC's equipment or facilities, including any such claims which allege negligent acts or omissions of SMCC.

4. Should SMCC or anyone acting on their behalf, be required to incur attorney's fees and costs to enforce this agreement, I agree to indemnify and hold them harmless for all such fees and costs.

5. I certify that I have adequate insurance to cover any injury or damage I may cause or suffer while participating, or else I agree to bear the costs of such injury or damage myself. I further certify that I am willing to assume the risk of any medical or physical condition I may have.

6. In the event that I file a lawsuit against SMCC, I agree to do so solely in the state of Arizona, and I further agree that the substantive law of that state shall apply in that action without regard to the conflict of law rules of that state. I agree that if any portion of this agreement is found to be void or unenforceable, the remaining document shall remain in full force and effect.

By signing this document, I acknowledge that if anyone is hurt or property is damaged during my participation in this activity, I may be found by a court of law to have waived my right to maintain a lawsuit against SMCC on the basis of any claim from which I have released them herein. I have had sufficient opportunity to read this entire document. I have read and understood it, and I agree to be bound by its terms.

PARENT’S OR GUARDIAN’S ADDITIONAL INDEMNIFICATION (Must be completed for participants under the age of 18) In consideration of the Minor being permitted by Alta Adventures, LLC., to participate in its activities and to use its equipment and facilities, I further agree to indemnify and hold harmless Alta Adventures, LLC., from any and all claims which are brought by, or on behalf of Minor, and which are in any way connected with such use or participation by Minor. I hereby assert that I have explained the risks of Alta Adventures activities to the Minor, that the Minor understands these risks, and that we knowingly accept and assume all risks associated with the Minor’s participation. I acknowledge that I am the parent or legal guardian of the Minor and have the legal authority to sign this Agreement on behalf of the Minor. I understand that I am giving up the Minor’s right to sue Alta Adventures and the Released Parties.
