IMPORTANT: THIS IS A LEGAL DOCUMENT.

BY SIGNING THIS AGREEMENT, YOU ARE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE BASELINE DEFENSE LLC AND THE OTHER RELEASED PARTIES FOR INJURIES OR DAMAGES ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES.

ELIGIBILITY REQUIREMENT: ALL PARTICIPANTS MUST BE AT LEAST EIGHTEEN (18) YEARS OF AGE (AND TWENTY-ONE (21) YEARS OF AGE FOR HANDGUN/CCW-RELATED TRAINING) AND MUST PRESENT VALID GOVERNMENT-ISSUED PHOTO IDENTIFICATION PRIOR TO PARTICIPATION.

Waiver and Release of Liability 

ASSUMPTION OF RISK

IN CONSIDERATION OF the risk of injury, including physical, emotional, psychological, or financial harm, that inherently exists while participating in any activity involving the use of, discussion about, or observation of firearms, ammunition, or related equipment, all of which I acknowledge are inherently dangerous activities that may result in serious injury or death, and IN CONSIDERATION OF my desire to participate in a Baseline Defense LLC course involving such activity, I HEREBY agree to all the following:

I AM VOLUNTARILY PARTICIPATING IN THIS BASELINE DEFENSE LLC COURSE AND I AM PARTICIPATING ENTIRELY AT MY OWN RISK.I agree that my participation in this course may include the use and shooting of firearms in live fire training portions, the use of mock firearms or other equipment related to firearms training, classroom discussion about laws and safety rules governing firearm use, and observations of shooting or other firearm activities in a Baseline Defense LLC classroom or range location. I am aware of the risks associated with participating in activities as described above, which may include but are not limited to physical, emotional, or psychological injury, pain, suffering, illness, disfigurement, temporary or permanent disability, and economic or financial loss. I understand that physical injuries may include, but are not limited to, bodily injury, burns, strains, fractures, partial or total paralysis, hearing loss, eye injury, blindness, heat stroke, heart attack, lead contamination, or other ailments that could cause serious disability or death. I understand these injuries or outcomes may arise from my own negligence or the ordinary negligence of others, conditions related to travel to or from the location(s) of the classroom or range portions of the course, or from conditions present at the course location(s). NOTWITHSTANDING THE ABOVE, I ASSUME ALL RELATED RISKS, BOTH KNOWN AND UNKNOWN TO ME, FORESEEABLE AND UNFORESEEABLE, OF MY PARTICIPATION IN THIS BASELINE DEFENSE LLC COURSE.


RELEASE, WAIVER, AND INDEMNIFICATION

IN CONSIDERATION FOR being permitted to participate in firearms training, I, on behalf of myself, my heirs, executors, administrators, assigns, and representatives, hereby fully release, waive, and discharge the Released Parties from any and all claims, demands, actions, or causes of action of any kind, including claims arising from ordinary negligence of the Released Parties that may occur during my participation or as a result of my participation. This release includes, but is not limited to, injuries, death, property damage, or any other loss, whether occurring on the Training Facility or elsewhere, and regardless of the cause.

I agree that I will not sue or otherwise assert any claim against Baseline Defense LLC, its owners, officers, members, managers, instructors, employees, agents, contractors, volunteers, successors, assigns, insurers, and any shooting ranges, property owners, lessors, licensors, operators, or facilities at which training is conducted (collectively, the “Released Parties”) for any injury, death, property damage, or loss arising out of or related to my participation in firearms instruction or related activities.

I further agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, causes of action, damages, losses, liabilities, judgments, fines, penalties, costs, and expenses of any kind, including but not limited to attorneys’ fees, expert fees, court costs, and litigation expenses, whether incurred in the defense of a claim or in enforcing this Agreement, arising directly or indirectly out of or related to:

(a) my participation in any firearms instruction, classroom training, live‑fire exercises, drills, demonstrations, evaluations, or related activities;

(b) my handling, use, possession, transportation, loading, unloading, aiming, or discharge of firearms, ammunition, holsters, magazines, targets, or other equipment;

(c) my presence at, entry upon, or use of any training facility, range, classroom, parking area, or surrounding premises;

(d) my acts or omissions, including negligence, recklessness, or violation of any law, rule, or safety instruction;

(e) any injury, death, or property damage suffered by me or any third party, including other participants, bystanders, spectators, range personnel, or governmental entities, caused in whole or in part by me.

This obligation to indemnify and defend applies regardless of whether the claim is alleged to be caused in whole or in part by the ordinary negligence of any Released Party and survives the completion of training and termination of my relationship with Baseline Defense. Nothing herein is intended to release or indemnify any Released Party for gross negligence or willful misconduct to the extent prohibited by California law.

CALIFORNIA CIVIL CODE §1542 WAIVER

I expressly waive the provisions of California Civil Code §1542, which states:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which if known by the releasing party must have materially affected the releasing party’s settlement with the debtor or released party.”

I acknowledge that I may hereafter discover facts or claims different from or in addition to those now known or believed to be true, and I expressly agree that this Waiver and Release shall remain effective in all respects notwithstanding such additional or different facts or claims.

ELIGIBILITY CERTIFICATION

I CERTIFY AND AFFIRM that I am legally eligible to participate in firearms instruction and related activities conducted by Baseline Defense LLC. I further certify that I am not a prohibited person under applicable federal or California law, including but not limited to California Penal Code §§ 29800–29825 and 29900, and California Welfare and Institutions Code §§ 8100 and 8103.

By signing this Waiver, I certify that I am legally permitted to possess, handle, and discharge firearms and ammunition under all applicable federal, state, and local laws. Without limitation, I affirm that:

  • I am not a convicted felon, nor am I under indictment or information for a crime punishable by imprisonment for more than one (1) year;
  • I am not a fugitive from justice;
  • I do not unlawfully use, am not addicted to, and am not currently under the influence of any controlled substance or other substance that may impair my ability to safely handle firearms;
  • I have not been adjudicated as mentally defective, nor have I been committed to a mental institution;
  • I am not unlawfully present in the United States;
  • I have not been dishonorably discharged from the United States Armed Forces;
  • I am not subject to any restraining order or protective order related to domestic violence;
  • I have never been convicted of a misdemeanor crime of domestic violence;
  • I am not otherwise prohibited by law from possessing, handling, or using firearms or ammunition.

I agree to immediately notify the Company if my legal eligibility changes at any time prior to or during training. I understand that any false statement or omission may result in immediate removal from training without refund and may subject me to civil or criminal liability. I further agree that any injury, damage, loss, or liability arising from my misrepresentation or ineligibility shall be fully subject to the indemnification obligations set forth in this Waiver.

SAFETY AND MEDICAL REQUIREMENTS

I UNDERSTAND that activities involving the use of, discussion about, or observation of firearms, ammunition or related equipment, including participation in any Baseline Defense LLC course, may test a participant’s physical and mental limits and may carry a risk of serious physical, emotional, psychological, or financial injury.

In recognition of these risks, I agree to comply with the following safety and medical requirements:

  • I SHALL strictly follow all safety rules, procedures, and instructions posted or communicated verbally by any Baseline Defense LLC instructor, Range Safety Officer, staff member, or by any staff of the Released Parties;
  • I SHALL provide and properly wear appropriate eye and ear protection at all times while present on any range during a Baseline Defense LLC course;
  • I SHALL NOT participate in any portion of this course unless I certify by my signature to this Waiver that I am medically, physically, and mentally able to safely participate, and I agree to abide by the decision of any Baseline Defense LLC instructor or Range Safety Officer regarding my approval to participate in any activity or portion of the course;
  • I SHALL NOT be under the influence of alcohol, marijuana, illegal drugs, or any other intoxicating or impairing substance, including over‑the‑counter or prescription medications that may affect safe firearm handling, while attending any classroom or range training portion of a Baseline Defense LLC course, regardless of whether live fire is involved.

I ADDITIONALLY AGREE that, should I require medical care or treatment during or as a result of my participation, I hereby authorize Baseline Defense LLC instructors, Range Safety Officers, or any staff of the Released Parties to render or arrange any emergency medical assistance deemed necessary, including but not limited to first aid, CPR, use of AEDs, emergency medical transport, and the disclosure of relevant medical or health information to emergency or medical personnel for purposes of diagnosis or treatment.

I further agree to indemnify, defend, and hold harmless the Released Parties from any and all claims arising out of or related to such emergency medical care or assistance, even if caused by the ordinary negligence of a Released Party, to the fullest extent permitted by California law. I understand and agree that I am solely responsible for all costs associated with any medical care or treatment I receive and acknowledge that I have been advised to carry my own health insurance.

 

REMOVAL AND DENIAL OF PARTICIPATION

Baseline Defense LLC reserves the right, in its sole discretion, to deny, suspend, or terminate a participant’s involvement in any course at any time if the participant fails to comply with safety instructions, violates any rule or policy, or is deemed by any instructor or staff member to pose a risk to themselves or others. Such action may occur without prior notice. Participant understands and agrees that no refund shall be provided in the event of removal for safety or rule violations.

MEDIATION AND ARBITRATION

As a first step toward resolving any controversies, claims, or disputes arising under this Agreement, I agree to participate in a mediated settlement conference administered by a neutral mediator. Both parties have twenty (20) days from receipt of a written Mediation Request to agree on a mediator. If no mediator has been agreed upon within that period, either party may request that the American Arbitration Association appoint a mediator in accordance with its then-current rules. Each party shall pay an equal share of mediator fees and expenses and shall bear their own legal fees for mediation. Any party who fails or refuses to participate in mediation shall be precluded from recovering costs or fees in any subsequent arbitration proceeding.

If any dispute is not resolved through mediation, it shall be finally resolved by binding arbitration administered by the American Arbitration Association. For claims under $75,000, the AAA Consumer Arbitration Rules shall apply. For claims of $75,000 or more, the AAA Commercial Arbitration Rules shall apply. Arbitration shall take place in Los Angeles County, California, and the arbitrator shall apply California substantive law. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Baseline Defense LLC shall pay all AAA filing fees and administrative expenses. Each party shall bear its own attorneys' fees, except where applicable law requires otherwise or where a claim is found to be frivolous or in bad faith.

CLASS ACTION WAIVER: All claims must be brought solely on an individual basis. I expressly waive any right to bring or participate in any class, collective, or representative proceeding against the Released Parties.

Any claim not submitted to mediation within one (1) year of the incident giving rise to such claim shall be forever barred to the fullest extent permitted by law.

I UNDERSTAND THAT THIS AGREEMENT REQUIRES MEDIATION AND BINDING ARBITRATION OF DISPUTES AND THAT I AM WAIVING MY RIGHT TO A JURY TRIAL.

I have read, understand, and separately agree to the Mediation and Arbitration clause above.

POSSESSIONS AND PERSONAL PROPERTY

I AGREE that Baseline Defense LLC is not responsible for any of my possessions should they be lost, stolen, damaged, or destroyed during a Baseline Defense LLC course, including any firearms, firearm training related equipment, or personal possessions. I AGREE this includes any vehicle damage that may occur in driving or parking on or near any classroom or range location(s) that Baseline Defense LLC is lawfully using to conduct training.

ACKNOWLEDGMENT OF TRAINING PURPOSE AND LEGAL RESPONSIBILITY

The firearms training offered by Baseline Defense LLC is designed, solely and completely for the purpose of self-defense, self-preservation, marksmanship, and/or other legal and permissible uses of a firearm. By attending this course and signing this document you agree not to misuse this training. Any use of this training in a manner that is not consistent with the principles of self-defense and/or preservation is a misuse of this training. Any use of this training that is contrary to law is also a misuse of this training. Baseline Defense LLC specifically warns that the possession, ownership, carrying, concealed carrying and/or discharge of a firearm are strictly regulated by federal, state, city and local laws, statutes, ordinances and/or other regulations. Trainees should not presume that every exercise and/or technique taught in the firearms training class is a legal use of a firearm in any situation. It is the job of the participant to become familiar enough with federal, state, city and local laws, statutes, ordinances, and/or other regulations to ensure the proper, permissible and legal use of their firearm.

Use of the training and techniques taught by Baseline Defense LLC could also lead to your detainment, arrest, conviction and/or imprisonment. Participants acknowledge that the use of a firearm, including techniques taught in this course, may result in criminal or civil consequences, including arrest, prosecution, conviction, or imprisonment.                                                             

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. Any dispute, claim, or legal action arising out of or related to this Agreement or participation in firearms training shall be resolved exclusively through the mediation and binding arbitration procedures set forth above. Any court action shall be limited to enforcing an arbitration award or seeking injunctive relief and shall be brought in a court of competent jurisdiction located in Los Angeles County, California. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

I HEREBY ACKNOWLEDGE THAT I HAVE CAREFULLY READ THIS WAIVER AND RELEASE AND I FULLY UNDERSTAND THAT IT IS A RELEASE OF LIABILITY TO ALL RELEASEES. I EXPRESSLY AGREE TO RELEASE, DISCHARGE, AND HOLD FOREVER HARMLESS ALL RELEASEES FROM ALL CLAIMS OR CAUSES OF ACTION ARISING FROM MY VOLUNTARY PARTICIPATION IN THIS COURSE, AND I AGREE TO VOLUNTARILY WAIVE ANY RIGHT I MIGHT OTHERWISE HAVE TO BRING ANY LEGAL ACTION AGAINST ANY RELEASEES FOR ANY PERSONAL INJURY OR PROPERTY DAMAGE. This WAIVER OF LIABILITY AND RELEASE shall remain in effect for the duration of my participation in this Baseline Defense LLC course including all instruction and training portions, events, activities, or live fire included in this course. FURTHERMORE, I ACKNOWLEDGE THAT I HAVE HAD THE OPPORTUNITY TO REVIEW THIS AGREEMENT AND, IF DESIRED, TO CONSULT WITH LEGAL COUNSEL PRIOR TO SIGNING.
