Independent Contractor Agreement

This Independent Contractor Agreement (this "Agreement") is made effective as of December 14, 2025, by and between East Coast Worldwide Studios Inc (the "Company"), of 8833 Perimeter Park Blvd Suite 501, Jacksonville FL 32216, and you

(the "Contractor"). In this Agreement, the party who is contracting to receive the services shall be referred to as "Company", and the party who will be providing the services shall be referred to as "Contractor".

This Agreement shall be governed by the laws of the State of Florida.

This agreement is indefinite and may be terminated at any time. This contract does not guarantee indefinite work. All prior agreements are merged and suspended.

It is understood by the parties that the Contractor is an independent contractor with respect to Company, and not an employee of the Company. Company will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of the Contractor.

My services for the Company may include tattoo related services, body piercing related services, and/or laser tattoo removal services in addition to maintaining the establishment used for all of these services.

 

Payments

The Contractor will be compensated a percentage for the services that the Contractor completes for the Company. That percentage is listed in this document. This payment is a commission. There are no guarantees on amount of compensation during any period. Pay periods are weekly and are Monday through Sunday. Compensation for services during a work week are payed on Wednesday the week after the pay period ends. Bank holidays may delay this payment and is out of our control. Payments are made exclusively by direct deposit to your bank account.

Tips that the Contractor receives on a credit card machine will incur a 5% processing fee and will be deducted from my payments. Tips that the Contractor receives in cash will need to be self reported to State and Federal revenue services and not to East Coast Worldwide.

The Contractor shall under no circumstance will I be allowed to ask, tell, hint, or otherwise influence the payment method in which a person pays for any part of their service. This includes asking clients to pay tips in cash.

The Contractor must complete and submit an accounting invoice of what is due to them for a pay period, called a "payment journal". This invoice is used to compare the Contractor's accounting and the Company's accounting. If the Contractors accounting shows that they are owed more than the Company's accounting, payment will be made according to the Company's accounting totals and given a notice in which I will be able to audit and dispute if I find an error in the Company's totals. Failing to send an invoice will result in no payment being sent during this pay period and will be delayed until the the invoice is received. If an invoice is not sent by 11:59:59 pm on the last day of a pay period then payment will be initiated during the normal schedule of the pay period in which it is received.

The Contractor is not required to pay any rent to the Company for the space, supplies, or utilities that the Contractor consumes, unless otherwise notated in this agreement.

Duties

The Contractor is expected to maintain a professional attitude and demeanor with clients at all times.

If the Contractor takes a drawing fee for a client the paperwork must include a deadline and have the drawing completed by that deadline.  Failure to do so will result in a refund to the client upon request. The Contractor will be responsible for the full refund amount for all services not completed.

The Contractor must be in possession of current licenses required by any government entities for the Contractor to perform services to clients of the Company. The Contractor is also required to maintain a current Blood Borne Pathogen certification, first aid certification, and CPR certifications. Body Piercers additionally will be required to maintain a child CPR certification, and within 60 days of beginning contracts with the Company must apply for and be accepted into the Association of Professional Piercers. All of these certifications and memberships must remain current at all times, be framed in appropriately sized frames and/or professionally matted, and on display in the lobby of any studio in which the contractor works or other designated area within those studios. If the Contractor works in multiple locations they will be required to have copies in each location. A lapse in any of these certifications or licenses will result in an immediate suspension of all work and non-payment of any services performed while not current. While the Company will make every effort to notify the Contractor of an expiring certification, ulitimately the responsibility is the Contractors to keep them current.

The Contractor must keep the studio they work at and their work area clean. Work areas should be free of absorbant materials. Any supplies should be wiped cleaned and kept dusted. Work areas should be kept neat and disinfected between services. The Contractor's personal supplies shall be kept within a space that is exclusive to the Contractor, and these supplies include but are not limited to paper, drawing supplies, personal paperwork, medication, clothes, or personal bags.

The Contractor is responsible for correctly qualifying clients before they start services on them. The Contractor must have clients complete a waiver, and then review the waiver to verify that the client is of an appropriate and legal age for the service you are providing, that they do not have any disqualifying entries on their waiver that would prohibit you from legally or ethically performing a service on them, and check their identification to verify that the person the Contractor is performing a service on matches the person who completed the waiver. In order to verify that you have done this, you must accept a waiver by clicking "accept waiver" through the program "Smartwaiver" before starting your service. Failure to check "accept waiver" before a service is performed will result in a non-payment for that service and you must notify the Company that you failed to do so immediatley. If the Contractor fails to notify the Company and it is discovered that the Contractor failed to fulfill this requirement you will retroactively lose payment for this service and the Contractors payment percentage will be reduced by 10% for 4 consecutive weeks, retroactively from the week of the offense.

If the Contractor is to look at the genitalia of males or females, or the breasts of a female before a service, whether as part of an anatomy check, sizing issue, or for any other reason, the Contractor must have the client fill out a waiver first to qualify their age and identity.

In order for a service to qualify for payment, all paperwork must be completed by the Contractor and submitted to the Company. This includes waivers completed and client's qualified. Receipts with tattoo or piercing services must contain a clients name, address, email address, selections of the service type and aftercare instructions, all information in the artists area to be completed, and clients must sign the paper and acknowledge that they have received aftercare instructions. If the person making the payment is different from the person on whom the service was performed, both must sign the document. Paperwork must be completed and processed immediately after a service is performed. Failure to do so will result in no compensation to the Contractor for that service.

Tattoo equipment is not reprocessed and the Contractor must supply disposable tattoo grips, tubes, and other items that may become contaminated during a services.

The Contractor must supply their own drawing supplies, including but not limited to paper, markers, tape, pens, pencils, etc.... The company does not supply materials for drawing.

The Contractor will keep all supplies, whether provided by the Company or by the Contractor, in a neat and organized way. Wasting Company supplies or using Company supplies for purposes other than intended during the course of service provided will result in additional surcharges for supplies.

The Contractor may post pictures of their work or of items being sold by the Company on the company's social media. The Contractor does not have permission to post any other information on any social media owned by the Company.

The Contractor is responsible for supplying all tools and supplies for performing services to clients. The Company may, at it's discretion,provide some of the supplies or tools for services. Any tools that the Contractor supplies must be in good working order, of sufficient quality, and within it's expiration date. Any items that are expired, become contaminated, or for any other reason are not safe to work with must be removed from any property owned by the Company immediately and not used during the performance of any service.

The Contractor must honor all coupons or discounts provided by the Company. The commission percentage is divided on the amount of revenue brought in by the service after the discount.

Contractors performing tattoo work will be required to have a tablet or computer to perform their duties as it's required to fulfill the Contractors duties.

I understand that I shall have no relationship with clients of the Company outside of providing a service to them. Clients should not communicate with me outside of any Company property in any way except through phone numbers or email addresses provided to me by the Company for the purposes of conducting services for the Company.

Anything not explicitly listed within this contract will need be to approved.

The Contractor can choose to participate in some of the extra services provided by the Company. These services include subsidized business cards, a page on our website, access to our online booking system, etc.. Participation is at the discretion of the Company.

If the Contractor wishes to sell private items, such as shirts, art, stickers, etc... through any sales venue operated by the Company, the Contractor must first complete a consignment form and the company must approve it. All sales through venues operated by the Company must be operated within their systems. Any private sales without a consignment agreement on file are strictly prohibited.

The Contractor will be required to keep a current list of all tattoo inks that are used in their services. If the list changes the Company must be notified within 72 hours.

The Contractor is given the option of selecting the music for the entire studio. Music that involves screaming or music that has explicit or vulgar lyrics during opening hours or when clients are inside of the property in which the music is playing is expressly forbidden.

 

Confidentiality

Any social media contacts, including "followers" or "friends," that are acquired through accounts (including, but not limited to email addresses, blogs, Twitter, Facebook, YouTube, or other social media networks) used or created on behalf of Company are the property of the Company.

Contractor may have had access to proprietary, private and/or otherwise confidential information ("Confidential Information") of the Company. Confidential Information shall mean all non-public information which constitutes, relates or refers to the operation of the business of the Company, including without limitation, all financial, investment, operational, personnel, sales, marketing, managerial and statistical information of the Company, and any and all trade secrets, customer lists, or pricing information of the Company. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential. Contractor will not at any time or in any manner, either directly or indirectly, use for the personal benefit of the Contractor, or divulge, disclose, or communicate in any manner any Confidential Information. Contractor will protect such information and treat the Confidential Information as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, Contractor will return to Company all Confidential Information, whether physical or electronic, and other items that were used, created, or controlled by the Contractor during the term of this Agreement.

I agree that during my time with the Company or at any time thereafter, I will not disclose any Confidential Information to any person, including any competitor of the Company, or future employer of mine. I will not use the confidential information for any purpose other than those permitted by the Company.

I agree that during my time with the Company or at any time thereafter, I will comply with all security precautions and measures of the Company that are intended to maintain the confidentiality of its Confidential Information and to limit its distribution to instances of a legitimate need-to-know basis that are intended to promote the best interests of the Company.

I agree that during my time with the Company or at any time thereafter, I will not make copies, summaries, or extracts of Confidential Information, nor will I remove any Confidential Information from the place of business unless authorised by the Company.

I agree that during my time with the Company or at any time thereafter, I will not disclose any Confidential Information concerning the Company or its affiliated corporations which could adversely affect the organizations image, reputation or value.

I agree that on termination of my contract with the Company or at any time the Company may request, to promptly deliver all memoranda, notes, records, reports, manuals, and any other hard copy documents or electronic data belonging to the Company, or containing Confidential Information, including all copies of materials I may posses or have under my control.

I acknowledge that all Confidential Information constitutes a proprietary right which the Company and its affiliated organizations are entitled to protect.

An "employer-employee" or "principal-agent" relationship is not created merely because (1) the Company has or retains the right to supervise or inspect the work as it progresses in order to ensure compliance with the terms of the contract or (2) the Company has or retains the right to stop work done improperly. The Contractor has no right to act as an agent for the Company and has an obligation to notify any involved parties that it is not an agent of the Company.

This Agreement constitutes the entire contract between the parties. All terms and conditions contained in any other writings previously executed by the parties regarding the matters contemplated herein shall be deemed to be merged herein and superseded hereby. No modification of this Agreement shall be deemed effective unless in writing and signed by the parties hereto.

The waiver by Company of a breach of any provision of this Agreement by Contractor shall not operate or be construed as a waiver of any subsequent breach by Contractor.

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

Non-Solicitation

I agree for a period of twenty four (24) months from the date of termination of this agreement not to directly or indirectly solicit competitive business from any client or customer of the Company (including any potential client of the Company) that was contacted, solicited, or served by me or about which I received confidential information while I was contracted by the Company, nor for the same period of time, will I perform services or accept any business, competitive with that of the Company, directly or indirectly from any of the customers and clients described above, which involves me performing similar functions or acting in a similar capacity as when contracted with the Company.

I agree so long as contracted by the Company and for a period of twenty four (24) months after leaving for any reason whatsoever, not to directly or indirectly recruit, solicit, or otherwise induce or attempt to induce any contractor or employee of the Company to terminate his or her contract with the Company or otherwise to act contrary to the interests of the Company.

I agree that the provisions of this Schedule shall survive the termination of this contract however it may arise.

No breach of any provision of this Agreement shall be waived except with the express written consent of the party not in breach.

In the event any litigation, arbitration, mediation or other proceeding (Proceeding) is initiated by any party against any other party to enforce, interpret or otherwise obtain judicial or quasi-judicial relief in connection with this Agreement, the prevailing party in such Proceeding shall be entitled to recover from the unsuccessful party all costs, expenses and actual attorney's fees relating to or arising out of (a) such proceeding, whether or not such proceeding proceeds to judgment, and (b) any post-judgment or post-award proceeding, including without limitation one to enforce any judgment or award resulting from any such Proceeding. Any such judgment or award shall contain a specific provision for the recovery of all such attorneys fees, costs, and expenses.
