Acknowledgement, Waiver & Release from Liability Agreement for Activities on Atlantic Private Land Parcel, Pond Private Land Parcel, Oak Flat Climbing Access Land Parcel and Devils Canyon Access Route

NOTICE: THIS DOCUMENT IS A LEGALLY BINDING AGREEMENT. BY SIGNING THIS AGREEMENT, YOU ARE ACKNOWLEDGING THAT YOU HAVE READ, UNDERSTOOD AND ACCEPTED THE TERMS AND CONDITIONS STATED IN THIS AGREEMENT. YOU FURTHER ACKNOWLEDGE AND AGREE THAT YOU ARE WAIVING YOUR RIGHTS TO SUE OR BRING A COURT ACTION TO RECOVER COMPENSATION OR OBTAIN ANY OTHER REMEDY FOR ANY INJURY TO YOURSELF OR YOUR PROPERTY.

This Release, Waiver and Assumption of Risk ("Agreement") entered into by and between, on behalf of his/her heirs, legal representatives, personal representatives, attorneys, affiliates, administrators, successors and assigns ("Releasor") and in favor of Resolution Copper Mining Company, LLC ("RCML") and Queen Creek Coalition and their past, present and future officers, directors, stockholders, attorneys, agents, servants, representatives, employees, parent corporations, sister corporations, holding companies, subsidiaries, affiliates, partners, insurers, predecessors and successors in interest, indemnitors, assigns and other related or affiliated entities or persons ("Releasees"), is entered into because the Releasor desires to enter upon certain land parcels, including Atlantic Private Land Parcel, Pond Private Land Parcel, Oak Flat Climbing Access Land Parcel, and Devil's Canyon Access Route, which are owned by RCML (the "Land Parcels") in order to participate in recreational hiking, rock climbing, bouldering and any other recreational activities (the "Activities"). In consideration for RCML permitting me to be present on the Land Parcels owned by RCML, I have agreed to execute this Acknowledgment, Waiver & Release, and more particularly, I agree as follows:

ACKNOWLEDGEMENT: I acknowledge and am thoroughly aware that there are significant inherent risks and hazards associated with rock climbing, bouldering, rappelling, hiking, mountain biking and all other outdoor recreational activities or being a spectator of these Activities. I FULLY ACKNOWLEDGE AND UNDERSTAND THAT PARTICIPATION IN THESE ACTIVITIES CONTAINS INHERENT RISKS THAT MAY BE UNKNOWN OR UNANTICIPATED THAT MAY RESULT IN SEVERE PHYSICAL OR EMOTIONAL INJURY INCLUDING BUT NOT LIMITED TO PARALYSIS, PERMANENT INJURY, OR DEATH, AND DAMAGE TO PROPERTY OR TO OTHER THIRD PARTIES. I ACKNOWLEDGE AND UNDERSTAND THAT I AM NOT AN INVITEE OF RCML, AND ALL ACTIVITIES ARE LIMITED ONLY TO RECREATIONAL USERS AS DEFINED BY THE RECREATIONAL USE STATUTE. ALL PROTECTIONS AND IMMUNITIES PROVIDED UNDER ARIZONA LAW, INCLUDING THE RECREATIONAL USE STATUTE, SHALL BE AFFORDED TO RELEASEES.

I further acknowledge that the nature and extent of the risks and hazards inherent in the Activities and my pursuit of these activities on the LAND PARCELS and/or any other property owned by the RCML include, but are not limited to:

1. Severe bodily injury or death resulting from the activities and equipment utilized in climbing, including being struck by falling rock, falling trees, crashing into rock walls or parts thereof, other climbers or other objects dislodged or thrown from above;

2. Severe bodily injury or death resulting from equipment failure and/or malfunction of my own or others' equipment, including, but not limited to, failures of ropes, slings, climbing harnesses, bolts, bolt hangers, fixed anchor points, traditional climbing protection;

3. Severe bodily injury or death resulting from falling climbers or falling or dropped items, including, but not limited to, rocks, ropes, climbing hardware, trees or other debris;

4. Severe bodily injury or death from improperly placed or faulty climbing protection, improperly tied knots, improperly buckled harnesses, failure to wear climbing helmet, or improper rope, belay, rope ascending or rope descending techniques, or any other improper use, failure to use, or failure of, any equipment or device(s) whatsoever;

5. Severe bodily injury or death resulting from plants, flora and fauna, insects, or animals, including, but not limited to, poisonous or dangerous plants, snakes or insects;

6. Severe bodily injury or death resulting from my own negligence or the negligence of others, including other climbers, participants, spectators or users of the land parcels, including, but not limited to, belayers, spotters, or professional guides, or any employee or agent of RCML or Queen Creek Coalition;

7. Severe bodily injury or death resulting from personal physical and mental limitations, including, but not limited to, fatigue, chill and/or dizziness, personal strength, coordination, sense of balance, which may diminish reaction time and increase risks of accident and ability to follow or give directions while climbing, belaying, lifting, spotting or being a spectator;

8. Severe bodily injury or death resulting from steep, rugged or otherwise hazardous terrain;

9. Severe bodily injury or death resulting from mine shafts, caverns, mines, old equipment used for mining and other purposes, and other hazards, known or unknown; and

10. Severe bodily injury or death resulting from not following proper and customary personal safety procedures and the Rules of the Queen Creek Coalition, which form a part of this agreement.

I acknowledge that the above list of severe bodily injuries, dangers, hazards, and risks are described by way of example only, and are not inclusive of all possible risks associated with my presence on the land parcels, and/or any other property owned by RCML, and that other unknown and unanticipated risks may result in bodily injury, illness or death. I acknowledge that the above list of injuries, dangers, hazards and risks are not limited to the activities described, but may also occur while walking, hiking or biking on any of the trails, or walking or driving on any of the roads; and or making any use of the land parcels and/or any other property owned by RCML. I acknowledge that the hiking trails, biking trails, and various temporary or permanent or fixed bolts and/or anchor points, are NOT BUILT, ESTABLISHED OR MAINTAINED by RCML.

I further acknowledge and agree that there are hidden or obvious, natural or unnatural, DANGEROUS conditions on the land parcels and/or any other property owned by RCML, and that the Releasees have NO DUTY TO INFORM ME OF THESE CONDITIONS. I VOLUNTARILY ASSUME ALL SUCH RISKS WITH FULL KNOWLEDGE AND APPRECIATION OF THE DANGERS AND RISKS INVOLVED.

RELEASE, ASSUMPTION OF RISK, AND RESPONSIBILITY: In consideration of my being allowed to enter upon the LAND PARCELS and/or any other property owned by RCML, and in recognition of the inherent risks of the Activities, on behalf of myself, my heirs, representatives, or anyone claiming an interest on my behalf, I HEREBY KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY, RELEASE, WAIVE, DISCHARGE, HOLD HARMLESS AND AGREE NOT TO SUE the RELEASEES, their officers, board of directors, members, agents, attorneys, volunteers, employees, assigns or persons or entities with a property interest, vested or unvested, in the LAND PARCELS and/or any other property owned by RCML, all persons who have established rock climbing routes and hiking trails, and any other users (collectively referred to as "Released Parties"), from any and all actions, suits, claims damages and liability (INCLUDING ATTORNEY FEES OR COSTS), or demands, obligations and/or causes of action of any nature whatsoever which I, or my heirs, representatives, successors, executors, administrators, assigns or anyone claiming an interest on my behalf, may have against the Releasees or all other Released Parties on account of any personal injury, property damage, death or accident of any kind arising out of or in any way connected with my entrance onto the LAND PARCELS and/or any other property owned by RCML. I agree to defend, indemnify, and hold harmless the persons or entities mentioned in this paragraph from any and all liabilities or claims made by other individuals or entities as a result of my/our actions. This release shall be effective even though said loss, damage, injury, paralysis, loss, or death results or has resulted from the negligence, wrongful acts, omissions, breach of warranty or strict tort liability of RCML or the other Released Parties.
