Acknowledgement of Risk

I understand and agree that upon Super Fly’s completion of work on my Equipment, I will kite my wing and inspect my Equipment. However, it is my responsibility to fully inspect my equipment before I operate it again, and Super Fly is not responsible for any injury or damage to my person or property, or injury to the person or property of any third party arising out of or relating to the assembly or configuration of my equipment, including paraglider lines, reserve parachute and associated connection and rigging for which I agree to release and indemnify Super Fly from any and all claims, liability, lawsuits, and legal actions, whether caused by my own negligence or the negligence of Super Fly or its agents, employees, officers, or contractors.


In consideration for receiving paraglider, reserve parachute, harness, and related rigging, maintenance, repair, installation, alteration, or instructional services regarding the same (hereinafter collectively referred to as “activities covered by this Agreement”) performed by staff, agents, or contractors of Super Fly, Inc. (collectively “Super Fly”), I  [participant signature] , hereby agree as follows:

Agreement for Disposition of Property.

While engaging the services of Super Fly for any activity covered by this Agreement, I understand that my paraglider, reserve parachute, harness, and related equipment, and/or component parts thereof (collectively “Equipment”) will be held by Super Fly for my benefit. Upon its completion of work on my Equipment, Super Fly will notify me that the Equipment is available to pick up at my Preferred Method of Contact as indicated below.

If I do not take custody of my Equipment within one (1) year of the date on which Super Fly notifies me that its work is complete, or otherwise arrange with Super Fly to hold my Equipment for a longer time, I understand that Super Fly may, at its option, arrange for the State of Utah to take custody of the property consistent with U.C.A. § 67-4a-101, et seq.
I understand that Super Fly is not obligated to agree to any arrangement to hold my Equipment for any time period longer than that set forth in this Agreement.

If Super Fly does agree to hold my Equipment for any time period longer than one (1) year after it notifies me that its work is complete, I understand that I will be charged ten dollars ($10) per week for the first four weeks of storage, and twenty dollars ($20) per week for every week thereafter until I pick up my Equipment.

Applicable Law/Waiver of Jury Trial/Venue. I agree that this Agreement shall be governed by and construed in accordance with the laws of the State of Utah without giving effect to any choice or conflict of law provision or rule (whether of the State of Utah or any other jurisdiction). I further agree that Utah law shall govern any dispute arising from the activities covered by this Agreement. IF SUIT IS BROUGHT AGAINST Super Fly, THEN EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CAUSE OF ACTION OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, OR THE TRANSACTIONS CONTEMPLATED HEREBY. Any legal suit, action or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby shall be instituted in any United States federal court or state district court located in the State of Utah, in the City of Salt Lake City, County of Salt Lake.


Binding Arbitration of Disputes. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be determined by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and Mediation Procedures ("Consumer Rules"). There shall be one arbitrator agreed to by the parties within twenty (20) days of receipt by respondent[s] of the request for arbitration or in default thereof appointed by the AAA in accordance with its Consumer Rules. The seat or place of arbitration shall be the City of Salt Lake City, County of Salt Lake. Except as may be required by law, neither a party nor the arbitrator[s] may disclose the existence, content or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right. The award rendered by the arbitrator shall be final, non-reviewable, non-appealable, and binding on the parties and may be entered and enforced in any United States District Court or state district court located in the State of Utah, County of Salt Lake. Judgment on the award shall be final and non-appealable.


Limitation of Warranty.  The services and activities covered by this agreement are given “as-is” without any warranties, express or implied, including but not limited to, warranty of merchantability or fitness for a particular purpose. I understand and agree that upon Super Fly’s completion of work on my Equipment, it will kite my wing and inspect my Equipment. However, IT IS MY RESPONSIBILITY TO FULLY INSPECT MY EQUIPMENT BEFORE I OPERATE IT AGAIN, AND Super Fly IS NOT RESPONSIBLE FOR ANY INJURY OR DAMAGE TO MY PERSON OR PROPERTY, OR INJURY TO THE PERSON OR PROPERTY OF ANY THIRD PARTY ARISING OUT OF OR RELATING TO THE ASSEMBLY OR CONFIGURATION OF MY EQUIPMENT, FOR WHICH I AGREE TO RELEASE AND INDEMNIFY Super Fly FROM ANY AND ALL CLAIMS, LIABILITY, LAWSUITS, AND LEGAL ACTIONS, WHETHER CAUSED BY MY OWN NEGLIGENCE OR THE NEGLIGENCE OF Super Fly OR ITS AGENTS, EMPLOYEES, OFFICERS, OR CONTRACTORS. 


Severability of Provisions.  I agree that this Agreement is intended to be as broad and inclusive as permitted by the laws of the State of Utah and if any portions of this Agreement are found to be unenforceable or against public policy, that only those portions shall fail, and I agree to be bound to the remainder of the Agreement.


Continuation of Obligations.  I agree that the terms and conditions of this Agreement shall continue in full force and effect now and in the future at all times during which I engage Super Fly, either directly or indirectly, for any activities covered by this Agreement, and shall be binding upon my heirs, executors, administrators, personal representatives, and/or anyone else claiming on by behalf.  This Agreement governs only those services defined above as “activities covered by this Agreement.” This Agreement does not revoke or supersede any Release of Rights or other exculpatory agreement I have entered into with Super Fly or other Releasees, all of which shall remain in full force and effect in accordance with their terms.


Acknowledgement.  I am Eighteen (18) years of age or older and mentally competent to enter into this Agreement.  I understand that by signing this document, I am giving up important legal rights, and it is my intent to do so.[initital]

Entire Agreement.  I understand this Agreement contains the entire agreement between the parties to this Agreement and that the terms of this Agreement are contractual and not a mere recital.
