Please read this document carefully. It must be signed by all adult visitors (eighteen years and older) to Rock Mill Climbing Gym, owned and operated by Rock Mill, Ltd (“the Gym”). “Visitor” refers to any person who is entering the climbing or general activity areas as a participant, as an observer, or otherwise. If the Visitor is a minor, at least one Parent or Guardian (“Parent”) must sign for themselves and, to the extent allowed by Ohio law, on behalf of the minor Visitor. If a Parent does not accompany the minor, the Gym may require verification of the Parent's signature by a photocopy of the Parent's valid driver's license. Activities and RisksActivities offered by the Gym include bouldering (at heights of approximately 16 feet), fitness and exercise equipment, yoga, cardio, and use of adjacent walkways, parking areas, and lawns. Activities may involve moderate to heavy exertion. Bouldering activities will not be belayed or spotted by Gym staff, although a climber may choose to be spotted by another Visitor. I acknowledge that before climbing, I received a facility orientation that included the notice of climber responsibilities required by Ohio Revised Code § 4175.05, and I had the opportunity to ask questions. I have read the Gym’s clearly posted rules and warnings, which are conspicuously located, and I agree to follow them and all staff instructions. I acknowledge that as the Visitor (adult or minor), I have no mental or physical condition that might create risks to myself or others. If I am a Parent of a minor Visitor, I have explained these responsibilities and Rules to such minor who assures me they understand them. I agree, on behalf of myself and any minor for whom I am signing this agreement, that I/we will abide by these Rules and any specific request or instruction of staff. Visitors share responsibility for risk management and must inspect holds, flooring, and equipment before use, and must pay attention to the condition of structures, holds, and other equipment they use and advise staff of any damage they cause or observe. Staff may remove any participant who violates the rules or acts unsafely. Floor supervisors may issue warnings, reprimands, or penalties, and may remove any Visitor who violates rules or creates unsafe conditions in the sole discretion of the Gym. The Gym maintains staffing, inspections, and records as required by Ohio Revised Code § 4175.03, including periodic wall inspections and documentation filed with the Ohio Department of Commerce. Visitors will be exposed to risks including, among others: overexertion; falls; abrupt contact with other persons, the climbing and other structures, machines and other equipment; falling climbers, dropped tools and hardware; the failure of machines and equipment, including, but not limited to, holds, pads and other flooring; and the carelessness, misjudgments, and negligence of other Visitors and staff, including, for example, by improperly spotting and failing to follow proper procedures, instructions, and operating policies. If outdoors, Visitors will be exposed to the natural elements, including inclement weather, snow and ice, plants and animals, and uneven terrain, all of which can cause injury. Equipment used in/rented from the Gym is accepted by the Visitor "as is", without warranty of fitness, condition, or otherwise. I understand that the description of risks above is not intended to be complete and that other unknown or unanticipated risks, inherent and otherwise, may be encountered. The risks described and others, including the possibility of negligence of other Visitors and staff, are inherent in the activities of the Gym and moving about its premises - that is, the risks cannot be eliminated without destroying the essential nature and the social and instructional value of the visit. Assumption of RisksRisks encountered by Visitors, e.g., climbing or simply moving about the premises (including walkways, parking areas, and lawn), may result in all manner of trauma, including breaks, sprains, abrasions, serious injury, emotional upset, and even death. I acknowledge that Gym staff have been available to answer questions I may have about the Gym's activities and risks. I hereby acknowledge the risks described above and their inherency, and that other risks, inherent and otherwise, may be encountered. I understand and expressly assume these risks as well as every risk identified in Ohio Revised Code § 4175.06(A)–(F), including falls or crashes into the wall, holds, or obstacles; equipment failure; my own physical condition and ability to follow or give directions; fatigue, chill, or dizziness; and actions of others not attributable to an operator’s breach of §§ 4175.03 or 4175.08. Climber Duties (ORC § 4175.05). I will (a) read all warnings and obey all rules; (b) follow all written and oral staff instructions; (c) not participate while under the influence of alcohol, drugs, or any substance that impairs me; (d) climb within my abilities; and (e) promptly report unsafe conditions. Further, I expressly assume the risk for the ongoing protection and care of my personal property brought onto the premises by myself or my agents and understand that the Gym and/or its staff members maintain no duty to safeguard my personal property. If I am the Parent of a minor Visitor, I accept such risks on behalf of the minor and represent that I have discussed the activities and risks with the minor child, who understands and accepts them. Release and IndemnityI, an adult Visitor or Parent, agree to release Rock Candy Holds, LLC, Rock Mill, Ltd., their owners, managers, members, officers, staff, volunteers, or sponsors (“Released Parties”) from all claims for injury, disability, death, or loss to person or property arising in whole or part from my or the minor’s participation or visit to the Gym. Released Parties include landlords, lessors, affiliates, subsidiaries, franchisors, event organizers, route setters, contractors, volunteers, and insurers. I further agree to indemnify and hold harmless Released Parties from claims brought by or on behalf of me, my child, family, or anyone else arising from my or the minor’s participation or visit to the Gym. The parties acknowledge that Ohio Revised Code § 4175.06 provides a complete defense to claims based on assumed risks except where a breach of §§ 4175.03 or 4175.08 is proven. Additional ProvisionsMedical: The Gym may obtain emergency medical treatment if needed; I, as the Visitor, agree to be responsible for any associated costs. Media: I consent to the use of photos or videos for promotional purposes. Insurance: The Gym maintains liability insurance and files a current certificate of insurance with the Ohio Department of Commerce in compliance with § 4175.08. Alcohol: Alcoholic beverages must remain in designated bar or lounge areas. No climbing is permitted after consuming alcohol. Service may be refused, and any impaired person may be removed without refund. Minors: A Parent or Guardian must actively supervise minors when not climbing. Bouldering is not belayed or spotted by staff; any spotting is by the climber’s companions at their own discretion. Dispute Resolution: Any dispute shall first be mediated in good faith, then resolved by binding arbitration under the American Arbitration Association in Summit County, Ohio. Governing Law: This agreement is governed by the laws of the State of Ohio, and I, as the Visitor, agree that jurisdiction and Venue are appropriate in the Courts of Summit County, Ohio. SEVERABILITY: If any provision of this Agreement shall be held or made invalid by a court decision, statute, or rule, or shall be otherwise rendered invalid, the remainder of this Agreement shall not be affected thereby.
