Employee and Contractor and Sub-Contractor Acknowledgement and Agreement

This Agreement is intended for all contractors, sub-contractors, vendors, and employees of KSDT, Inc. (“KDST”).   Your contract and work product or employment with KSDT is conditioned upon your agreeing to the terms and conditions contained herein.   If you do not understand the terms and conditions, or if you do not agree to them, please immediately discontinue any projects, work or employment, and speak to It is the policy of KSDT to provide equal opportunity for all qualified persons and prohibit discrimination against any employee, contractor, sub-contractor or application because of race, color, religion, sex, age, national origin, ancestry, veteran status, disability, or any other protected status.

Compliance with all covered federal, state, and local laws concerning discrimination and harassment in employment and in the hiring of Contractors and sub-contractors will be strictly enforced by KSDT.  This policy governs all aspects of employment, including recruitment and placement, selection, job assignment, promotion, training, transfer, retention, rate of pay, benefits, discipline, termination and all other terms and conditions of employment. This policy also prohibits retaliation or adverse employment action against any contractor, sub-contractor or employee who exercises his or her rights under this policy or any anti-discrimination law, who cooperates in any company investigation, or who participates in any investigation or proceeding by any governmental agency.

KSDT has established an internal complaint process to ensure that complaints of discrimination, including retaliation and harassment, are addressed, and resolved as quickly as possible.  If you believe that you have been subjected to unlawful discrimination, harassment, or retaliation, you should immediately inform the person engaging in the conduct that it is offensive and must stop, and contact the official company contact for KSDT.  For the purpose of this Employee and Contractor Acknowledgement and Agreement, the sole contact at KSDT shall be Steven Goldman who can be reached by emailing steve@kathysanto.com or by sending correspondence to KSDT, 21 Harrison Ave, Waldwick NJ 07463.    Any notice or communication to any other person, officer, employee or contractor at KSDT, other than Steve Goldman shall not constitute valid and proper communication of such issues.  

You may raise concerns and make good faith reports to Steve Goldman without fear of reprisal.  All managers, supervisors, and other employees must cooperate fully with any possible review, investigation and resolution of complaints under this policy.  Anyone found to be engaging in any type of unlawful discrimination, harassment, or retaliation will be subject to disciplinary action, up to and including, termination of employment or their contractor relationship and contractor Agreements.

In compliance with the Immigration Reform and Control Act of 1986, each new employee, as a condition of employment, must complete the Employment Eligibility Verification Form I-9 and present documentation establishing identity and employment eligibility.  Employees may be required to complete additional employment paperwork as requested by KDST.

FOR EMPLOYEES:   YOU ARE AN EMPLOYMENT AT WILL

Employment at KSDT is at the mutual consent of you and KSDT, and either you or KSDT may terminate the relationship at any time, with or without cause, and with or without advance notice.  You hereby agree that you have no rights or claims to any compensation or consideration not owed or accrued as of the date of termination by you or KSDT.   Full-time Executive and Managerial personnel are not subject to any over-time hours or over-time benefits as they are full-time executives and management personnel. 

FOR 1099 CONTRACTORS AND SUBCONTRACTORS

You are not an employee of KSDT and none of your sub-contractors are Employees of KSDT.  Your sub-contractors report to you and you must insure yourself and your subcontractors or ensure they have their own insurance.  You must possess valid general liability insurance as well as Worker’s Compensation insurance for yourself and your sub-contractors or ensure they have their own such insurances. 

Waiver of Liability:   You agree to release the Facility, its owners, affiliates, operators, employees, agents, and officers from all liability for any loss, damage, injury, death, or expense that you, your family or anyone else may suffer, arising out of your employment or working at KSDT whether as an Employee, Contractor or Sub-contractor.   You also agree to indemnify and hold harmless Kathy Santo Dog Training, its officers, boarding staff, directors, instructors, agents, employees and/or representatives of any and all arising out of your own actions or that of any contractors or subcontractors you utilize.  You also understand, accept the risks of, and waive all claims in the event you, your dog, your contractors, sub-contractors, child, minor or guests are exposed to any infections, illness, virus or other contagions including but not limited to various forms of the flu, Kennel Cough, Covid19, which may be come from exposure to any other dogs, guests, participant, staff or any other person or from the Facility or the Facility equipment.  

Confidentiality and Non-Solicitation  Confidentiality You are expected to maintain the confidentiality of all KSDT and client information and documents of a non-public nature.  You have been or may be exposed to highly confidential, critical KDST information, client contact information, proprietary information about technologies or processes.   You agree that you will not use such documents or information for your own purposes either during your employment or after the termination of your Employment for a period of twenty four (24) months.  You agree to not solicit any employees, contractors, customers or prospects of KSDT for a period of twenty four (24) months following the conclusion or termination of your Employment or your Vendor or Contractor relationship. You are strictly prohibited from using KSDT computers in connection with any of the following activities: Engaging in illegal, fraudulent, or malicious conduct; sending, receiving, or storing offensive, obscene, sexually explicit or defamatory material; annoying or harassing other individuals.  

You agree to be legally bound by this Acknowledgement and Agreement and agree to accept your submission of your digital signature or other electronic signature or your work at KDST as explicit and implied agreeing to the terms and conditions herein.  If you do not agree to the terms and conditions contained herein, please speak exclusively to Steven Goldman, COO at KSDT.  If you do not speak to Steve Goldman and continue to work or function at the Facility this will be considered explicit and implicit acceptance of the terms and conditions contained herein regardless of whether you have signed this Agreement.
