Liability Waiver. Release of Liability, Covenant Not to Sue, and Image Release

In consideration of my, and/or on behalf of my children’s and legal or de facto wards’ (“Wards”) (altogether “Participants”) attendance for and participation in a tour and related activities (“the Activities”) provided by Antelope Slot Canyon Tours, Inc. (“the Company’), the Navajo Nation, and its affiliates (“the Companies”), I on behalf of myself and my Wards do hereby acknowledge and agree to the following:

1. The Activities are ordinarily performed and experienced in a remote outdoor environment which presents inherent risks due to undeveloped and uneven terrain, inclement weather, changing and irregular conditions, and close proximity to the Companies’ agents and other Participants.

2. By participating in the Activities, Participants knowingly acknowledge the RISK that the COVID-19 Coronavirus Pandemic presents to myself and my Wards. I and my Wards hereby absolve the Company and the Navajo Nation of any liability related thereto and assume the significant risks associated with the known factors described above, as well as risks associated with other unknown factors, such risks may cause harm including, without limitation: sprain: strains; fractures, heat and cold injuries such as burns, heat exhaustion, heatstroke, and hypothermia, over-use syndrome; injuries involving the acts or omissions of other Participants or vehicles associated with the Activities; animal bites and/or stings, contact with poisonous or otherwise dangerous plants, heart attack; diseases: permanent paralysis, and death.

3. While rules, equipment, and/or personal discipline may reduce risk, the risk of serious injury, illness, and or death still exists.

4. After opportunity to fully inform myself about the Activities, on behalf of myself and my Wards, 1 (undersigned) knowingly, voluntarily, and freely assume and accept all such risks, both known and unknown, even if arising from the negligence or act or omissions of the Company, the Navajo Nation, and its agents and affiliates (“the Released Parties,” defined below), and assume full responsibility and all risks for myself and/or my Wards’ participation in the Activities.

5. knowingly and voluntarily agree to comply with any stated customary terms and conditions (which have been made available to me) for Participants’ participation in the Activities. If, however, I observe an unusual and/or significant hazard during my presence during the Activities, I will remove myself and my Wards from participation and bring such hazard to the attention of the nearest employee or agent of the Company.

6. To the fullest extent permissible by applicable law, I, on behalf of myself and my Wards (if any), and our respective heirs, assigns, spouses, partners, personal representatives and next of kin, forever waive, release, discharge, and covenant not to sue the Company, the Navajo Nation, or any of its partners or affiliates, including but not limited to its owners, officers, directors, employees, contractors, representatives, agents, affiliates, direct or indirect parent or subsidiary entities, predecessors, successors, heirs, assigns, media partners, associated charities, sponsors, medical providers, permitting agencies, and any affiliated government bodies of any of the foregoing (collectively, the Released Parties”) with respect to any suit, claim, injury, disability, death, and/or loss or other damage to person or property, in connection with my or my Wards’ participation in the Activities, whether arising from the negligence or willful conduct of the Released Parties or otherwise.

7. I agree to indemnify, defend, and hold harmless the Released Parties from any loss, liability, cost, claim and/or other damages arising from Participant’s participation in or association with the Activities, including but not limited to attorney’s fees.

8. I, on behalf of myself and/or my Wards, attest and verify unless indicated below that:

  • a) I am over 18 years of age and am legally signing on behalf of myself and my Wards (if any);
  • b) Participants are free from all illnesses, injuries, and defects that could interfere with any person’s (including their own) safe participation in the Activities;
  • c) Participants are physically fit to participate in the Activities;
  • d) on the date of the Activities, Participants will possess and be covered by medical health insurance, individually or as part of an organization;
  • e) Participants (and their parents or legal guardians other than myself, if any) are aware and informed of the inherent risks in participating in the Activities and that Participants’ participation in the Activities is entirely voluntary; and
  • f) I, on behalf of myself and my Wards, consent to administration of first aid and other medical treatment and related services, including evacuation/transport, in the event of injury or illness in connection with participation in the Activities, and hereby release and indemnify the Released Parties from any and all liability or claims arising out of such treatment and/or services. 9) I further consent and agree to obtain, furnish, and allow, if required, the use and disclosure of my personal health information by such providers in connection with rendering services and/or treatment, and to sign any additional documents that may be requested by such providers, in connection with such information or services. 10) The Released Parties reserve the right, in their sole determination, to postpone, cancel, or modify the Activities due to weather conditions or other factors beyond their control that might affect the health and/or safety of Participants. The Released Parties will not be obligated to refund to Participants any money paid to the Company due to a cancelation of the Activities.

9. I, on behalf of myself and my Wards, irrevocably grant unlimited permission to the Released Parties to use, reproduce, sell, disseminate, and distribute any and all photographs, images, videotapes, motion pictures, recordings, or any other depiction of any kind of Participants or my or Wards’ participation in the Activities for any legitimate purpose in perpetuity and I understand that Participants will not be entitled to any compensation in connection therewith. I further hereby irrevocably and absolutely grant permission to the Released Parties to film, videotape, and record the participants in the Activities and subsequently to telecast, sell, distribute, and otherwise utilize the same in whatever manner the Released Parties deem appropriate. I acknowledge that the Released Parties shall have unlimited right throughout the world to copyright, use, reuse, publish, republish, broadcast, and otherwise distribute depictions of or information about Participants and all or any portion of the Activities in which Participants may appear on any and all radio, network, cable and local television programs, in any print materials, and in any other format or media (including electronic media) now known or hereafter devised in perpetuity and without compensation to Participants.

10. In consideration for being allowed to participate in the Activities, Participants release and agree not to sue the Released Parties from all present and future claims regarding Participants’ participation in the Activities or other events organized by the Released Parties, such release and agreement not to use extends to Participants heirs, assigns, spouses, partners, personal representatives, and/or next of kin.

11. If any provisions of this Liability Waiver, Release of Liability, Covenant Not to Sue, and Image Release (“this Waiver”) is deemed by a court of competent jurisdiction invalid or unenforceable in any respect, then all other provisions hereof shall remain in full force and effect to the fullest extent permitted by applicable law.

12. This Agreement is governed by the laws of the Navajo Nation, and any disputes arising from this Waiver shall be brought and adjudicated in the Navajo Nation District Court, Tuba City Judicial District.

13. Participants have had a full opportunity to discuss this Waiver with their lawyer prior to signing it, and waive any rule regarding strict construction in favor of any party. Rather, this Waiver shall be construed as if drafted by Participant, the Navajo Nation, and the Company

14. Participants represent that the person signing this Waiver is duly authorized by all necessary and appropriate persons to sign this Waiver, and if the person signing this Waiver lacks legal authority to sign on behalf of Participants, then the person signing this Waiver agrees to indemnity, defend, and hold harmless the Released Parties in any action arising from this Waiver.

15. If Participants are aware of this Waiver, they shall be deemed to have consented to it by participating in the Activities even if they have not signed this Waiver.

16. The Released Parties need not sign this Waiver; their agreement to this Waiver is evident by their presentation of this Waiver to Participants and by allowing Participants to participate in the Activities.

17. I have read and fully understand this waiver. I understand that I have given up, on behalf of myself and my children and Wards, substantial rights by signing it, and nonetheless sign it freely and voluntarily
