PRIVATE MEMBERSHIP AGREEMENT

MEMBERS ONLY

Holistic Health Education • Biblical Education • Private Ministry Membership

PREAMBLE

OMNI Health Ministries (hereinafter referred to as the “Ministry”) is a private, member-based ministry organization dedicated to supporting the spiritual, educational, and holistic well-being of its members through biblical education, holistic health education, fellowship, ministry activities, and related educational resources.

All programs, educational activities, consultations, mentoring, resources, and other activities governed by this Agreement are private Ministry activities offered to MEMBERS ONLY.

Participation in the Ministry is private and voluntary. Access to Ministry programs, educational activities, resources, and member services is limited to individuals who have voluntarily entered into this Private Membership Agreement (“Agreement”) and have been accepted as members of OMNI Health Ministries.

Dr. Jamie Wellness is a solely owned private label of OMNI Health Ministries. Programs, classes, consultations, mentoring, educational materials, presentations, resources, and other activities offered under the Dr. Jamie Wellness name are offered as activities of OMNI Health Ministries for MEMBERS ONLY and are subject to this Agreement.

The purpose of this Agreement is to establish the private membership relationship between OMNI Health Ministries and the Member and to describe the nature and scope of the Ministry’s educational activities.

1. PURPOSE OF MEMBERSHIP

The Member understands that the primary purposes of OMNI Health Ministries and Dr. Jamie Wellness include:

  • Biblical and faith-based education;
  • Holistic health and wellness education;
  • Nutrition and lifestyle education;
  • Education concerning traditional and holistic approaches to wellness;
  • Educational discussion of nutritional supplements, herbs, homeopathy, food, lifestyle, exercise, stress management, and other wellness practices;
  • Functional and holistic health education;
  • Spiritual development and biblical principles concerning stewardship of the body;
  • Classes, workshops, mentoring, educational consultations, group programs, and other member activities; and
  • Fellowship and private exchange of information among Ministry members.

All such activities are provided exclusively within the private membership relationship established by this Agreement and are intended for MEMBERS ONLY.

2. DR. JAMIE WELLNESS

The Member understands and agrees that Dr. Jamie Wellness is a solely owned private label of OMNI Health Ministries and is not a separate organization or healthcare facility.

Activities offered under the Dr. Jamie Wellness name are Ministry activities conducted for members of OMNI Health Ministries.

The use of the title “Dr.” in connection with Dr. Jamie Wellness refers to academic and professional educational credentials and does not represent that Dr. Jamie is a medical doctor or physician.

Dr. Jamie Wellness provides holistic health education, biblical education, wellness mentoring, and related educational resources to MEMBERS ONLY within the private Ministry relationship.

3. NO MEDICAL ADVICE OR MEDICAL SERVICES

The Member expressly understands and acknowledges that OMNI Health Ministries and Dr. Jamie Wellness do not provide medical advice, medical diagnosis, medical treatment, medical prescriptions, or medical care in any capacity through the educational activities governed by this Agreement.

Information provided through consultations, classes, mentoring sessions, educational programs, reports, questionnaires, wellness assessments, educational protocols, written materials, videos, presentations, or other Ministry activities is provided solely for holistic health education, biblical education, and general informational purposes for Ministry members.

Nothing communicated through OMNI Health Ministries or Dr. Jamie Wellness is intended to:

  • Diagnose a disease, disorder, or medical condition;
  • Prescribe treatment for a disease or medical condition;
  • Replace medical evaluation or treatment;
  • Direct a Member to discontinue or modify prescription medication;
  • Replace the services of a physician or other appropriately licensed healthcare professional; or
  • Establish a physician-patient or other licensed healthcare-provider relationship.

Members remain solely responsible for decisions concerning their medical care.

Members experiencing symptoms requiring medical evaluation or having questions regarding prescription medications, diagnosis, medical treatment, or medical conditions are encouraged to consult an appropriately licensed healthcare professional.

4. HOLISTIC HEALTH EDUCATION

The Member understands that Ministry education may include discussion of nutrition, foods, dietary supplements, herbs, homeopathic products, lifestyle practices, laboratory information, functional wellness concepts, exercise, stress management, sleep, spiritual practices, and other holistic wellness subjects.

Any suggestions, observations, educational protocols, wellness plans, or educational materials provided are intended to help the Member learn about holistic wellness concepts and possible subjects for further personal research and discussion with the Member’s chosen healthcare professionals.

Such information should not be interpreted as a diagnosis, prescription, or individualized medical treatment plan.

All such educational activities are private Ministry activities intended for MEMBERS ONLY.

5. BIBLICAL AND SPIRITUAL EDUCATION

OMNI Health Ministries recognizes the spiritual dimension of whole-person wellness.

Ministry activities may therefore incorporate Scripture, prayer, biblical principles, spiritual reflection, faith-based education, and discussion concerning the relationship between spiritual, mental, emotional, and physical well-being.

Participation in prayer, biblical education, or other spiritual activities is voluntary.

The Ministry seeks to provide a private, members-only environment in which members may study biblical principles and explore holistic wellness within a faith-centered community.

6. PRIVATE MEMBERSHIP STATUS — MEMBERS ONLY

By executing this Agreement, the Member voluntarily chooses to associate with OMNI Health Ministries as a private member.

Membership provides access to Ministry resources, educational programs, activities, events, mentoring, fellowship, and other opportunities made available to Ministry members.

Programs and activities governed by this Agreement are not offered to the general public under this Agreement. They are offered within the Ministry’s private membership relationship to MEMBERS ONLY.

The Member acknowledges that participation is voluntary and based upon mutual agreement between the Member and the Ministry.

Nothing in this Agreement is intended to waive or circumvent any law that is legally applicable to the Ministry, a Member, or any individual practitioner.

7. PRACTITIONERS AND PROFESSIONAL LICENSES

Individuals participating in Ministry activities may possess professional licenses, certifications, academic degrees, ministry credentials, or other qualifications.

Unless a particular service is expressly identified as being provided under an individual’s professional license, participation in OMNI Health Ministries or Dr. Jamie Wellness educational programs should not be interpreted as establishing a licensed professional-patient relationship.

Where an individual provides a separately regulated or licensed professional service, that service may be governed by a separate agreement, informed consent, disclosure, or other documentation applicable to that service.

Nothing in this Agreement is intended to authorize any person to engage in an activity for which a license is legally required without complying with applicable law.

8. PRIVACY AND CONFIDENTIALITY

The Ministry considers communications and information exchanged within its private membership activities to be private and confidential to the extent reasonably possible and permitted by law.

Members agree to respect the privacy of other members and not to disclose confidential information learned through private Ministry activities without permission.

The Member understands that this contractual commitment to privacy does not create a legal privilege or statutory confidentiality protection where one does not otherwise exist and does not prevent disclosure when disclosure is required by applicable law.

9. VOLUNTARY PARTICIPATION AND PERSONAL RESPONSIBILITY

Participation in Ministry activities is voluntary.

Each Member retains responsibility for determining whether any educational information, lifestyle practice, dietary choice, supplement, exercise program, spiritual practice, or other wellness concept is appropriate for the Member’s individual circumstances.

The Member agrees to seek appropriate professional medical advice when medical evaluation, diagnosis, treatment, or medication management is needed.

10. LEGAL PROTECTIONS AND RETAINED RIGHTS

Ninth Amendment to the United States Constitution

The Ministry and Member acknowledge the Ninth Amendment to the United States Constitution, which provides:

“The enumeration in the Constitution, of certain rights, shall not be construed to deny or disparage others retained by the people.”


The Ministry and its members affirm their intention to exercise all rights, freedoms, and protections lawfully available to them, including lawful rights of private association, religious exercise, expression, education, and voluntary contractual association.

Nothing in this Agreement shall be construed as a waiver of any constitutional, statutory, common-law, or other legal right or remedy otherwise available to the Ministry or Member.

Title 42, United States Code, § 1983

The Ministry and Member acknowledge 42 U.S.C. § 1983, which provides a civil remedy in circumstances where a person acting under color of state law deprives another person of rights, privileges, or immunities secured by the Constitution or federal law.

Nothing in this Agreement expands, modifies, or independently creates a cause of action under 42 U.S.C. § 1983. The Ministry and Member reserve whatever rights and remedies may lawfully be available under that statute or other applicable law.

Title 18, United States Code, § 241

The Ministry and Member further acknowledge 18 U.S.C. § 241, the federal criminal statute concerning conspiracies to injure, oppress, threaten, or intimidate a person in the free exercise or enjoyment of rights or privileges secured by the Constitution or laws of the United States.

The inclusion of this statute in this Agreement is an acknowledgment of existing federal law and is not intended to create a private criminal enforcement right or an independent contractual cause of action.

Reservation of Rights

Neither OMNI Health Ministries nor the Member intends by entering this Agreement to surrender any lawful constitutional, statutory, contractual, religious, associational, or other rights otherwise available to them.

11. MEMBER OBLIGATIONS

Adherence to Ministry Principles

The Member agrees to respect the mission, principles, values, and private nature of OMNI Health Ministries and to participate in Ministry activities in good faith.

Respect for Privacy

The Member agrees to respect the privacy and confidentiality of other Ministry members and private Ministry activities.

Respectful Conduct

Members shall conduct themselves respectfully toward the Ministry, its leadership, educators, practitioners, volunteers, and other members.

12. DISPUTE RESOLUTION

Internal Resolution

The Member agrees that disputes concerning membership or Ministry activities should first be presented to the Ministry in good faith so that the parties may attempt to resolve the matter privately through the Ministry’s internal conflict-resolution process.

Preservation of Legal Rights

If an internal resolution cannot be achieved, nothing in this Agreement shall prevent either party from exercising legal rights or remedies that are otherwise available under applicable law.

Nothing in this dispute-resolution provision creates a legal remedy that would not otherwise exist.

13. TERMINATION OF MEMBERSHIP

Voluntary Termination

A Member may terminate membership at any time by providing written notice to OMNI Health Ministries.

Termination by the Ministry

OMNI Health Ministries reserves the right to suspend or terminate membership when a Member materially violates this Agreement, disrupts Ministry activities, compromises the privacy or safety of other members, or engages in conduct materially inconsistent with the purposes and principles of the Ministry.

Termination of membership ends the Member’s right to participate in members-only Ministry programs and activities.

14. ACKNOWLEDGMENT AND INFORMED ACCEPTANCE

By signing below, the Member acknowledges and agrees that:

  1. The Member has read and understands this Agreement.
  2. Membership in OMNI Health Ministries is voluntary.
  3. Dr. Jamie Wellness is a solely owned private label of OMNI Health Ministries.
  4. Activities governed by this Agreement are private Ministry activities intended for MEMBERS ONLY.
  5. These activities are intended for holistic health education, biblical education, spiritual development, and other private Ministry purposes.
  6. OMNI Health Ministries and Dr. Jamie Wellness are not providing medical advice, medical diagnosis, medical treatment, medical prescriptions, or medical care through the educational activities governed by this Agreement.
  7. Educational information provided through the Ministry is not a substitute for appropriate medical care.
  8. The Member remains responsible for decisions concerning the Member’s health and medical care.
  9. The Member understands and accepts the private membership relationship established by this Agreement.
  10. Nothing in this Agreement is intended to waive any legal right or to exempt any person from a law that is otherwise legally applicable.

15. ENTIRE AGREEMENT

This Agreement constitutes the understanding between the Member and OMNI Health Ministries concerning membership and the educational Ministry activities governed by this Agreement.

Dr. Jamie Wellness is a solely owned private label of OMNI Health Ministries.

This Agreement supersedes prior membership agreements or understandings concerning the same subject matter unless a separate written agreement expressly provides otherwise.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.

MEMBER ACCEPTANCE

I voluntarily request membership in OMNI Health Ministries and acknowledge that I have read, understand, and agree to the terms of this Private Membership Agreement.
