WAIVER, RELEASE OF LIABILITY,
ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT

PLEASE READ CAREFULLY BEFORE SIGNING. THIS IS A LEGALLY BINDING AGREEMENT THAT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE.

This Waiver, Release of Liability, Assumption of Risk, and Indemnity Agreement (this “Agreement”) is entered into between Atletico del Valle Futsal LLC, a California limited liability company doing business as Atletico del Valle Futsal (together with its owner, members, managers, coaches, instructors, employees, agents, volunteers, contractors, and affiliates, collectively the “Released Parties”), and the participant identified below and, if the participant is under eighteen (18) years of age, the participant’s parent or legal guardian (together, the “Participant Parties”).

In consideration of being permitted to register for, participate in, and attend futsal training sessions, camps, clinics, practices, competitions, events, and related activities offered, organized, or supervised by Atletico del Valle Futsal LLC (collectively, the “Activities”), the Participant Parties agree to the following:

1. Acknowledgment and Express Assumption of Risk

The Participant Parties understand that futsal and the Activities are physically demanding contact sports and recreational activities that involve inherent and other risks of serious injury, permanent disability, paralysis, and death. These risks cannot be eliminated regardless of the care taken to avoid them. The Participant Parties knowingly, voluntarily, and expressly assume all such risks, both known and unknown, including but not limited to:

• Physical contact, collisions, and entanglement with other players, coaches, or officials;

• Slips, trips, falls, and contact with the playing surface, walls, goals, benches, or other fixtures;

• Being struck by the ball, equipment, or other objects;

• Sprains, strains, fractures, concussions and other head injuries, dental and eye injuries, heat-related illness, dehydration, cardiac events, and overexertion;

• Conditions of the court, facility, lighting, flooring, or equipment;

• The conduct of other participants, spectators, officials, or third parties, which may be negligent, careless, or reckless;

• Travel and transportation to, from, and between Activities, facilities, and events;

• Exposure to communicable illnesses; and

• The negligence of the Released Parties and the inadequacy of, or delay in, first aid, emergency response, or medical treatment.

The Participant Parties represent that the Participant is in good health and physically fit to participate, has no medical condition that would make participation dangerous, and is voluntarily participating with full knowledge of the risks. The Participant Parties accept and assume full responsibility for any and all injuries, losses, and damages arising out of or related to participation in the Activities.

2. Release and Waiver of Liability

To the fullest extent permitted by California law, the Participant Parties hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE the Released Parties from and against any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) of any kind, whether known or unknown, that the Participant Parties now have or may later have, arising out of or in any way connected with the Participant’s registration for, presence at, or participation in the Activities, INCLUDING ANY SUCH CLAIM CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OF ANY OF THE RELEASED PARTIES.

This release applies to claims for personal injury, bodily injury, illness, death, and property damage. The Participant Parties understand that they are giving up substantial legal rights, including the right to recover from the Released Parties for injuries or losses caused by the ordinary negligence of the Released Parties.

Limitation. This release does not apply to, and the Participant Parties do not waive, claims arising from the gross negligence, recklessness, or willful or wanton misconduct of the Released Parties, which California law does not permit to be released in advance.

3. Indemnification and Hold Harmless

To the fullest extent permitted by law, the Participant Parties agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys’ fees) brought by or on behalf of the Participant, the Participant Parties, or any third party, arising out of or relating to the Participant’s participation in the Activities or any breach of this Agreement, except to the extent such claims arise from the gross negligence, recklessness, or willful misconduct of the Released Parties. If the Participant is a minor, the parent or legal guardian signing below agrees that this indemnification obligation is binding on them personally.

4. Waiver of California Civil Code Section 1542

The Participant Parties expressly waive the protections of California Civil Code section 1542, which provides:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Having been advised of the contents of section 1542, the Participant Parties knowingly and voluntarily waive its provisions and any similar law of any jurisdiction, and intend this release to extend to all claims, whether or not known or suspected at the time of signing.

5. Parent / Legal Guardian Acknowledgment (for Participants Under 18)

If the Participant is under eighteen (18) years of age, the parent or legal guardian signing below (“Parent”) represents that they are the parent or legal guardian with full authority to act on the minor’s behalf, and that they have read and understood this Agreement and explained its terms to the minor. The Parent, on behalf of themselves and the minor:

(a) expressly assumes, on the minor’s behalf and on their own behalf, all of the risks described in Section 1;

(b) releases and waives, on their own behalf as Parent, all claims they may have, individually, arising from the minor’s participation in the Activities, to the fullest extent permitted by law;

(c) agrees to the indemnification and hold-harmless obligations in Section 3, personally and on the minor’s behalf, including any claim brought by or on behalf of the minor; and

(d) consents to the minor’s participation in the Activities, including travel and transportation associated with them.

The Parent understands that California law may limit the extent to which a parent can release a minor child’s own future claims, and that the assumption of risk and parental indemnification provisions above are intended to apply to the fullest extent the law allows.

6. Authorization for Emergency Medical Treatment

The Participant Parties authorize the Released Parties, in the event of an injury or medical emergency and when a parent, guardian, or emergency contact cannot be reached in a timely manner, to arrange for and consent to first aid, emergency medical care, transportation by ambulance, and treatment by qualified medical personnel that the Released Parties reasonably deem necessary for the Participant’s health and safety. The Participant Parties agree to be financially responsible for the cost of any such care and confirm that they have disclosed below any allergies, medical conditions, or medications relevant to emergency care.

7. Photo and Media Release

As a condition of participation in the Activities, the Participant Parties grant the Released Parties the irrevocable, perpetual, royalty-free right and permission to photograph, film, and record the Participant during the Activities, and to use, reproduce, edit, publish, and display those photographs, video, audio, and likenesses for any promotional, instructional, marketing, commercial, or business purpose (including on websites, social media, print materials, and advertising), in any medium now known or later developed, without compensation, notice, or approval. The Participant Parties waive any right to inspect or approve the finished materials and release the Released Parties from any claim arising out of such use, including claims for invasion of privacy, right of publicity, or defamation. The Participant Parties understand that this permission is required to participate and is not optional.

8. General Provisions

Governing Law. This Agreement is governed by and construed under the laws of the State of California, without regard to its conflict-of-laws principles.

Venue. The Participant Parties agree that any dispute arising out of or relating to this Agreement or the Activities shall be brought exclusively in the state or federal courts located in Stanislaus County, California, and the Participant Parties consent to the personal jurisdiction and venue of those courts.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed, and the remaining provisions shall continue in full force and effect. The parties intend that each release and waiver be given the broadest application permitted by law.

Entire Agreement. This Agreement is the entire agreement between the parties regarding its subject matter and supersedes any prior understandings. It may be amended only in a writing signed by Atletico del Valle Futsal LLC.

Voluntary Execution. The Participant Parties acknowledge that they have read this Agreement, fully understand its terms, understand that they are giving up substantial rights (including the right to sue) by signing it, and sign it freely and voluntarily without any inducement.
