AGREEMENT, WAIVER, AND RELEASE OF LIABILITY

IMPORTANT – READ CAREFULLY BEFORE SIGNING

By signing this document, you are giving up certain legal rights, including the right to sue for injuries or damages. This agreement applies to all individuals using the facility in any capacity, including members, day or week pass users, personal training clients, and guests (collectively referred to as “Users”).

1. Parties and Covered Users

This Agreement is between Prime Strength LLC (“Prime Strength”) and the undersigned User. The term “User” includes any individual who enters, trains, observes, or participates in activities within the facility, whether through a membership, day pass, week pass, training session, event, or guest access. Signing this document does not create any recurring billing or membership obligation unless you have separately enrolled in a paid membership plan.

2. Acknowledgment of Facility Type and 24/7 Access

Prime Strength operates as a 24-hour access facility. During certain hours, there may be no staff or supervision on-site. You acknowledge and understand that there may be no one available to provide medical assistance in case of injury, heart attack, or emergency; you are responsible for your own safety; and you are encouraged to train with a partner and keep a phone nearby. Emergency contact information is posted in the facility.


I understand that Prime Strength is a 24-hour facility and that no supervision or medical assistance may be available.

3. Physical Condition and Medical Disclaimer

You represent that you are in good physical condition and capable of safely using the facility and equipment. Prime Strength and its staff do not provide medical advice and make no representations regarding your fitness for participation.

4. Access Control, Security, and Responsibility

If you are issued a key fob, code, or digital access credential, you agree: It is for your personal use only and may not be shared with others. Allowing unauthorized individuals to enter the facility using your access will result in immediate termination of access and possible financial liability for damages or losses. Prime Strength reserves the right to revoke access for any policy violation.


I will not share my access code or allow unauthorized entry and understand I am responsible for damages caused by myself or others I permit into the facility.

5. Facility Use, Risks, and Release of Liability

Use of the gym and participation in activities involve inherent risks, including injury, illness, or death. You voluntarily assume all such risks associated with your use of the facility. You release and agree not to sue Prime Strength LLC, its owners, officers, employees, contractors, affiliates, and agents for any injuries or property damage arising from your use of the facility, even if caused in part by their negligence. You also agree to indemnify and hold harmless Prime Strength for any claims or damages resulting from your actions or misconduct.


I understand and accept all risks of injury or death and release Prime Strength LLC from all liability, including negligence.

Membership Terms

All memberships at Prime Strength are billed on a month-to-month basis with no long-term contracts, cancellation fees, or hidden charges. Cancellation or change of membership status must follow the standard notice procedures outlined at checkout. This agreement does not create any ongoing financial obligation unless you separately authorize recurring billing through Prime Strength’s payment system.

6. Rules, Conduct, and Termination

All Users must follow gym rules and policies. Prime Strength reserves the right to terminate access or membership for unsafe behavior, allowing unauthorized entry, or damaging property. No refunds will be provided for violations or termination.

7. Incidents, Theft, and Misconduct

Prime Strength reserves the right to investigate and document any incident involving theft, damage, or misconduct. Anyone found responsible or complicit may be banned and held financially liable.


I understand that I may be held liable for damages or theft I cause.

8. Membership and Non-Member Access

Users may access the facility through Membership, Day or Week Pass, Personal Training Session, or Guest Access with approval. Only those with a signed Membership Agreement are billed recurring dues. All Users are bound by this Agreement during use.

9. Photo and Video Release

You grant Prime Strength LLC full permission to use your image, likeness, voice, or video captured on the premises for any lawful purpose, including but not limited to marketing, advertising, social media, educational, or promotional materials, in any format, without compensation. If you wish to revoke this consent, you may do so at any time by emailing primestrengthllc@gmail.com. Revoking consent may result in forfeiture or cancellation of your membership or facility access privileges, as media use is an inherent part of Prime Strength’s promotional and community operations.

10. Jurisdiction and Legal Terms

This Agreement is the entire understanding between you and Prime Strength. It is governed by the laws of Florida, with venue in Sarasota County. You knowingly waive your right to a jury trial.


I agree that Florida law governs this agreement and waive my right to a jury trial.

11. Acknowledgment of Access Type

You acknowledge that your method of access (membership, day pass, week pass, personal training, or guest) will be selected under the following section of this waiver. This Agreement applies to all forms of access and all Users while on the premises.

12. Termination of Access and Membership

Use of Prime Strength is a privilege, not a right. Prime Strength LLC reserves the sole and absolute discretion to revoke, suspend, or terminate any User’s access, membership, or training privileges at any time, with or without cause or notice, including but not limited to violations of gym rules, unsafe behavior, property damage, or conduct deemed inappropriate or detrimental to the facility, staff, or other members. No refunds will be provided in the event of termination under these circumstances.

13. Acceptance and Signature

I have read and understand this Agreement, including the release of liability and assumption of risk. I agree to abide by all Prime Strength rules and policies. I understand that by signing, I am giving up certain legal rights, including the right to sue.
