1 CI is a California nonprofit public benefit corporation that is recognized as tax exempt under federal and state law. CI is a fiscal sponsor of projects that engage in charitable or educational activities. CI is the fiscal sponsor of “WiDS Worldwide,” a project with a mission to elevate women in the field of data science by providing inspiration, education, community, and support.
2 “WiDS Marks” means the WOMEN IN DATA SCIENCE word mark, the logo design mark, and such other designations of WiDS Worldwide for use by Ambassadors in connection with promoting and hosting regional events. Except as expressly granted by this Agreement, CI reserves all right, title, and interest in the WiDS Marks.

5 You agree to indemnify, defend, and hold harmless CI (including WiDS Worldwide), together with its officers, directors, agents and employees, from and against any claims, demands, damages, and costs (including attorney fees and costs) arising from or related to the actual or alleged (i) infringement of the intellectual or other proprietary rights of a third party as a result of the unauthorized use of the trademarks by, or on behalf of the licensee, (ii) infringement of the intellectual or other proprietary rights of a third party as a result of conducting or promoting your regional event (iii) violation of a law, statute, or regulation arising from conducting or promoting your regional event, or (iv) material breach of any terms of this Agreement.
6 Except for your indemnification obligation under this Agreement, in no event will either party be liable to the other for any indirect, special, incidental, exemplary, punitive or consequential damages (including loss of business or profits) arising out of or in connection with this Agreement, whether such liability arises from any claim based on contract, warranty, tort (including negligence) strict liability or otherwise, and whether or not the party has been advised of the possibility of such loss or damage. The foregoing limitations will survive and apply even if any limited remedy specified in this Agreement is found to have failed its essential purpose.
