Brock Ebikes, LLC — Sports & Recreation Consent & Waiver This Consent & Waiver (the "Agreement") is entered into between the undersigned participant ("Participant") and Brock Ebikes, LLC ("Company"). In consideration of Company permitting Participant to engage in any activity, use of equipment, rental services, guided tours, instruction, access to premises, or other sports and recreational services provided by Company (collectively, the "Activities"), Participant agrees to the terms set forth below. 1. Acknowledgement of Risk Participant acknowledges and understands that the Activities involve inherent risks, dangers, and hazards, including but not limited to: falls, collisions with stationary or moving objects or persons, mechanical failure of bicycles or equipment (including electrical components), changes in terrain, surface conditions, weather-related hazards, risks posed by other participants or third parties, travel to and from activity sites, and the possibility of serious physical injury, permanent disability, or death. Participant expressly assumes all such risks, whether known or unknown, foreseeable or unforeseeable. 2. Voluntary Participation and Fitness to Participate Participant affirms that participation is voluntary. Participant represents that he/she is physically and mentally able to participate safely in the Activities, that Participant has sought medical advice if there are any concerns about health or fitness, and that Participant will notify Company in writing of any physical or mental condition that might affect Participant's ability to participate safely. 3. Release and Waiver of Liability To the fullest extent permitted by law, Participant, on behalf of himself/herself, heirs, assigns, personal representatives and next of kin, hereby releases, waives, discharges, and covenants not to sue Company, its owners, members, managers, officers, employees, instructors, guides, agents, representatives, contractors, volunteers and affiliates (collectively, the "Released Parties") from any and all liability, claims, demands, causes of action, losses, damages, costs or expenses (including attorneys' fees) arising out of or related to any loss, damage, injury or death that may be sustained by Participant, or to any property belonging to Participant, whether caused by the negligence of the Released Parties or otherwise, while participating in or traveling to or from any Activities. 4. Indemnification Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Participant's negligent or intentional acts or omissions, breach of this Agreement, or violation of applicable laws or rules during Participation. 5. Equipment, Maintenance, and Assumption of Responsibility Participant acknowledges that Company provides equipment (including electric bicycles, helmets, chargers and locks) which require proper use and care. Participant agrees to inspect all equipment prior to use and to immediately notify Company of any defect or unsafe condition. Participant accepts responsibility for returning rented equipment in substantially the same condition as received, normal wear and tear excepted, and accepts financial responsibility for loss, theft, or damage resulting from Participant's negligence or misuse. 6. Rules, Instructions and Compliance Participant agrees to follow all instructions, safety briefings, posted rules and orders of Company personnel. Failure to comply may result in immediate termination of participation and/or removal from the premises without refund. 7. Medical Treatment and Emergency Care In the event of an injury or medical emergency, Participant authorizes Company and its agents to obtain any necessary emergency medical treatment on Participant's behalf, and Participant agrees to be responsible for any costs incurred for such treatment. If Participant is a minor, parent/guardian consent is required and is set forth below. 8. Medical Conditions and Disclosure Participant shall disclose any medical condition, medication use, or physical limitation that may affect safe participation. Participant acknowledges that Company has the right to refuse service or require a physician's clearance if Company reasonably believes Participant's participation presents a heightened risk. 9. Photo and Media Release Participant grants Company the irrevocable right to photograph, film, record and use Participant's likeness, image, and voice in any media for promotional, educational, advertising, or other lawful purposes without compensation, unless Participant indicates withholding consent in the designated field below. 10. Fees, Payments and Refunds Participant agrees to pay all applicable fees for rentals, services, tours and merchandise. Prices, deposits, damage waivers and other charges are as stated at time of booking or rental. Refunds, cancellations and no-show policies are governed by Company's posted terms and are binding on Participant. 11. Governing Law and Venue This Agreement shall be governed by and construed in accordance with the substantive laws of the state in which the Company operates, without regard to conflict of laws principles. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located within that state. 12. Severability and Enforceability If any provision of this Agreement is found to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. 13. Minor Participants If Participant is under eighteen (18) years of age (or the age of majority in the applicable jurisdiction), a parent or legal guardian must sign below. The parent/guardian by signing affirms authority to act on behalf of the minor and accepts all terms of this Agreement for the minor. 14. Voluntary Execution Participant affirms that Participant has carefully read and fully understands this Agreement, that Participant is at least eighteen (18) years of age (or that a parent/guardian has signed on behalf of a minor), and that Participant is executing this Agreement voluntarily and intending to be legally bound by its terms.
