VISITOR AGREEMENT

(INCLUDING ASSUMPTION OF RISK AND AGREEMENT OF RELEASE AND INDEMNITY)
PLEASE READ CAREFULLY BEFORE SIGNING, THIS IS A RELEASE OF LIABILITY AND A WAIVER OF CERTAIN LEGAL RIGHTS

This Agreement must be signed by all visitors of The Scratch Pad Training Center LLC, a Utah limited liability company (collectively referred to herein with The Scratch Pad’s employees, owners, visitors, directors, agents, independent contractors and assigns as “The Scratch Pad”). If the visitor is a minor, it must be signed by his or her parent or legal (court appointed) guardian, who signs for himself or herself and, if allowed by law, the minor visitor. “Visitor” as used in this Agreement includes participants in The Scratch Pad Activities (see below) and other persons that enter The Scratch Pad facility or take part in an activity at the Scratch Pad. In consideration of the services of The Scratch Pad, I, an adult visitor or parent or legal guardian of a visitor who is a minor, acknowledge and agree as follows:

ACTIVITIES: This Agreement applies to facilities operated by The Scratch Pad Training Center LLC, other facilities that The Scratch Pad uses for its activities, and any outdoor or remote locations where The Scratch Pad is conducting activities. Activities of The Scratch Pad (“The Scratch Pad Activities”) include but are not limited to the following: the use of roped (toprope, auto-belay and lead climbing) climbing walls, bouldering areas, weights and other training and fitness equipment, participation in activities or events including gear demonstrations, parties, clinics, training, yoga and other fitness classes, remote outdoor climbing, camps and classes, travel to other activity sites, use of parking areas, the rental or borrowing of equipment from The Scratch Pad, and other activities and use of facilities and equipment at The Scratch Pad Training Center or elsewhere.

RISKS: I recognize and understand that there are risks, hazards and danger in The Scratch Pad Activities, inherent and otherwise, and that participation could result in injuries of all kinds, including serious injury or death. The risks involved in The Scratch Pad Activities include, but are not limited to: hazards in traveling to the location of an activity; parking and moving about parking and other areas in the vicinity of the gym or other activity site; falling, collision with objects, people or structures, falling onto uneven, worn or hard landing surfaces; being struck by other visitors or objects including injury by climbing tools; loose handholds or loose rock/ice, equipment failure even if equipment is properly used; the conduct, including negligent conduct, of other visitors, participants and staff; harm due to exposure to weather, plants or wildlife; potential exposure to pathogens and communicable diseases; the aggravation of pre-existing conditions; risks identified by The Scratch Pad through rules and warnings, whether written, oral or otherwise; and other foreseeable or unforeseeable risks. These and other risks are inherent in a visit to The Scratch Pad facility or other activity site – that is, they cannot be eliminated without changing the nature of the visit and participation in The Scratch Pad Activities. Participation in The Scratch Pad Activities is voluntary and visitors may withdraw from participation at any time.

ASSUMPTION OF RISKS: Understanding these risks and dangers, and understanding that other risks will be encountered, I expressly assume all risks associated with The Scratch Pad Activities, inherent and otherwise, and whether or not described above. If the visitor is a minor, I have explained the activities and risks to him or her, and the minor wishes to participate in The Scratch Pad Activities nevertheless.

RELEASE OF LIABILITY AND INDEMNITY: I, an adult visitor, or parent or guardian of a visitor who is a minor (for myself and, to the maximum extent allowed by law, on behalf of the minor) agree not to sue, and to release, discharge and indemnify (that is, defend and pay, including costs and attorneys fees) The Scratch Pad Training Center LLC, lessees and owners of the properties on which The Scratch Pad Activities are conducted, and their respective members, owners, managers, directors and staff (“Released Parties”) with respect to any damages, claims, liability, or causes of action arising out of my or the minor child’s visit to The Scratch Pad facilities, or other site where The Scratch Pad Activities take place, the use of its facilities and equipment and participation in The Scratch Pad Activities. The obligation to indemnify includes any claim, liability, or cause of action by third parties, including other visitors, and a member of my, or the minor visitor’s, families, arising out of my, or the minor visitor’s, visit to the gyms or other The Scratch Pad activity site, the use of its facilities and equipment and participation in The Scratch Pad Activities. These agreements of release and indemnity include claims of negligence (but not gross negligence or intentionally wrongful conduct) of a Released Party.

OTHER:

1. I, or the minor visitor, am capable of participating in The Scratch Pad Activities and have no mental or physical condition that would cause me or the minor visitor to be a danger to ourselves or others.

2. I understand that I am responsible for assessing the quality of my, and the minor visitor’s, climbing or fitness gear brought to the gym or other activity site and declare that it is in good condition for use.

3. I understand that The Scratch Pad is not liable for any lost or stolen equipment or personal items brought to The Scratch Pad facilities or other The Scratch Pad Activity site.

4. I understand that in order to participate in The Scratch Pad Activities I, for myself or for the minor visitor of whom I am a parent or legal guardian, must sign this agreement; I, or the minor, must complete whatever instructional and/or certification program The Scratch Pad requires for the particular activity; and I, or the minor, must read and abide by all of The Scratch Pad’s rules, warnings, and regulations. The Scratch Pad has no duty to monitor my visit to The Scratch Pad whether or not I participate in The Scratch Pad Activities.

5. In the event of an accident, I authorize The Scratch Pad to stabilize and obtain medical care, including transportation to a medical facility, for me or the minor visitor if, in the opinion of The Scratch Pad, medical care is needed and I am unable to make such decisions for myself. I agree to pay all costs associated with such actions on the part of The Scratch Pad, and to indemnify and hold The Scratch Pad harmless from any consequences resulting from such care.

6. The Scratch Pad is hereby authorized to take photos and video of me or the minor in connection with participation in The Scratch Pad Activities and has my permission to use my, or the minor’s, name and likeness, without compensation, for marketing and other promotional purposes.

7. If a party seeks either to enforce its rights under this Agreement or seeks a declaration of any rights or obligations under this Agreement, the prevailing party shall be awarded its reasonable attorney fees, and costs and expenses incurred.

8. I understand that this Agreement constitutes the entire agreement between The Scratch Pad and myself regarding the subject matter herein, and supersedes all prior agreements, and shall continue in effect and remain in force in perpetuity from the date it is executed, and covers my, or the minor visitor’s, participation in all The Scratch Pad Activities including use of any of The Scratch Pad’s facilities, equipment and parking areas.

9. If any provision or part-provision herein is invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. Any such modification shall not affect the validity of the remaining provisions of this Agreement.

10. This Agreement shall be construed in accordance with the laws (but not the conflict of law provisions which might invoke the laws of another jurisdiction) of the State of Utah and for any suit, mediation or other resolution of a dispute arising under this Agreement I, for myself and on behalf of the minor visitor hereby submit to the exclusive jurisdiction of the courts of Davis County, Utah. I voluntarily waive any right I or the minor child may have to a jury trial in any action under this Agreement.

I HAVE CAREFULLY READ, UNDERSTAND, AND VOLUNTARILY SIGN THIS ACKNOWLEDGMENT AND ASSUMPTION OF RISKS, RELEASE OF LIABILITY AND INDEMNITY AGREEMENT. I intend for it to apply to the fullest extent allowed by law, and to be binding upon members of my, or the minor child’s, family, and our respective heirs, assigns, and administrators.

Rules and code of conduct:

The Scratch Pad Training Center LLC has created a space that is welcoming to all. All forms of climbing and activities at The Scratch Pad are inherently dangerous and it is imperative that every member, guest, or anyone else visiting the facility obey the rules and code of conduct regardless of whether these rules and code of conduct are posted or not. Failure to comply with the rules and code of conduct can result in removal from the facility, loss of membership, suspension, and or permanent banning from returning. The Scratch Pad Training Center LLC reserves the right to remove anyone from the facility for any reason including not adhering to the rules and code of conduct. If your membership is revoked and or you are banned, you will not be refunded for any remaining time left on your membership period. We do not tolerate harassment or aggression of any kind.

Rules:

1. Helmets must be worn at all times in the gym area any time there are ice tools in use and drytooling activities taking place. Helmets may be left off if the only activity happening in the gym at the time is rock climbing.

2. Gloves must be worn when drytooling and using tools.

3. No shouldering tools.

4. No spotting climbers using tools.

5. Tools may not have an adze or spike on the bottom of the handle. Cheeks are allowed.

6. Eye protection is highly recommended.

7. Ice tools may only be used on holds that are mounted to backer boards.

8. You may not use bare hands on drytooling holds that are mounted to backer boards.

9. You may not use tools, or hands on the top of the wall or support beams in the ceiling. Do not touch or alter anchors or systems used for anchoring volumes and other features.

10. Crampons are not allowed in the gym. Please use appropriate footwear.

11. Everyone entering the facility must sign a waiver and agree to the rules and code of conduct.

12. Premium members using the gym outside of normal business hours must have at least one other member with them at all times. NO CLIMBING ALONE.

13. Anyone under the age of 16 must be accompanied by a responsible adult at all times.

14. You must be over the age of 18 to access the gym 24/7 with a premium membership or be with a parent or guardian.

15. Basic members can access the gym during regular staffed business hours excluding times specifically set aside for comps, setting, classes, clinics, private group reservations etc… All care will be taken to keep regular hours free of other encumbrances.

16. Premium members can access the gym 24/7 excluding times specifically set aside for comps, setting, classes, clinics, private group reservations etc (programming)… Sleeping is not allowed at the gym, 24/7 access is for climbing/training purposes only. All care will be taken to post times that the gym will be closed for these purposes ahead of time.

17. It is the members responsibility to make sure the gym is available prior to arriving. No refunds or credits will be given due to members being denied access due to programming.

18. If climbing with ropes, belayers must be belay certified by The Scratch Pad.

19. Treat all others including gym ownership/staff, other guests and participants, other tenants and guests in the building with respect.

20. Scratch Pad membership is for the climbing gym and fitness area only, your membership does not entitle you to use other facilities of the building except for the bathrooms.

21. No drugs or alcohol is permitted on the premises. No climbing while under the influence of drugs or alcohol. Anyone found to be climbing under the influence will be asked to leave immediately and could result in revocation of membership.

22. The Scratch Pad is hereby authorized to take photos and video of me or the minor in connection with participation in The Scratch Pad Activities and has my permission to use my, or the minor’s, name and likeness, without compensation, for marketing and other promotional purposes.

23. There is 24/7 video surveillance in the gym, no tampering with video equipment. I agree to comply with these and any other rules that may be created in the future.

Code of Conduct:

1. No forms of harassment or aggression will be tolerated.

2. Treat others with respect and be courteous. Share the gym space with all climbers.

3. Act in a responsible and safe manner, help others do the same.

I agree to comply with The Scratch Pad Code of Conduct and will not participate in irresponsible or unsafe behavior, nor will I participate in any form of harassment or rude or aggressive behavior toward anyone while on Scratch Pad premises.
