LA28 - Media Release

Event: LA28 Career Pathways

Event Date: June 28, 2023

This Media Release Agreement (the “Agreement”) is entered by and between the Los Angeles Organizing Committee for the Olympic and Paralympic Games 2028 d/b/a LA28 (“LA28”), and the undersigned (“Participant”), who will be attending and/or participating in the above referenced Event (the "Event"), which Event shall be presented by LA28's sponsor, Deloitte, LLP, or its affiliate ("Sponsor").

Media Release. For good and valuable consideration, the sufficiency of which is hereby expressly acknowledged, Participant agrees to be filmed, videotaped and photographed on or around the Event Date, and to have his or her name, image, picture, likeness, voice and biographical information (collectively “Appearance”) otherwise recorded, in any media, by LA28 and Sponsor, and/or their authorized photographers, film crews and video crews, or any other designee solely in connection with the Event (“Footage”). Participant hereby acknowledges that LA28 and/or Sponsor owns all copyrights and other proprietary rights in and to the Footage, and Participant grants LA28 and the United States Olympic and Paralympic Properties, LLC (collectively with LA28, the “LA28 Entities”) and Sponsor, and each of their respective assigns, a perpetual, fully paid-up, worldwide right and license to use, and to authorize third parties to use, in all media now known or hereafter devised, Participant’s Appearance in the Footage for: (a) news and information purposes, (b) promotion of the U.S. Olympic and Paralympic Teams, (c) promotion of the LA28 Entities, the Sponsor, and/or the 2028 Olympic and Paralympic Games; and (d) promotion of the United States Olympic and Paralympic Committee (“USOPC”), the Olympic and Paralympic values and the Olympic and Paralympic Movement (including, but not limited to in videos, blogs, episodes, shows or other promotions distributed digitally through social media, including, but not limited to, a Team USA YouTube Channel, the Olympic Channel and any social media account of the LA28 Entities, the USOPC, the International Olympic Committee (“IOC”) and the International Paralympic Committee (“IPC”).

Participant acknowledges and agrees that the programming in which the Footage is used, and the media through which the Footage is distributed, may contain advertising and sponsorships; provided that, in no event may the LA28 Entities or Sponsor use or authorize the commercial use of the Footage in any manner that would imply Participant’s endorsement of any company, product or service, without Participant’s prior written permission.

The LA28 Entities and Sponsor, and each of their assignees and licensees, may edit Participant’s appearance as they see fit. The LA28 Entities and Sponsor shall have all right, title and interest in any and all results and proceeds from usage of the Footage. Participant’s permission shall not be unreasonably withheld, delayed or conditioned provided that the proposed commercial association does not create sponsor conflicts for Participant or Sponsor. LA28 Entities and Sponsor are not obliged to make any use of Participant’s performance or exercise any of the rights granted by this Release.

Participant warrants, to the best of his/her knowledge, that any statement made in the Footage is true and will not knowingly infringe upon the rights of a third party. Participant agrees not to make any press statement or otherwise communicate to the public about the Footage, including Participant’s Appearance therein, without LA28’s prior written approval.

Release. Participant agrees to participate in the Appearance at his/her own risk and hereby releases the LA28 Entities, USOPC, IOC, IPC, Sponsor and its affiliates and related entities, and each of their respective officers, directors, employees, volunteers, and agents, from all claims for any damage or injury to Participant arising from his/her participation in the Appearance, whether caused by the negligence of such individuals and entities or otherwise, to the fullest extent permitted by law.

Waiver of California Civil Code Section 1542. In furtherance of the foregoing releases, Participant hereby waives all rights under Section 1542 of the Civil Code of California. That section reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Diversity and Inclusion. LA28 is committed to delivering an inclusive and socially responsible 2028 Olympic and Paralympic Games experience for all athletes, fans, partners and the surrounding community. LA28 has adopted a policy prioritizing diversity and inclusion in the conduct of its business at all levels of its organization and also enforces a policy of zero-tolerance for harassment, discrimination or racism. To that end, Participant agrees to comply with all applicable laws and regulations prohibiting discrimination and harassment with respect to Participant's participation in the Event.
