Wandering Palm Adventures is a Florida limited liability company that arranges tours, events, and experiences (hereinafter collectively referred to as the “Experience” or “Experiences”), which are owned and/or operated by independent businesses or providers. By purchasing ticket(s) or by providing other good or valuable consideration for tickets through Wandering Palm Adventures and/or by participating in an Experience you affirm that you fully understand, acknowledge, represent, warrant, and agree to the following Participant Waiver and Release of Claims.  

 

PARTICIPANT WAIVER AND RELEASE OF CLAIMS

I warrant I am at least 18 years of age. On behalf of myself, and on behalf of any minor for whom I am making payment or whom I bring with me on the Experience, I acknowledge, attest, agree, and represent as follows:

 

•      I understand my safety is my responsibility.

•      I understand and agree the safety and wellbeing of minors under the age of 18 accompanying me or my party are my responsibility and any risk or waiver of liability I accept for myself I also accept on behalf of any minor(s) accompanying me or my party.

•      I understand and agree the loss, theft, or destruction of my belongings is my sole responsibility.

•      I fully understand and accept, without limitation, sole responsibility for all of the risks associated with my participation while on the Experience, including injury and death, whether through my own actions or those of other participants, Experience guides, pedestrians, restaurant patrons, automobiles, public transportation, acts of nature or God, or any other external parties.

•      I agree not to consume alcohol during the Experience if I am under 21 years of age or do not have valid government issued identification in my possession during the Experience.

•      I understand Experiences may involve optional alcoholic beverages. If I am at least 21 years of age with valid government issued identification and I choose to consume alcohol before, during, or after the Experience, I accept full and sole responsibility for my behavior, wellbeing, health, and safety.

•      I will not consume food or drink to which I am allergic. I agree to disclose any and all food and drink allergies that I or anyone in my party may have to Wandering Palm Adventures prior to commencement of the Experience. I agree to disclose any such allergies in writing when completing my Experience registration. 

•      I accept sole responsibility for all risks associated with my participation in the Experience, including but not limited to food sickness, allergic reaction, injury, and death, whether selfinflicted or by another participant, guide, or other third party. 

•      I represent I am in good health, in proper physical and mental condition, and am capable of walking long distances outdoors. I am encouraged to wear proper clothing, use sunscreen, and stay hydrated throughout the Experience, and I understand it is my responsibility to do so. I am sufficiently self-aware to stop physical activity before I become ill or injured.

•      I understand any bikes, kayaks, canoes, or any other vehicles used during the course of an Experience arranged by Wandering Palm Adventures are provided by third parties, and I agree this disclaimer applies to any and all claims or causes of action which may arise as a result of the use of said bikes, kayaks, canoes, or other vehicles.

If while participating in the Experience I begin to feel faint or nauseated, I will notify the guide leading the Experience and seek medical attention if necessary. I understand my safety is my sole responsibility. 

•      I understand while on the Experience I may become injured or harmed. I assume sole responsibility for this risk.

•      I understand and agree the guide leading the Experience reserves the right to disqualify anyone at any time during the Experience if he or she feels the participant’s continued participation will jeopardize the health or safety of the individual participant or the group. Refunds are not given under such circumstances.

•      I agree Wandering Palm Adventures is not liable for delay or cancellation resulting from acts of fire, natural disaster, strikes, health pandemic, civil disturbance, government orders, or acts of nature or God. Should any of these incidents occur, Wandering Palm Adventures will reschedule my Experience. If Wandering Palm Adventures is unable to reschedule my Experience and instead must cancel, Wandering Palm Adventures will issue a refund to the payment method used to purchase the Experience tickets in the amount paid for the cancelled Experience. 

•      Unless otherwise stated in this Participant Waiver and Release of Claims, no refunds will be issued for Experience tickets.

•      I am aware that streets along the Experience route are open to vehicular traffic, and I will obey all traffic laws/regulations.

•      I HEREBY RELEASE AND AGREE TO HOLD HARMLESS WANDERING PALM ADVENTURES, ITS AFFILIATES, OWNERS, VENDORS, OPERATORS, AGENTS, AND EMPLOYEES (THE RELEASED PARTIES) FROM ANY AND ALL CLAIMS ASSOCIATED WITH THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS AND MY PARTICIPATION IN ANY EXPERIENCE, INCLUDING WITHOUT LIMITATION ANY AND ALL CLAIMS, ACTIONS, AND LIABILITIES FOR INJURY (INCLUDING DEATH), ILLNESS, AND PROPERTY LOSSES, THEFT, OR DAMAGES TO MYSELF AND THOSE PARTICIPATING IN THE EXPERIENCE WITH ME, WHETHER CAUSED BY WILLFUL OR NEGLIGENT CONDUCT, INCLUDING GROSS NEGLIGENCE.

•      TO THE FULLEST EXTENT PERMITTED BY LAW, I AGREE TO FULLY PROTECT, INDEMNIFY, AND DEFEND THE RELEASED PARTIES AND HOLD THEM HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, DAMAGES, CAUSES OF ACTIONS, AND LIABILITIES OF ANY AND EVERY NATURE WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH OR CAUSED IN WHOLE OR IN PART BY MY ACTS OR OMISSIONS WHILE PARTICIPATING IN AN EXPERIENCE, INCLUDING WITHOUT LIMITATION ECONOMIC INJURY TO, BODILY INJURY TO, OR DEATH OF ANY PERSON, REGARDLESS OF CONCURRENT OR SUPERVENING CAUSES OR ANY CONTRIBUTING FAULT OR NEGLIGENCE, INCLUDING GROSS NEGLIGENCE, OF ANY OF THE RELEASED PARTIES OR ANY BREACH OR FAILURE TO COMPLY WITH ANY OF THE PROVISIONS OF THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS. THIS INDEMNIFICATION SHALL BE IN ADDITION TO ALL OTHER TERMS OF THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS AND SHALL NOT LIMIT OR BE LIMITED BY ANY OTHER PROVISIONS OF THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS.

I ACKNOWLEDGE THIRD PARTIES MAY HAVE INVOLVEMENT IN THE ACTIVITIES OF MY EXPERIENCE ARRANGED BY WANDERING PALM ADVENTURES. I UNDERSTAND WANDERING PALM ADVENTURES DOES NOT HAVE CONTROL OVER THE ACTIONS OF THESE THIRDS PARTIES OR THE CONDITIONS OF THEIR FACILITIES OR EQUIPMENT. I HEREBY RELEASE AND AGREE TO HOLD HARMLESS WANDERING PALM ADVENTURES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, DAMAGES, CAUSES OF ACTIONS, AND LIABILITIES OF ANY AND EVERY NATURE WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH OR CAUSED IN WHOLE OR IN PART BY THE ACTS OR OMISSIONS OF THESE THIRD PARTIES DURING MY PARTICIPATION IN THE EXPERIENCE, INCLUDING WITHOUT LIMITATION ANY AND ALL CLAIMS, ACTIONS, AND LIABILITIES FOR INJURY (INCLUDING DEATH), ILLNESS, AND PROPERTY LOSSES, THEFT, OR DAMAGES TO MYSELF AND THOSE PARTICIPATING IN THE EXPERIENCE WITH ME, WHETHER CAUSED BY WILLFUL OR NEGLIGENT CONDUCT, INCLUDING GROSS NEGLIGENCE.

•      I hereby grant to Wandering Palm Adventures the unrestricted right and permission to copyright and use photographic portraits, pictures, video footage, and/or audio recordings of my participation in any Experience in which I may be wholly or partially included. This grant includes the images in hard and soft copy form, negatives, prints, transparencies, digital information and metadata, or any other original or copies of such images or sounds of my likeness or voice (the Material). Wandering Palm Adventures has the right to reproduce, exhibit, distribute, broadcast, digitize, edit, or otherwise use and publish the Material, by any method and in any media, whether now existing or later created, without restriction, throughout the world, including without limitation incorporation into Wandering Palm Adventures’ website, publications, catalogues, brochures, books, magazines, or any and all advertising and promotional materials (collectively, the Works). Wandering Palms Adventures is and shall be the exclusive owner of all rights, titles, and interest, including copyright and trademark rights, in the Material and the Works.

•      This Participant Waiver and Release of Claims shall be construed in accordance with, and its validity and effect (including any claims for breach of any of the terms thereof) shall be governed by, the laws of the State of Florida. 

•      This Participant Waiver and Release of Claims contains the entire understanding and the agreement of the parties hereto and supersedes all other written and oral exchanges, arrangements, or negotiations among them concerning the subject matter hereof.

•      I agree none of the items included in this Participant Waiver and Release of Claims can be modified unless done so in writing and signed by me and Wandering Palm Adventures.

•      If any provision of this Participant Waiver and Release of Claims is for any reason declared to be invalid or unenforceable, the validity and enforceability of the remaining provisions will not be affected. The invalid or unenforceable provision will be deemed modified to the extent necessary to render it valid and enforceable. If no modification may render it valid and enforceable, this Participant Waiver and Release of Claims shall be construed as if it did not contain the invalid or unenforceable provision, and the remaining rights and obligations of the parties will be construed and enforced accordingly.

Any dispute related in any way to this Participant Waiver and Release of Claims or my participation in an Experience shall be submitted to mandatory confidential mediation in Orlando, Orange County, Florida.

•      In the event a dispute is unresolved by mediation, Orange County, Florida shall be the exclusive venue for all legal actions arising out of or related to this Waiver and Release of Claims or any other dispute I have or may have in the future with Wandering Palm Adventures or any of the Released Parties. I explicitly waive any and all venue defenses. I explicitly agree that Florida state courts shall have exclusive jurisdiction over all claims arising out of this Participant Waiver and Release of Claims or any other dispute I have or may have in the future with Wandering Palm Adventures or any of the Released Parties. I expressly consent to the personal jurisdiction of the state courts of Florida.

•      Any failure of Wandering Palm Adventures to enforce any of its rights hereunder at any time will not constitute a waiver of any rights it may have under this Participant Waiver and Release of Claims. 

•      The provisions of this Participant Waiver and Release of Claims shall not be construed against the author, rather any interpretation of the language shall be adjudicated without bias to any party in accordance with the law of the State of Florida.  

•      This Participant Waiver and Release of Claims shall be binding upon my next of kin, personal representatives, heirs, beneficiaries, and assigns and shall inure to the benefit of Wandering Palm Adventures, its successors, and assigns.

•      I understand that by providing my email address to Wandering Palm Adventures I agree to receive occasional offers, news, and updates from Wandering Palm Adventures and from any third party involved in my booked Experience. If I want to unsubscribe from email communication, I understand I can unsubscribe at any time by clicking the unsubscribe link included at the bottom of every email.

 

THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS WAIVES SUBSTANTIAL RIGHTS AND INCLUDES A RELEASE OF LIABILITY, A LIMITATION OF DAMAGES, AN INDEMNIFICATION, AND A GRANT OF USE OF MY LIKENESS. I HAVE READ THIS ENTIRE DOCUMENT. MY PARTICIPATION IN AN EXPERIENCE IS EXPRESSLY SUBJECT TO MY ACCEPTANCE OF THE TERMS OF THIS PARTICIPANT WAIVER AND RELEASE OF CLAIMS, AND I WILL NOT PARTICIPATE IN THE EXPERIENCE UNLESS I HAVE ACCEPTED THE TERMS AND CONDITIONS SET FORTH IN THE PARTICIPANT WAIVER AND RELEASE OF CLAIMS ON BEHALF OF MYSELF AND ON BEHALF OF ANY MINOR FOR WHOM I AM MAKING PAYMENT OR WHOM I BRING WITH ME ON THE EXPERIENCE.
