WAIVER, RELEASE, AND INDEMNIFICATION

The undersigned Subtenant, in consideration of receiving permission from Abide Studios LLC (Abide), as Sublandlord, to rent out Abide’s photography studio space (the Studio), does hereby waive and release Abide and any of the Abide’s agents, partners, officers, managers, directors, governors, members, insurers, and employees (herein collectively, the Releasees) of and from any and all liability, claims, demands, actions, and causes of action whatsoever, either in law or in equity arising out of or relating to any loss, damage, or injury to property or persons, including death, that may be sustained by the Subtenant and/or by the Subtenant’s agents, partners, officers, managers, directors, governors, members, insurers, employees, and clients.  

The Subtenant hereby agrees to indemnify and save and hold harmless the Releasees along with any invitees, customers, guests, clients, and other Subtenants and each of them from any loss, liability, damage, or cost they might incur due to the Subtenant’s use of the Studio. 

The Subtenant herby agrees that the foregoing waiver, release, and indemnification provisions are intended to be as broad and as inclusive as is permitted by the laws of the State of Minnesota and that if any portion of them is held to be invalid, the balance shall continue in full force and effect.  

The Subtenant has read and voluntarily signs this Waiver, Release, and Indemnification Agreement and further agrees that no oral representations, statements, or inducements apart from the foregoing written instrument have been made.  

CAUTION: THIS IS A LEGAL INSTRUMENT - READ AND UNDERSTAND BEFORE SIGNING

The original of this Waiver, Release, and Indemnification Agreement is received by Abide Studios LLC with a duplicate copy provided to the Subtenant.
