GENERAL AND ACTIVITY WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT 

FOR: EDORAS PROPERTY, TRIALS, & OFF-ROAD MOTORCYCLING


ABOUT THIS DOCUMENT

This is a legally binding agreement. Please read it carefully before signing. It covers your entry onto and use of the Edoras Property for general access, observed trials competition, off-road motorcycle riding, overnight camping, spectating, and all related recreational activities (collectively, the "Activities").

By signing, you confirm that you have read and understood this document in its entirety and are voluntarily agreeing to all terms as a condition of entry.

YOU WILL BE ASKED FOR YOUR NAME, DATE OF BIRTH, AND EMAIL AT THE END OF THIS FORM BEFORE SIGNING. 


1. By signing this General Waiver, I acknowledge and affirm that that I have read and understand this General Waiver in its entirety, and that I am voluntarily agreeing to each and every term and condition set forth in this General Waiver as a condition of my entrance onto and use of the Edoras Property as described in this General Waiver. 

2. Edoras and/or Edoras North (a contiguous tract to the north of Edoras), (collectively the “EdorasProperty”), totals approximately 462 acres with private access located on County Road A021 in Mora County, New Mexico. The Edoras Property provides a beautiful and challenging terrain suitable for a wide array of recreational uses and group activities. 

3. The Edoras Property is generally mountainous and densely forested, with varying terrain. The vast majority of the property is undeveloped and has no signage or marked trails. Natural hazards may be obvious or hidden, including steep grades, cliffs, drop-offs and sheer or undercut slopes. Soils and rocks may appear firm or fixed but may be unstable and can suddenly give way without warning, leading to loss of footing, handholds, or tire traction that can cause sudden loss of control. Fencing may be present in some areas. Inclement weather can be extreme and unexpected, which can cause exposure to cold, heat, rain and snow. 

4. The Edoras Property is populated by wildlife, and you may encounter reptiles (including venomous snakes), insects (biting or not), and mammals such as mountain lions, bear, elk, moose, deer, bobcats, porcupine, skunks, wolves and coyotes. You may encounter dangerous trespassers on the property. Livestock may be present on the property, with or without permission. 

5. ACKNOWLEDGMENT OF ATV/UTV RISKS. If I operate or ride upon an All-Terrain Vehicle (“ATV”) or Utility Task Vehicle (“UTV”) while upon the Edoras Property, I expressly acknowledge and agree that I am aware of the inherent risks and hazards of operating or riding upon an ATV or UTV, which may include serious personal injury, paralysis or death and other damages resulting from a rollover, collision or ejection; uneven, unstable or slippery terrain; operator error; dust or reduced visibility; and other such causes and risks inherent to operating or riding upon an ATV or UTV. I agree that I will not operate an ATV or UTV after consuming any alcohol or after consuming any drug, illegal substance, or medication that may impair my ability to safely operate an ATV or UTV. 

6. ACKNOWLEDGMENT OF GENERAL RISKS. By signing this General Waiver, I acknowledge and agree that I am aware of the inherent risks and hazards of camping, hiking, backpacking, climbing, hunting, fishing, trapping, birding, bicycle riding, rock scrambling, horseback riding and equine behavior, and all other recreational activities in which I engage upon the Edoras Property, including, but not limited to: becoming lost; slipping, sliding, tumbling or falling; being hit or crushed by falling rocks, trees, or other debris; being struck by lightning or exposed to inclement weather; head injuries; internal injuries, sprained or broken bones; poisonous snakes, plants and/or insects; dangerous wildlife; dehydration; and hypothermia. I also understand the possibility of encountering trespassers and free range or uncontrolled livestock. I understand that the dangers and risks of these activities include the risk of serious personal injury, paralysis and death.

7. LIST OF RISKS NOT EXHAUSTIVE. I acknowledge and agree that the risks described above are not exhaustive, and that I must exercise reasonable care at all times to assess the environment for risk of injury, death or other damages while I am upon the Edoras Property.

8. The Edoras Property does not provide any supervision or services at the property. Given its remote location, cellular phone service at the Edoras Property may be weak or non-existent, which may prevent, impede or delay the ability to contact emergency services. Emergency response may also be delayed due to the property’s remote location.

9. In the event of an emergency, you should attempt to contact 911. Regional healthcare facilities include the following:

10. In consideration for being allowed to enter and use the Edoras Property for the recreational purposes set forth herein:

a. I, ON BEHALF OF MYSELF, MY FAMILY, HEIRS, SUCCESSORS, ASSIGNS, AND ANYONE CLAIMING ANY INTEREST THROUGH ME, OR ON MY BEHALF, HEREBY EXPRESSLY, KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY WAIVE, RELEASE, INDEMNIFY, AND AGREE TO HOLD HARMLESS THE EDORAS PROPERTY, LUGARES 4, LLC, LUGARES 5, LLC, AND EACH SUCH ENTITY’S OWNERS, OFFICERS, AGENTS, EMPLOYEES, REPRESENTATIVES AND PARTNERS (COLLECTIVELY REFERRED TO AS THE “RELEASEDPARTIES”), FROM ANY AND ALL ACTIONS, SUITS, CLAIMS, DAMAGES, AND LIABILITY (INCLUDING ATTORNEY’S FEES AND COSTS), THAT I, MY FAMILY, HEIRS, SUCCESSORS, ASSIGNS, AND ANYONE CLAIMING ANY INTEREST THROUGH ME, MAY HAVE FOR ANY INJURY, DEATH OR OTHER DAMAGES WHICH I MAY SUFFER, OR FOR WHICH I MAY BE LIABLE TO ANY OTHER PERSON, RELATED TO OR ARISING FROM MY ENTRY UPON OR USE OF THE EDORAS PROPERTY, WHETHER SUCH INJURY, DEATH OR OTHER DAMAGES IS CAUSED BY THE NEGLIGENCE OR RECKLESS CONDUCT OF ANY OF THE RELEASED PARTIES, WHETHER ACTIVE OR PASSIVE, OR BY SOME OTHER PARTY OR CAUSE, WITHOUT LIMITATION.

b. I personally assume all risks, whether foreseen or unforeseen, in connection with my entrance upon or use of the Edoras Property, for any damage or injury, including paralysis or death, that may occur to me or my property while I am upon the Edoras Property, whether such damage or injury is caused by the negligence or reckless conduct of any of the Released Parties or by some other cause, without limitation. I further accept my responsibilities and duties to behave prudently and act safely at all times, and to abide by all local, state and federal laws and regulations.

c. I agree to PROTECT, HOLD HARMLESS AND INDEMNIFY the Released Parties against any and all damages and costs they incur, including attorney’s fees, from any claims, suits, or actions brought or threatened by any person against any of the Released Parties for any injury, death or other damages allegedly caused in whole or in part by my own negligence or other conduct, without limitation. 

11. By agreeing to the provisions of paragraph 10 of this General Waiver, I understand that I am giving up any and all rights I might otherwise have to sue or assert a legal claim against the Released Parties in the event that I am injured or killed or sustain any property damage at the Edoras Property. I also understand that by indemnifying the Released Parties I am agreeing to pay the Released Parties for any losses, damages, or liabilities, including attorney’s fees and costs, they incur in relation to: (i) any lawsuit or claim brought by me or on my behalf for any injuries or damages I sustain; and (ii) any lawsuit or claim brought by a third party for damages or injuries I caused, in whole or in part, at the Edoras Property. I also understand that I am entering upon and using the Edoras Property at my own risk.

12. If the guest is a minor, I attest that I am signing this General Waiver in my capacity as the minor guest’s parent or legal guardian. I further understand and agree that the minor guest will be bound by all terms and conditions of this General Waiver once I sign it on the minor guest’s behalf. I agree that I shall be solely responsible for the supervision and care of the minor guest at all times upon the Edoras Property.

13. I understand that the terms herein are contractual and not a mere recital, and that I have willingly signed this General Waiver voluntarily and of my own free act for the consideration expressed herein. If any part of this General Waiver is held unenforceable, such part shall be stricken and the remainder of this General Waiver shall continue to be in full force and effect.

14. I further state and represent that I am eighteen (18) years of age or older and am otherwise competent to execute this General Waiver, or that my parent or legal guardian is consenting by signing below.

ACTIVITY WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT

FOR: EDORAS PROPERTY TRIALS & OFF-ROAD MOTORCYCLING

This Activity Waiver of Liability, Assumption of Risk and Indemnification Agreement for Edoras Property Trials & Off-Road Motorcycling (this “ActivityWaiver”) is a legally binding document. Please read it carefully, and write your initials in the place indicated before each paragraph prior to signing.

1. By signing this Activity Waiver, I acknowledge and affirm that that I have read and understand this Activity Waiver in its entirety, and that I am voluntarily agreeing to each and every term and condition set forth in this Activity Waiver and the separate General Waiver of Liability, Assumption of Risk and Indemnity Agreement for the Edoras Property as a condition of my permission to enter the Edoras Property and participate in an observed trials competition and off-road motorcycle riding, including overnight camping, spectating and other related recreational use of the property (collectively, the “Activities”).

2. I understand that observed trials and off-road motorcycling are physically demanding activities and hereby certify that I am in good health and in proper physical condition and do not have any mental or physical conditions or impairments which would preclude my ability to safely participate in the Activities. I further agree that I am responsible for my own health and safety during the Activities, and that I will immediately discontinue participation in any Activities if I have any health or safety concerns.

3. ACKNOWLEDGMENT OF TRIALS/OFF-ROAD MOTORCYCLING RISKS. I acknowledge and agree that I am aware of the inherent risks and hazards of participation in the sport of observed trials and off-road motorcycling, which include the potential for serious bodily injury, permanent disability, paralysis and death; loss or damage to property; exposure to extreme conditions and circumstances; contact or collision with other participants, spectators, vehicles or other natural or manmade objects; dangers arising from adverse weather conditions; imperfect course conditions; water, road and surface hazards; equipment failure; inadequate safety measures; participants of varying skill levels; situations beyond the immediate control of the event organizers and property owners; negligence or unsafe conduct of other participants; rock shelves, natural ledges, drop-offs and potentially dangerous obstacles.

4. LIST OF RISKS NOT EXHAUSTIVE. I acknowledge and agree that the risks described above are not exhaustive, and that I must exercise reasonable care at all times to assess the environment for risk of injury, death or other damages while I am participating in the Activities. I further acknowledge and agree that the risks of my participation in any Activities include the potential for serious bodily injury, sickness and disease (including communicable diseases, virus or bacteria), trauma, pain & suffering, permanent disability, paralysis and death; and loss of or damage to personal property.

5. MANDATORY SAFETY BRIEFING & RULE COMPLIANCE. I agree to follow:

  • Any and all verbal and written instructions provided during any safety briefings
  • All posted signage
  • All alcohol restrictions. 

6. ALCOHOL POLICY. No alcohol or intoxicating substances may be consumed before or during any motorcycle riding activity, and I expressly agree that I will not operate a motorcycle after consuming any alcohol or after consuming any drug, illegal substance, or medication that may impair my ability to safely operate a motorcycle.

7. In consideration for being allowed to enter and use the Edoras Property for the Activities as set forth herein: 

a. I, ON BEHALF OF MYSELF, MY FAMILY, HEIRS, SUCCESSORS, ASSIGNS, AND ANYONE CLAIMING ANY INTEREST THROUGH ME, OR ON MY BEHALF, HEREBY EXPRESSLY, KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY WAIVE, RELEASE, INDEMNIFY, AND AGREE TO HOLD HARMLESS THE EDORAS PROPERTY, LUGARES 4, LLC, LUGARES 5, LLC, AND EACH SUCH ENTITY’S OWNERS, OFFICERS, AGENTS, EMPLOYEES, REPRESENTATIVES AND PARTNERS (COLLECTIVELY REFERRED TO AS THE “RELEASEDPARTIES”), FROM ANY AND ALL ACTIONS, SUITS, CLAIMS, DAMAGES, AND LIABILITY (INCLUDING ATTORNEY’S FEES AND COSTS), THAT I, MY FAMILY, HEIRS, SUCCESSORS, ASSIGNS, AND ANYONE CLAIMING ANY INTEREST THROUGH ME, MAY HAVE FOR ANY INJURY, DEATH OR OTHER DAMAGES WHICH I MAY SUFFER, OR FOR WHICH I MAY BE LIABLE TO ANY OTHER PERSON, RELATED TO OR ARISING FROM MY ENTRY UPON OR USE OF THE EDORAS PROPERTY, WHETHER SUCH INJURY, DEATH OR OTHER DAMAGES IS CAUSED BY THE NEGLIGENCE OR RECKLESS CONDUCT OF ANY OF THE RELEASED PARTIES, WHETHER ACTIVE OR PASSIVE, OR BY SOME OTHER PARTY OR CAUSE, WITHOUT LIMITATION.

b.
