TALENT RELEASE AGREEMENT

This Talent Release Agreement (the “Release”) is entered into as of the date signed below by and between:

The Company Westcoast Bathhouse & Bathhouse Global 

“For the purposes of this Agreement, the individual, corporation, company, production entity, brand, organization, affiliates, successors, assigns, representatives, contractors, licensees, and all related parties engaging the Talent shall collectively be referred to herein as the “Producer.” All rights, protections, permissions, licenses, releases, and benefits granted under this Agreement in favour of the Producer shall extend fully to such related parties and authorized representatives.”

AND the individual known and referred to as the “Talent” & Signed below as the participant. 

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Talent agrees as follows:


1. Grant of Rights

The Talent irrevocably grants to the Producer, its affiliates, successors, licensees, assigns, representatives, and authorized third parties, the unrestricted, perpetual, worldwide right and permission to photograph, film, videotape, record, livestream, interview, and otherwise capture the Talent’s name, image, likeness, voice, appearance, performance, poses, gestures, biographical information, statements, and any other identifying characteristics (collectively, the “Materials”).

The Talent further grants the unrestricted right to use, reproduce, edit, modify, alter, adapt, publish, distribute, transmit, broadcast, display, exhibit, license, sublicense, create derivative works from, exploit, and otherwise use the Materials, in whole or in part, in any format or media now known or later developed, including but not limited to:

  1. Websites
  2. Social media platforms
  3. Advertising campaigns
  4. Marketing materials
  5. Printed publications
  6. Editorial content
  7. Digital content
  8. Television and streaming media
  9. Promotional trailers and teasers
  10. Public relations materials
  11. Investor presentations
  12. Commercial advertisements
  13. Online platforms and applications



2. Past, Present, and Future Materials

The rights granted under this Release apply to all past, present, and future photographs, videos, recordings, interviews, or other content featuring the Talent that have been or may be created, captured, submitted, or provided to the Producer, whether captured professionally, casually, directly, or indirectly.


3. Ownership

All photographs, recordings, video footage, digital files, negatives, edits, derivatives, and other Materials shall remain the sole and exclusive property of the Producer. The Talent acknowledges that the Producer shall own all copyrights and intellectual property rights associated with the Materials.


4. Editing and Creative Control

The Producer shall have full and sole discretion regarding the use, editing, alteration, cropping, retouching, manipulation, publication, reproduction, distribution, or removal of the Materials. The Talent waives any right to inspect or approve any final product or use of the Materials.


5. Compensation

The Talent acknowledges that compensation, if any, has been agreed upon separately. Unless otherwise stated in writing, the Talent agrees that no additional compensation, royalties, residuals, ownership interest, or further consideration shall be owed in connection with the use of the Materials.


6. Waiver and Release

The Talent hereby releases, waives, and forever discharges the Producer and its affiliates, representatives, employees, contractors, successors, licensees, assigns, and partners from any and all claims, demands, damages, liabilities, actions, causes of action, costs, or expenses arising out of or relating to the use of the Materials, including but not limited to:

  1. Claims for defamation
  2. Claims for invasion of privacy
  3. Claims for misappropriation of likeness
  4. Claims for emotional distress
  5. Claims relating to alteration or editing
  6. Copyright or ownership claims
  7. Claims for additional compensation


7. No Obligation to Use

Nothing in this Release shall obligate the Producer to use the Materials in any manner whatsoever.


8. Representations and Authority

The Talent represents and warrants that:

  1. The Talent is at least eighteen (18) years of age, or a parent/legal guardian has signed below.
  2. The Talent has full authority to enter into this Release.
  3. This Release does not conflict with any other agreement or obligation.


9. Minors

If the Talent is under the age of eighteen (18), the undersigned parent or legal guardian agrees to all terms of this Release on behalf of the minor and further agrees to indemnify and hold harmless the Producer from any claims brought by or on behalf of the minor.


10. Governing Law

This Release shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.


11. Entire Agreement

This Release constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, or understandings relating to the subject matter herein. Any amendments must be made in writing and signed by both parties.

Parent(s) or Court-Appointed Legal Guardian(s) must sign for any participating minor (those under 18 years of age) and agree that they and the minor are subject to all the terms of this document, as set forth above.
