SAINTS CHEER KREWE AUDITIONS



In consideration of the New Orleans Louisiana Saints, LLC (“Saints”) and the National Football League (“NFL”) allowing me, the undersigned, to participate in Saints Cheer Krewe Auditions and any related events and activities (collectively, the “Auditions”), I, the undersigned, on behalf of myself and of my personal representatives, successors, heirs, and next of kin, consent to and agree to the following (please check the box next to each paragraph to indicate that you have read, understood, and agreed to the section preceding each box):

1. ACKNOWLEDGEMENTS. I hereby acknowledge, agree, and represent that (i) I am at least eighteen (18) years of age or older, (ii) I have the right and the ability to enter into this agreement and grant the rights granted herein, (iii) I understand the nature of the Auditions, which include significant physical activity and the risks inherent in such activities, and (iv) I further certify, agree, and warrant that I am in good health and have no mental or physical condition or symptoms that could interfere with my safety or the safety of others while participating in any activity or using any equipment during the Auditions, and if at any time I believe my participation in the Auditions is unsafe or hazardous to my health or wellbeing, I will immediately notify Saints personnel of my refusal to or inability to participate.

2. SECURITY.  I willingly agree to comply with all safety and security measures, policies, and guidelines of the Saints and the premises where the Auditions are taking place, and I understand that failure to comply with this section will, at a minimum, result in my removal from the Auditions.

3. RELEASE FROM LIABILITY FOR INJURY. I, the undersigned, do hereby, for myself, and for any or either of my heirs, administrators, executors, guardians, representatives, and next of kin, forever WAIVE, RELEASE, DISCHARGE, AND COVENANT NOT TO SUE the Saints, the NFL, the sponsors of the Auditions, and each such party's respective representatives, officers, directors, employees, agents, successors, assigns, medical personnel, and invitees for all parties, as well as the owners and lessors of the premises used for the Auditions (together, “Released Parties”), with respect to any and all injury or illness (including, without limitation, permanent disability and death) relating to or arising out of my participation pursuant to this agreement, howsoever caused or arising and whether by negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

4. RELEASE FROM LIABILITY FOR PROPERTY DAMAGE. I further release, indemnify, and hold harmless the Released Parties with respect to any and all damage to property relating to or arising out of my participation pursuant to this agreement, whether arising from the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

5. ASSUMPTION OF RISK. I expressly assume all risk of injury (including, without limitation, permanent disability and death) relating to or arising out of my participation pursuant to this agreement, howsoever caused or arising and whether by negligence of the Released Parties or otherwise, and I accept personal responsibility for the damages following such injury, permanent disability, or death.

6. MEDICAL TREATMENT CONSENT. I consent to administration of first aid and other medical treatment in the event of injury or illness, and I release and indemnify the Released Parties from any and all liability or claims arising out of such treatment. I further acknowledge that the Saints are not obligated to provide physicians or other medical services or facilities in conjunction with the Auditions.

7. HEALTH INSURANCE. I hereby certify that I have adequate health insurance to cover any injury or damages that I may experience due to my participation in these Auditions, or, alternatively, I agree to cover all costs associated with any such injury or damages.

8. RIGHTS TO IMAGE AND LIKENESS. I hereby grant to the Saints, the NFL and its member clubs, NFL Ventures, L.P., NFL Properties, LLC, NFL Ventures, Inc., NFL Productions, LLC, and each such entity's respective parents, direct and indirect subsidiaries, affiliates, successors, assigns, and designees, and each of their respective shareholders, members, partners, officers, directors, employees, agents, representatives, sponsors, licensees, and broadcast partners (collectively, the “NFL Parties”) the irrevocable, perpetual, worldwide, and royalty-free right to use my name, nickname, appearance, voice, biographical information, image, likeness, and all photographs, video footage, motion pictures, recordings, or any other record of me, however captured in conjunction with the Auditions (collectively referred to as the “Records”), in any media or format now known or hereafter created, and for any purpose, including, but not limited to, for advertising, sales, promotional, and/or any other commercial purposes. In doing so, I understand that the NFL Parties will have the irrevocable right, but not the obligation, to record, document, copy, edit, modify, display, reproduce, use, and re-use in any manner, on a worldwide basis, in perpetuity, on all forms of media, including, but not limited to, film, television, internet, and electronic media and in all means of distribution and publication, the Records without authorization, review, or any form of compensation to me for such use. I hereby waive all rights to the use of my identity under Louisiana law on behalf of myself, my successors, executors, heirs, legatees, assigns, licensees, and any and all of my authorized representatives. I hereby waive all rights of inspection or approval and any moral rights. I hereby represent and warrant that I am the sole owner of the rights I am granting herein. I hereby release and discharge the NFL Parties, and I agree to indemnify, defend, and hold the NFL Parties harmless from and against any and all claims, demands, actions, obligations, or liabilities arising out of or in connection with the use, display, editing, production, distribution, transmission, sublicensing, or reproduction of the Records, including, without limitation, any claims for copyright infringement or invasion of privacy or publicity. I further acknowledge that I do not have any authority to videotape or in any other manner record the Auditions, either visually or audibly, or to hold myself out as being affiliated in any manner with the Saints or any of their affiliates.

9. PRIVACY POLICY. I agree to the Saints’ privacy policy (https://www.neworleanssaints.com/privacypolicy) and their use of my personal data for commercial purposes, and, in addition, to the Saints’ use and disclosure of my personal data (including, but not limited to, name, email address, phone number, and other personally identifiable information) necessary for the Auditions. I understand my personal data may be shared with third parties, regardless of their location, and my personal data will be subject to such third party’s privacy practices. I agree to release, indemnify, and hold the Released Parties harmless for their use and disclosure of my personal data in conjunction with the Auditions.

10. SEVERABILITY. I acknowledge and I agree that if any provision of this participation agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, then the remainder of the participation agreement will remain in full force and effect.

BY MY SIGNATURE, I ACKNOWLEDGE THAT I HAVE READ AND AGREE TO THIS PARTICIPATION AGREEMENT AND FULLY UNDERSTAND ITS TERMS. I HEREBY REPRESENT AND WARRANT THAT I HAVE FULL AUTHORITY TO EXECUTE THIS AGREEMENT ON MY OWN BEHALF WITH FULL KNOWLEDGE OF ALL FACTS AND CIRCUMSTANCES SURROUNDING MY PARTICIPATION IN THESE AUDITIONS. I FULLY UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING THIS AGREEMENT AND HAVE SIGNED IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT, ASSURANCE, OR GUARANTEE BEING MADE TO ME AND INTEND MY SIGNATURE TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.
