BASH PRIVATE BUYOUT AGREEMENTBOOKING & PAYMENTFull Venue Buyout – Payment Agreement Client agrees to pay 100% of the venue rental fee, plus applicable sales tax and a 20% service fee, at the time of booking. All advance payments are nonrefundable, and the event date is not secured until payment is received in full. Client acknowledges that the contracted beverage minimum, plus applicable taxes and service charges, is payable on the date of the event. Any shortfall between actual beverage purchases and the contracted minimum remains the responsibility of Client. By signing this agreement, Client acknowledges and accepts these payment terms. The Beverage Minimum is not collected in advance and is not included in the deposit. Your event date is not reserved until the required deposit has been successfully processed. The remainingbeverage charges or applicable Beverage Minimum, food and catering charges, event add-ons, applicable service charge, sales tax and any other contracted charges will be calculated and charged to the credit card on file. By booking, the client authorizes BASH to process the final event balance and all applicable contracted charges to the credit card on file. BASH reserves the right to require additional staffing based on final guest count, event format, beverage service or other event needs. Any required additional staffing will be communicated to the client in advance whenever reasonably possible. BEVERAGE MINIMUMThe Beverage Minimum is separate from the Private Buyout Fee and is not prepaid. It is the minimum dollar amount the client agrees to spend on beverages during the event. The Beverage Minimum is not an open bar, unlimited-drink package, prepaid beverage package, per-person beverage package or credit for a predetermined number of beverages. Every alcoholic and non-alcoholic beverage served is individually rung through the BASH point-of-sale system at the applicable menu price and applied toward the Beverage Minimum. If beverage purchases are less than the contracted Beverage Minimum, the final beverage charge will be the full Beverage Minimum. If beverage purchases meet or exceed the contracted Beverage Minimum, the client will be charged the actual beverage total. There is no maximum beverage spend created by the Beverage Minimum. The client is responsible for the full cost of all beverages purchased above the Beverage Minimum. Any unused portion of the Beverage Minimum is non-refundable and has no cash or credit value. The Mini Private Buyout includes up to 25 guests. Additional guests are $75 per person, up to a maximum of 30 guests.

Up to three dedicated BASH bartenders are included based on guest count and event needs. Additional staffing may be required based on final guest count, event format or service needs. Any required additional staffing and associated fees will be communicated in advance. SATURDAY PRIVATE BUYOUT
6 Consecutive Hours | Up to 80 Guests | ends by 1am $2,500 Private Buyout Fee + $2,500 Beverage Minimum Saturday Private Buyouts are offered for six consecutive hours only. Up to three dedicated BASH bartenders are included based on guest count and event needs. For guest counts exceeding 80 attendees, the Party Baby Extended Guest Experience must be added as adjoining event space. Combined maximum capacity: 145 guests. PARTY BABY ADD-ON OPTIONSSTAGING & SUPPORT SUITE — $1,500Party Baby may be added as a behind-the-scenes support space for catering setup, vendor staging, storage of personal items or other event operations. The Staging & Support Suite does not include use of Party Baby as guest or entertainment space. EXTENDED GUEST EXPERIENCE — $2,500Full use of Party Baby as additional entertainment and guest gathering space. The Extended Guest Experience is required for BASH events exceeding 80 guests and includes one additional dedicated bartender. Party Baby is available for the same consecutive event hours as the BASH Private Buyout. When Party Baby is added to a Saturday BASH Private Buyout as the Extended Guest Experience, the combined Beverage Minimum for both venues is $3,000. All eligible beverages purchased in either BASH or Party Baby count toward the combined Beverage Minimum. SIGNATURE EVENT BARSPECIAL-ORDER BEVERAGES Special-order liquor, wine, and specialty beverages are available only with BASH Private Buyouts. They are not available with Private Hourly Rentals, Mahjong Rentals, or Public Group Reservations. All requests are subject to availability and BASH approval and must be finalized and paid in full at least 14 days before the event. BASH will provide the price for approval before placing the order. Once ordered, special-order beverages are nonrefundable. The prepaid special-order charge will be applied toward the event’s Beverage Minimum. All beverages must be purchased and served by BASH. Special-order products remain the property of BASH, and unused beverages may not be removed from the premises after the event. Private Buyout clients may select a BASH Signature Event Bar menu, featuring a curated selection of Signature Cocktails, Spritzes and featured wines at $15 each. Clients may select one of BASH's curated Signature Event Menus or create their own by selecting four Signature Cocktails, one Spritz, one White/Rosé/Sparkling Wine and one Red Wine from the Signature Event Bar collection. Every Signature Event Bar beverage served is individually rung through the BASH point-of-sale system at $15 per beverage and counts toward the contracted Beverage Minimum. Guests may also order from the full BASH bar. Beer, non-alcoholic beverages, premium spirits, Champagne, specialty pours, shots, doubles and other beverages not included on the selected Signature Event Bar menu are charged at regular BASH menu pricing and also count toward the Beverage Minimum. The Signature Event Bar is not an open bar, unlimited-drink package, prepaid beverage package or per-person beverage package. The $15 Signature Event Bar price is the price per beverage ordered. Signature Event Bar selections are subject to availability. Comparable substitutions may be made when necessary. The Signature Event Bar is available only with Private Buyout Experiences and is not available with Private Hourly Rentals or Mahjong Rentals. FOOD & CATERINGClients are welcome to bring in their own caterer or allow BASH to curate and coordinate a menu for the event. When BASH arranges the catering, there is no Outside Food Service Fee. Client-selected outside food or catering is subject to a $200 Outside Food Service Fee. This fee covers reasonable assistance with food arrival and placement, cleanup and additional trash removal. The Outside Food Service Fee is waived when BASH Event Support is added. Food and catering purchases do not count toward the Beverage Minimum and do not reduce the Private Buyout Fee. BYOB is not permitted. All alcoholic and non-alcoholic beverages must be purchased through BASH. Outside alcohol may not be brought into BASH by the client, guests, planners, caterers, vendors or other event professionals. SETUP & VENDOR ACCESSComplimentary vendor access is included prior to the contracted event start time: - Mini Private Buyout: Up to 1 hour prior

This time is intended exclusively for vendor arrival, décor installation, catering setup and other event preparation. Setup time is not additional event time, and guests may not enter or begin gathering at BASH during the setup period. If guests arrive or the event begins before the contracted event start time, additional event-time charges may apply, subject to BASH approval and availability. Additional setup time may be arranged for $200 per hour, subject to availability. EVENT HOURS, LAST CALL & VENUE CLEARINGAll contracted event hours are consecutive. A late event start, late guest arrival, delayed food service, delayed entertainment, vendor delay or any other change to the client's or vendor's timeline does not extend the contracted event period or event end time. Last call takes place 20 minutes prior to the contracted event end time, with no exceptions. Bar service ends at the contracted event end time. All guests must completely exit BASH by the contracted event end time and, in all cases, no later than 1:30 AM. Vendors are permitted up to 30 minutes following the contracted event end time for breakdown and removal of approved décor, rentals, equipment and event materials. All vendors, vendor personnel, décor, rentals, equipment and event materials must be completely removed from BASH no later than 2:00 AM. The 1:30 AM guest departure and 2:00 AM vendor departure are absolute venue closing times. They cannot be extended by purchasing additional event time, starting an event late or because of delays in the client's, planner's or vendor's timeline. ADDITIONAL EVENT TIMEAdditional event time may be added, subject to BASH approval, availability and venue operating hours, for $600 per hour. Additional event time does not extend or override BASH's absolute 1:30 AM guest departure or 2:00 AM vendor departure times. This charge applies to BASH only and does not include overtime charges imposed by DJs, entertainers, caterers, photographers, planners or other outside vendors. Any outside-vendor extension charges are the client's responsibility. We recommend booking your full desired event time in advance. BASH EVENT SUPPORT — $400A BASH manager will be onsite throughout your event to oversee the venue and BASH staff and assist with general venue needs, bar service, music and lighting adjustments, trash removal, cleanup and basic event-related questions. This standard venue support is included with your Private Buyout. For clients who would like additional hands-on event assistance, BASH Event Support may be added for a $400 flat fee. BASH Event Support includes assistance with event flow and timeline, basic décor placement, food setup and replenishment, vendor arrivals and setup, guest flow, food-area maintenance and vendor breakdown. BASH Event Support does not include event design, extensive decorating, offsite errands, vendor sourcing or contracting, or full-service food and beverage service. Additional service staff may be required based on guest count, event format or service needs. EVENT PLANNERS & VENUE COORDINATIONProfessional event planners and coordinators are always welcome. One complimentary onsite planning visit of up to one hour is included. For events requiring additional planner access or substantial pre-event venue coordination, Extended Planner Access is available for $300. Extended Planner Access includes reasonable pre-event email correspondence and coordination with BASH regarding venue access, setup requirements, vendor logistics, lighting, music and other venue-related details. Additional onsite planning visits beyond the complimentary visit are limited to one hour and are $50 per visit. The outside planner remains responsible for event planning and design, décor, vendor management, timeline management, setup oversight and overall event execution. BASH remains responsible for the venue, bar operations and BASH staff. PLANNER, VENDOR & THIRD-PARTY AUTHORITYEvent planners, coordinators, caterers, entertainers, vendors, guests and other third parties do not have authority to modify this Agreement on behalf of the client unless expressly approved by BASH and the contracting client. No verbal statement, representation or instruction from a planner, vendor, guest or BASH staff member modifies the terms of this Agreement. Event hours, Private Buyout Fees, Beverage Minimums, beverage pricing, setup and breakdown periods, service charges, bar policies, guest capacity, last call, venue closing times and other contractual terms may not be modified without approval from BASH and the contracting client. A planner, vendor, client or guest may not direct BASH staff to disregard BASH alcohol-service policies, alter pours, provide complimentary beverages, continue alcohol service after last call or serve a guest whom BASH has declined to serve. BAR SERVICE & ALCOHOL POLICYAll bartenders are provided exclusively by the BASH hospitality team. All alcoholic and non-alcoholic beverages must be purchased through BASH. BYOB is not permitted. BASH retains control over all alcohol service. BASH bartenders may refuse or discontinue alcohol service to any guest when appropriate or required by law or BASH policy. Neither the client nor any planner, guest or vendor may require BASH staff to serve alcohol contrary to BASH policy. Additional bartenders or service staff may be added for $75 per hour per staff member when requested by the client or required by BASH based on guest count, event format or service needs. FURNITURE REMOVALFurniture-removal requests must be finalized no later than 30 days before the event, or at the time of booking for events reserved within 30 days. Sofa — $75 each

CLEANING & DAMAGENormal event cleanup is included. An excessive cleaning fee of $200 or more may be assessed when cleanup exceeds normal event use, based on the extent of additional cleaning required. The client is responsible for the cost of repairing or replacing BASH or Party Baby property damaged by the client, guests, planners, vendors or other persons associated with the event. RESTROOMSBASH includes one private restroom. Party Baby includes one private restroom when Party Baby has been contracted for the event. SERVICE CHARGE & TAXA 20% service charge applies to all charges associated with the event, including Private Buyout Fees, beverage purchases or Beverage Minimum shortfalls, food and catering, Party Baby fees, additional event or setup time, BASH Event Support, staffing, furniture removal, vendor sourcing and coordination, and other applicable event services or add-ons. Applicable sales tax is additional. The portion of the service charge attributable to beverages is distributed to the BASH bar team as gratuity. The remaining portion is retained by BASH to support staffing, administration, venue operations and event services. BASH does not add a separate liquor-tax charge. BASH is responsible for the applicable Texas mixed beverage gross receipts tax associated with alcoholic beverage sales. CHANGES TO EVENT DETAILSChanges to guest count, event hours, venue usage, bar selections, food, staffing, rentals, furniture arrangements, Party Baby usage or other event details are subject to BASH approval and may result in additional fees or minimums. No verbal agreement changes the terms of this Agreement. Any modification affecting contracted pricing, Beverage Minimums, Private Buyout Fees, event hours, setup or breakdown times, venue capacity or other material terms must be approved by BASH and the contracting client. The client's event planner or other representative may communicate logistical requests to BASH; however, such requests do not constitute amendments to this Agreement unless approved as provided above. HOLIDAY & HIGH-DEMAND DATESHoliday and high-demand dates may be subject to premium pricing, increased Beverage Minimums and/or minimum rental requirements. This includes Thanksgiving week, December holiday dates, New Year's Eve, New Year's Day and other peak-demand dates or dates requiring additional staffing or special scheduling. Applicable pricing will be provided before booking and incorporated into the event agreement. Advance Reservations & Pricing BASH accepts private event reservations up to 12 months in advance. Rental rates and beverage minimums are subject to periodic increases and may vary based on the event date. Published pricing does not guarantee rates for future dates. All reservations are subject to the rates quoted by BASH for the specific event date. Pricing is guaranteed only upon receipt of a signed agreement and full payment of the rental fee, applicable sales tax, and 20% service fee. Once confirmed, contracted rates will not increase for the reserved event date. Date changes are subject to availability and current pricing. CANCELLATION & RESCHEDULINGCANCELLATIONAll deposits are non-refundable. If an event is cancelled 31 days or more before the scheduled event date, the deposit will be forfeited and will not be refunded. Cancellations made 30 days or fewer before the scheduled event date are responsible for the full contracted Private Buyout Fee, contracted Beverage Minimum, applicable 20% service charge and sales tax, plus any approved custom décor, rentals, catering, vendor services or other non-refundable expenses incurred by BASH on the client's behalf. Any amounts previously paid will be credited toward the amount due. The client authorizes BASH to charge the remaining balance due under these cancellation terms to the credit card on file. RESCHEDULINGRequests to reschedule must be made at least 31 days before the scheduled event date and are subject to BASH availability. One reschedule is permitted, and the new event must take place within six months of the original event date. The deposit may be transferred one time to the new event. Requests made 30 days or fewer before the event date will be treated as a cancellation and subject to the cancellation terms above unless otherwise approved by BASH. If the new date carries a higher Private Buyout Fee, Beverage Minimum, holiday premium or other applicable pricing, the client is responsible for the pricing applicable to the new event date. BASH reserves the right to make exceptions to this policy at its sole discretion. CLIENT ACKNOWLEDGMENT & AUTHORIZATIONBy signing below, the client acknowledges that they have read, understand and agree to the terms of this BASH Private Buyout Agreement. The client specifically acknowledges and agrees that: The Beverage Minimum is a minimum spending requirement and is NOT an unlimited-drink or open-bar package. Every beverage served is individually charged at the applicable BASH menu price. The client is financially responsible for beverage purchases exceeding the contracted Beverage Minimum. The client's planner, vendors and guests do not have authority to modify this Agreement or override BASH venue or alcohol-service policies. Last call occurs 20 minutes before the contracted event end time. All guests must leave by the contracted event end time and no later than 1:30 AM. All vendors must leave no later than 2:00 AM. A late start or delay in the event timeline does not extend the contracted event period. The client authorizes BASH to charge the credit card on file for the final event balance and applicable charges authorized under this Agreement.
