PARTICIPANT AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY &INDEMNITY (Applies to all guests, volunteers, and event participants) IMPORTANT – READ CAREFULLY: THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS. BY SIGNING BELOW YOU ARE RELEASING FARMLAND ADVENTURES AND OTHERS FROM LIABILITY AND WAIVING YOUR RIGHT TO SUE. 1. DEFINITIONS a. “Released Parties” means Solpar, LLC, d/b/a Farmland Adventures; its members, managers, employees, volunteers, agents, lessors, landowners, and insurers. b. “Activities” means every attraction, service, or event offered on or off the premises, including but not limited to: corn maze, wagon/hay rides, petting zoo, pony rides, pumpkin patch, pedal karts, hay pyramid, campfires, concession or food-truck areas, parking areas, and any related use of grounds, animals, vehicles, or equipment. c. “Participant” means the adult signing below and any minor children or wards listed next to that adult’s signature. 2. PARTIES & CONSIDERATION In consideration of being permitted to enter the property known as Farmland Adventures (the “Premises”) and to take part in any Activities, I, the undersigned Participant, agree to the terms of this Agreement on behalf of myself and my heirs, personal representatives, and assigns. 3. ACKNOWLEDGMENT OF POSTED STATUTORY WARNINGS I acknowledge that conspicuous warning signs required by the Arkansas Agritourism Act (Ark. Code Ann. § 2-11-101 et seq.) and the Arkansas Equine-Activity Immunity Statute (Ark. Code Ann. § 16-120-201 et seq.) are posted at each public entrance and at equine activity areas, and that I have read and understand those warnings before participating. 4. DESCRIPTION OF COVERED ACTIVITIES Activities include, without limitation: all attractions, services, equipment, and locations—present or future—on or off the Premises, including, but not limited to, any agritourism, recreational, educational, equine, or livestock activity, whether specifically listed here or later introduced. 5. ACKNOWLEDGMENT & ASSUMPTION OF INHERENT RISKS I acknowledge that the Activities involve inherent risks that are obvious, necessary, or integral to agritourism and equine attractions, including—but not limited to—uneven terrain; slips, trips, and falls; contact with animals that may bite, kick, scratch, or transmit zoonotic disease; allergic reactions; collisions with karts or wagons; falling from haystacks or ponies; fire and smoke exposure; inclement weather; and acts or omissions of other participants. I VOLUNTARILY ASSUME ALL SUCH RISKS, both known and unknown, even those arising from the negligence of the Released Parties defined below, except gross negligence or willful misconduct not otherwise protected by Arkansas law. 6. RELEASE & WAIVER OF LIABILITY To the fullest extent permitted by Arkansas law, I RELEASE, WAIVE, AND FOREVER DISCHARGE Solpar, LLC; its owners, lessors, land-holding affiliates, members, managers, employees, agents, volunteers, insurers, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, causes of action, or liability for personal injury, death, illness, or property damage arising out of or related to the Activities— INCLUDING CLAIMS SOUNDING IN ORDINARY NEGLIGENCE—except to the extent such liability is not lawfully subject to waiver. 7. INDEMNIFICATION & HOLD-HARMLESS I agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS the Released Parties from and against any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) asserted by me or any third party that arises out of my participation in the Activities or presence on the Premises. 8. PERSONAL-PROPERTY DISCLAIMER I understand and agree that my admission to the Premises does not create any bailment, safekeeping, or custodial relationship with Farmland Adventures or the other Released Parties. Accordingly, the Released Parties shall have no responsibility whatsoever—whether in contract, tort, or bailment—for the loss, theft, misplacement, mysterious disappearance, or damage (including fire, water, and vandalism damage) to any cash, electronic device, jewelry, vehicle, trailer, or other personal property that I, my family, or my invitees bring onto the Premises or leave in a parking area. I accept sole responsibility for safeguarding, locking, and insuring my belongings and acknowledge that any unattended items may be discarded if deemed abandoned. 9. FORCE-MAJEURE, WEATHER CLOSURE & NO-REFUND POLICY I acknowledge that agritourism is an outdoor, weather-dependent business and agree that Farmland Adventures may, in its sole discretion and without liability, shorten hours, close individual attractions, or suspend all operations due to lightning, high winds, excessive heat, flooding, pandemic conditions, governmental orders, labor shortages, power outages, or any event that is beyond its reasonable control. If an interruption occurs, Farmland Adventures will, when feasible, offer to reschedule my ticket for another available date in the same season or issue a comparable rain-check; however, no cash refund or consequential-damage payment will be made. 10. PROHIBITED ITEMS & SUBSTANCE POLICY For the safety and comfort of all guests, I agree not to bring onto the Premises any openly carried firearm (a handgun carried pursuant to a valid Arkansas concealed-carry permit is permitted provided it remains fully concealed, securely holstered, and under the carrier’s sole control at all times; unsafe handling or brandishing will result in immediate ejection without refund), ammunition, explosive, firework, knife with a blade longer than 3 inches, illegal drug, outside alcoholic beverage, vape device containing THC, drone, commercial photography equipment, laser pointer, or sound-amplification device. Farmland Adventures reserves the right to conduct reasonable bag or vehicle inspections, to confiscate any prohibited item (which may be surrendered to law enforcement or destroyed), and to eject or refuse entry to any person possessing such items, all without refund or liability. 11. GROUP-LEADER DUTY OF SUPERVISION Where I attend as a teacher, coach, chaperone, troop leader, youth-minister, or in any other supervisory capacity, I accept full and primary responsibility for monitoring the location, conduct, hydration, and safety-rule compliance of the minors or guests in my charge at all times while on the Premises, including during restroom breaks, meals, and gift-shop visits. I will maintain appropriate adult-to-child ratios, ensure at least one adult remains with the group until every child is accounted for at departure, and promptly report any injury or rule violation to staff. 12. FOOD-ALLERGY & CONCESSION DISCLAIMER I understand that concession stands, food-truck vendors, and guest picnic areas routinely handle or may be cross-contaminated by common allergens such as peanuts, tree nuts, milk, eggs, soy, wheat, fish, and shellfish. Farmland Adventures does not and cannot guarantee the Premises or any menu item to be allergen-free, gluten-free, or suitable for any specific dietary need. I am solely responsible for reviewing ingredient information, supplying and self-administering necessary medications (e.g., antihistamines or epinephrine auto-injectors), and supervising minors with food allergies. 13. PHOTO & MEDIA RELEASE As a condition of entry to the Premises and participation in the Activities, I irrevocably authorize Solpar, LLC—and its assigns, designees, and licensees—to photograph, film, or otherwise record my (and any accompanying minor’s) likeness, voice, and statements and to use, reproduce, publish, edit, adapt, and distribute those recordings worldwide, in any medium now known or later developed (print, digital, social, broadcast, or otherwise), for advertising, promotional, archival, or commercial purposes in perpetuity and without compensation. I expressly waive any right to inspect or approve the finished product, any accompanying text or context, and any claim to royalties or other remuneration arising from such use. 14. MEDICAL & EMERGENCY AUTHORIZATION If an accident, illness, or other medical emergency occurs and, in the judgment of Farmland Adventures’ management or on-site emergency responders, I require care, I authorize the Released Parties to arrange transport to, and treatment at, the nearest suitable medical facility and to exchange relevant health information with medical personnel. I agree to be solely responsible for all ambulance, hospital, physician, medication, and follow-up costs and certify that I carry— or understand the consequences of not carrying—adequate health-insurance coverage for myself and my dependents. 15. NOTICE-OF-CLAIM & LIMITATION PERIOD As a condition precedent to any legal action, I agree that within 180 days after any claim arises I will deliver written notice by certified mail to Solpar LLC d/b/a Farmland Adventures, 581 NE Douglas Cemetery Rd., Gentry, AR 72734, detailing the nature of the claim, the date and time of the occurrence, and the relief sought. If I fail to do so, the claim is forever barred. Furthermore, any lawsuit, arbitration, or other formal proceeding must be filed within one (1) year after the incident giving rise to the claim; filings outside that period are permanently time-barred, notwithstanding any statute of limitation that might otherwise apply. 16. RIGHT TO REFUSE OR REVOKE ACCESS I acknowledge that Farmland Adventures may, at any time and in its sole judgment, deny admission to, or immediately remove from the Premises, any person whose behavior it deems unsafe, disruptive, abusive, destructive, fraudulent, intoxicated, or non-compliant with posted or verbal rules. Such removal may be enforced by security personnel or local law enforcement. No refund, reschedule, or other remedy will be provided, and the removed individual may be banned from future entry. 17. DISPUTE RESOLUTION Before either party may initiate formal proceedings, they must first make a good-faith effort to settle any dispute arising under this Agreement through confidential mediation in Washington County, Arkansas before a mutually agreed mediator. If mediation does not resolve the matter, the controversy shall be submitted to final and binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the arbitrator’s award may be entered in any court of competent jurisdiction. If, for any reason, arbitration is deemed unenforceable, the parties knowingly and voluntarily waive the right to a jury trial for any claim connected to the Activities or this Agreement. 18. ATTORNEYS’ FEES AND COSTS In any mediation, arbitration, or court action arising out of or related to this Agreement, the prevailing party is entitled to recover from the non-prevailing party all reasonable attorneys’ fees, expert-witness fees, and litigation or arbitration costs incurred in enforcing or defending its rights. 19. ELECTRONIC-SIGNATURE & E-DELIVERY CONSENT Pursuant to the Arkansas Uniform Electronic Transactions Act (Ark. Code Ann. § 25-32-101 et seq.), I consent to the use of electronic signatures, electronic records, and electronic delivery of notices in connection with this Agreement and any future documents relating to Farmland Adventures. I agree that a printed or digitally stored copy of this electronically signed Agreement is admissible in any proceeding to the same extent as an original. 20. GOVERNING LAW, VENUE & SEVERABILITY This Agreement shall be governed exclusively by the laws of the State of Arkansas without regard to conflict-of-laws principles. Except for matters submitted to arbitration under § 17, I agree that all proceedings shall be brought and maintained solely in the state or federal courts located in Washington County, Arkansas, and I waive any objection to the inconvenient-forum doctrine. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. 21. ENTIRE AGREEMENT & MODIFICATION I acknowledge that this document, together with any incorporated addenda or separate written wd for one-click completion in DocuSign®, Adobe Sign®, or a similar platform. Typing your name in the “Electronic Signature” field constitutes your legally binding signature under the Arkansas Uniform Electronic Transactions Act and the federal E-SIGN Act.
