RELEASE, INDEMNITY AND WAIVER OF LIABILITY

This Release, Indemnity and Waiver of Liability ("Waiver") is made by ("Participant") in favor of Ninja Lair LLC, a Nevada limited liability company ("Ninja Lair").

WHEREAS, Ninja Lair operates the Ninja Lair gym (the "Gym") located at 4215 South Grand Canyon Drive, Suite 105, Las Vegas, Nevada 89147, and Participant desires to participate in the activities offered by Ninja Lair in the Gym (the "Activities").

In consideration for being provided the ability to participate in the Activities, the Participant (or his or her parents or guardians, as applicable) hereby agrees:

1. In order to participate in the Activities, the Participant agrees to the following voluntary assessment of risk:

I understand and acknowledge that the Activities I want to participate in may be dangerous and may involve the risk that I will sustain serious injury, temporary or permanent disability, death, and/or property damage. I understand that the Activities may not be supervised and that the Company does not provide medical services. I further acknowledge that any injury I may sustain while participating in the Activities may be compounded by negligent or delayed medical service or negligent or delayed assistance by the Company. I VOLUNTARILY AND FREELY ASSUME ALL RISKS AND DANGERS THAT MAY OCCUR BY MY USE OF THE GYM AND PARTICIPATION IN ACTIVITIES IN THE GYM, INCLUDING THE RISK OF INJURY, DEATH, OR PROPERTY DAMAGE, EVEN IF CAUSED BY NEGLIGENCE OF NINJA LAIR.



2. In consideration for Ninja Lair’s authorization to allow Participant to participate in the Activities, the sufficiency of which is hereby acknowledged, Participant hereby agrees to release, indemnify, defend, and hold harmless Ninja Lair, its members, managers, officers, employees, representatives, successors and assigns (the "Indemnified Parties") from any and all claims, liability, rights, actions, suits and demands, including any claim of negligence by the Indemnified Parties, whether in law or in equity, for any direct, indirect and consequential loss, damage, fine, action, claim for injury or death to persons, including Participant, and damage to property, that Participant may have now or later, known or unknown, against the Indemnified Parties arising out of or relating to Ninja Lair’s authorization for Participant to participate in the Activities in the Gym.

I acknowledge I have read and understand this provision.


I UNDERSTAND THAT IF RULES ARE NOT FOLLOWED PARTIPANT WILL BE ASKED TO LEAVE WITHOUT REFUND.

I UNDERSTAND THIS WAIVER CONTAINS A RELEASE, INDEMNITY AND HOLD HARMLESS WAIVER.
