WAIVER, RELEASE, AND INDEMNIFICATION AGREEMENT

KUBE SPORTS COMPLEX LLC, ICE KUBE LLC, 
UP 4 ONE LOUNGE LLC

I am entering into this Waiver, Release, and Indemnification Agreement (the "Agreement") on behalf of myself, my spouse (if any), and the minor child or children who accompany me or who observe or participate in any Activities (as defined below) (each such child hereinafter referred to as "Child"). 

In the signature block below, I agree to identify the name of each Child, and I am entering into this Agreement as the parent or guardian of each Child. I understand that in the remainder of this Agreement the words "we," "us," and "our" shall refer to me, my spouse, and each Child, both individually and as a group.

We are entering into this Agreement in exchange for being allowed to enter upon the property and to use the building and facilities of Kube Sports Complex LLC (and its affiliates Ice Kube LLC and UP 4 One Lounge LLC) (collectively, the "Owner") at the Kube Sports Complex in Hammond, Indiana (the "Facility"). One or more of us will be observing or participating in recreational activities, including, but not limited to, ice hockey, ice skating, classes and training related to ice hockey and ice skating, and the consumption of food and beverages, and other activities offered by Owner's tenant(s) as discussed in Section 8 below (the "Activities"). 

I further agree to the following:

1. Voluntary Choice. We have voluntarily chosen to participate in the Activities.

2. Assumption of Risks. We understand and agree that the Activities involve risks, including, but not limited to, risks such as falling, slipping, crashing (including crashing into the boards and other participants), loud noises, malfunctioning equipment, being hit by hockey pucks, sticks, and the blades of ice skates, and physical exertion that we may not be accustomed to. We also understand that the Activities involve conditions that may be hidden or not readily apparent to the eye, including, but not limited to, defects or imperfections in or on the ice or boards, wet and slippery areas in the stands, stairs, and other areas outside the ice rink, and equipment or clothing not properly stored in lockers or other areas in the Facility. We acknowledge that such risks can result in serious injury or even death. We assume all risks related to the Activities.

We also understand and agree that through the Activities we may be exposed to contagious or infectious viruses, bacteria, or other diseases. We voluntarily assume the risks of such exposure and infection.

We represent that we are medically, physically, and psychologically fit and able to engage in the Activities. We accept personal responsibility for any injury, liability, loss, or damage related to the Activities.

We agree that Owner may permit us, including Child, to engage in any activity offered by Owner. We assume sole responsibility for preventing ourselves and Child from engaging in any activity in which we do not want to participate or in which we do not want Child to participate.

3. Protective Equipment. We agree that we have sole responsibility for ensuring that we, including Child, are wearing, at all times, all required or prudent protective equipment, including, but not limited to, a helmet that meets the USA Hockey or U.S. Figure Skating requirements. 

4. Compliance with Rules; Expulsion from Facility. We understand that the Facility is privately owned, and we agree that we must abide by Owner's rules and regulations, including the lawful verbal directions of Owner's staff. We agree that if we do not comply with any such requirements, rules, regulations, or directions, or if we behave in any way that is disrespectful to others or interferes with their pleasurable use of the Facility, Owner may (a) order us to stop participating in any of the Activities, or (b) expel us from the Facility either temporarily or permanently.

5. Waiver, Release, and Discharge; Covenant Not to Sue. We waive, release, and discharge all legal actions and claims against Owner and its affiliates, directors, members, officers, employees, insurers, successors and assigns, and agents, both in their individual and official capacities (collectively, the "ReleasedParties"). We alsocovenantnottosue the Released Parties. And we understand and agree that the waiver, release, discharge, and covenant not to sue applies to all legal actions and claims against the Released Parties for any and all liability, injury (including, without limitation, physical, mental, and emotional injury), loss, cost, expense, or damage to any of us or our property that is in any way related to, or that in any way arises out of, our observation of or participation in the Activities, other use of the Facility, or travel to, from, upon, or within the Facility—we understand and agree that this includes all legal actions and claims that Child might assert once Child attains the age of majority (collectively, the "ReleasedClaims").

6. Indemnification. We agree to indemnify, hold harmless, and defend Owner and the other Released Parties from any and all liability, loss, cost, expense, or damage, including, without limitation, attorneys' fees, related to the Released Claims. We further agree that this obligation to indemnify, hold harmless, and defend Owner and the other Released Parties applies to all legal actions and claims involving Owner's or another Release Party's own negligence, including their sole negligence.

7. Binding on Relatives and Heirs. This Agreement—including, without limitation, the waiver, release, and discharge of claims, covenant not to sue, and indemnification— shall be binding on our relatives, heirs, personal representatives, beneficiaries, next of kin, assigns, subrogees, any other person acting on our behalf or on behalf of our estate(s), and anyone else who might pursue any legal action or claim against the Released Parties.

8. Tenant(s); Agreement Equally Applicable. We understand that Owner leases or may lease part of the Facility to one or more tenants who offer or may offer Activities through businesses that are separate from and not controlled by Owner. For avoidance of all doubt, we understand and agree that all provisions of this Agreement apply with equal force to all Activities we engage in that are made available by a tenant.

9. Governing Law; Scope; Jurisdiction & Venue. We agree that this Agreement shall be governed by the laws of the State of Indiana, and that its scope is intended to be as broad as permitted by Indiana law. We also agree that venue for any dispute arising under this Agreement shall be the State Courts in Lake County, Indiana or the United States District Court for the Northern District of Indiana, Hammond Division; and we consent to the jurisdiction of those courts.

10. If any portion of this Agreement is deemed to be invalid, the remaining terms and conditions shall continue in full force and effect.

11. BY SIGNING THIS WAIVER, RELEASE, AND INDEMNIFICATION AGREEMENT, I HEREBY AFFIRM THAT I AM OVER THE AGE OF 18, HAVE READ THIS ENTIRE AGREEMENT, THAT I UNDERSTAND ITS TERMS, CONDITIONS, AND OBLIGATIONS, INCLUDING THAT IT AFFECTS OUR LEGAL RIGHTS, AND THAT IT IS A BINDING AGREEMENT. I AM SIGNING THIS AGREEMENT KNOWINGLY AND VOLUNTARILY.

Photo/Video/Media Release

I hereby grant permission to Kube Sports Complex LLC, its affiliates, and their respective partners, officers, employees, agents, representatives, successors, licensees, and assigns (all collectively referred to as "Kube"), to photograph or record my image, likeness, or depiction and those of my minor children who accompany me or who observe or participate in any Activities (as defined in the Waiver Agreement). I hereby grant permission to Kube to edit, crop, or retouch such photographs and recordings, and waive any right to inspect any such photographs or recordings. I hereby consent to and permit photographs or recordings of me and those of my minor children to be used by Kube worldwide for any lawful purpose, including promotional and advertisement purposes, and in any medium, including print and electronic media. I understand that Kube may use such photographs and recordings with or without associating names thereto. I further waive any claim for compensation of any kind for Kube's use or publication of photographs and recordings of me and those of my minor children.

For myself and on behalf of my minor children, I hereby fully and forever waive, release, and discharge all legal actions andclaims against Kube for any claim for damages of any kind, including, but not limited to, invasion of privacy, defamation, false light, and misappropriation of name, likeness, image, and right of publicity, arising out of the use or publication of photographs and recordings of me and those of my minor children by Kube. I covenant and agree for myself and on behalf of my minor children not to sue or otherwise initiate legal proceedings against Kube for such use or publication. All grants of permission and consent, and all covenants, agreements, and understandings contained herein are irrevocable.

I acknowledge and represent that I am over the age of 18, have read this entire document, that I understand its terms and provisions, and that I have signed it knowingly and voluntarily on behalf of myself and my minor children.
