READ THIS CAREFULLY BEFORE SIGNING.

YOUR SIGNATURE AS THE USER, PARTICIPANT INDICATES YOUR COMPLETE AND FULL UNDERSTANDING OF AND AGREEMENT TO THESE TERMS. ACCESS TO THE PROPERTY IS STRICTLY PROHIBITED WITHOUT THE EXECUTION AND CONFIRMATION OF THIS WAIVER. ANY INDIVIDUAL WHO ENTERS OR USES THE PROPERTY WITHOUT HAVING FIRST PROPERLY EXECUTED THIS WAIVER AND RECEIVED CONFIRMATION OF ACCEPTANCE IS TRESPASSING AND MAY BE SUBJECT TO PROSECUTION UNDER COLORADO LAW.

Definitions

Owner: Royal Gorge Ranch & Resort, LLC, a limited liability company, and its affiliates, officers, directors, managers, employees, agents, shareholders, members, successors, and assigns.

Property: The real property located at 1303 County Road 3A / 1 Buckskin Joe Parkway, Cañon City, CO 81212, including all land, trails, access routes, facilities, and structures owned or controlled by the Owner.

Activity/Activities: All permitted recreational activities as listed in the Schedule of Permitted and Prohibited Activities (Exhibit A).

Releasees: The Owner and all associated entities or corporations, including but not limited to Ajet, Royal Gorge Rafting, Royal Gorge Zipline Tours, Royal Gorge Vacation Rentals, White Water Bar & Grill, Royal Gorge Land Ventures, 302 LLC, and their respective officers, directors, managers, employees, agents, shareholders, members, affiliates, successors, and assigns.


Consideration

Permission to access and use the Property, including participation in any event, is granted solely in exchange for the execution of this waiver and agreement. No access to or use of the Property, nor participation in any event, is permitted without a fully executed and confirmed waiver. Any individual who enters or uses the Property or participates in any event without such permission is trespassing and may be subject to prosecution under Colorado law.

Term

This waiver and the permission granted hereunder are valid for a period of one (1) year from the date of signature. After this period, a new waiver must be executed prior to any further access to the Property.

Execution and Confirmation

I understand and agree that this Release must be fully executed and submitted to the Owner and that I must receive electronic notification and execute confirmation by confirming my E-Signature on the Royal Gorge Ranch & Resort Release Waiver via my email before I access the Royal Gorge Ranch & Resort Property.

1. Purpose

I understand and agree that the Owner is permitting me to access the Property for the sole purpose of hiking, biking, mountain biking, accessing events, participating in events, disc golfing, sightseeing, and interest in investing in property or to access Cañon City trails and property via Royal Gorge Ranch & Resort (the “Activity”), which Activity I acknowledge is a “recreational purpose” as defined in C.R.S. § 33-41-102. I will not be permitted to enter upon the Property unless this Release is executed. I understand that I am not permitted to access, and am expressly prohibited from accessing, any portion of the Property other than the designated Royal Gorge Ranch & Resort access via historical trail routes or via roadways, and I further understand that I am expressly prohibited from using the Property for any purpose other than those Activities listed, including participation in any event. Permission to access and use the Property, including participation in any event, is granted solely in exchange for the execution of this waiver and agreement. Any entry onto the Property or participation in any event without such permission constitutes trespass.

2. Prohibited Activities

I understand and agree that any activity other than the Activity is strictly prohibited, including but not limited to the use of motorized vehicles (not including Class 1 e-bikes), motorized equipment, and any other form of mechanical or gas wheeled transport (unless on vehicle roadways); camping and overnight stays; the operation of any drone; and hunting. Furthermore, campfires, smoking, any fire of any kind, littering, vandalism, and removal of any property (other than your own personal belongings) from the Property, including but not limited to historic artifacts, naturally occurring objects, rocks, plants, and mining equipment, are all strictly prohibited. FIREARMS ARE STRICTLY PROHIBITED. YOU MAY NOT BRING FIREARMS ONTO THE PROPERTY.


3. Assumption of Risk

a. I understand and acknowledge that the Property, as is, has no warranty or implied safety to any developed areas, whether trails, features, or highlights, and that any existing structure is assumed undeveloped and unmaintained in wild mountainous terrain. Numerous natural and/or unknown dangers and potential risks of injury may and do exist on the Property, including but not limited to: dangerous ground conditions; uneven and/or unstable surface grades; variations in steepness, surface conditions, and consistency of terrain, such as forest growth, rocks, stumps, waterways, streambeds, cliffs, extreme terrain, and trees; unpredictable and dangerous weather conditions; detrimental or dangerous effects of altitude; difficult mountainous terrain and trail terrain; unmarked and unmaintained access routes and difficult route-finding; mining or agricultural activities, structures, remnants, equipment, or operations; potential for dangerous rock slides, snow slides, avalanches, and falling timber; potential forest fires and other dangerous natural occurrences; unpredictable, unsafe, or dangerous animals, including but not limited to mountain lions, bears, moose, coyotes, elk, deer, bighorn sheep, skunks, spiders, and venomous snakes; unpredictable behavior of other persons on the Property; difficult road and trail conditions; contact with moving, falling, or flying objects; the failure or misuse of equipment, gear, objects, or devices of any kind; dangers associated with lack of cell and/or radio service; and dangers associated with the remoteness of Royal Gorge Ranch & Resort, including, without limitation, the inability to receive prompt medical attention, rescue, or evacuation.

b. I AM AWARE AND UNDERSTAND THAT THE ACTIVITY IS A POTENTIALLY DANGEROUS ACTIVITY AND INVOLVES THE RISK OF PERSONAL OR PSYCHOLOGICAL INJURY, PAIN, SUFFERING, TEMPORARY OR PERMANENT DISABILITY, DEATH, PROPERTY DAMAGE, AND/OR FINANCIAL LOSS. I acknowledge that the Activity, and any of the risks associated with the Activity, may result in loud noises, partial or total loss of eyesight or hearing, contact with harmful materials, being struck by flying or falling objects, being struck by flying or falling humans, altitude sickness or other detrimental effects associated with altitude, concussions, overexertion, injuries from my lack of fitness or conditioning, emotional trauma, paralysis, seizures, heart attacks, muscle strains, muscle pulls, muscle tears, fractures, broken bones, overheating, heat exhaustion, injuries to knees, back, head, legs or arms, other bodily injury or death, damage to property, and other unknown or unanticipated risks.

I ACKNOWLEDGE AND UNDERSTAND THAT ANY INJURIES THAT I SUSTAIN MAY RESULT FROM OR BE COMPOUNDED BY THE ACTIONS, OMISSIONS, OR NEGLIGENCE OF THE OWNER, OF ROYAL GORGE RANCH & RESORT, AND OF THIRD PARTIES.

c. NOTWITHSTANDING THE RISK, I ACKNOWLEDGE THAT I AM KNOWINGLY AND VOLUNTARILY PARTICIPATING IN THE ACTIVITY WITH AN EXPRESS UNDERSTANDING OF THE DANGER INVOLVED, I REPRESENT THAT I AM QUALIFIED AND PROPERLY EQUIPPED TO PARTICIPATE IN THE ACTIVITY, AND I HEREBY AGREE AND ASSUME ANY AND ALL RISKS OF INJURY, DISABILITY, DEATH, AND/OR PROPERTY DAMAGE ARISING FROM MY PARTICIPATION IN THE ACTIVITY, WHETHER CAUSED BY THE NEGLIGENCE OF THE OWNER, ROYAL GORGE RANCH & RESORT OR OTHERWISE.

4. Safety Protocols and Required Equipment

I agree to abide by all safety protocols established by the Owner, event organizers, and applicable industry standards, and to use all required safety equipment appropriate for my chosen Activity. This includes, but is not limited to, at a minimum, wearing helmets while biking, using appropriate protective gear for mountain biking, and carrying a first aid kit when relevant. I acknowledge that failure to comply with safety requirements may result in the immediate revocation of my access privileges at the sole discretion of the Owner. I further understand that safety protocols and equipment requirements may be updated at any time, and I am responsible for staying informed of and complying with all current requirements.

5. Waiver and Release

I hereby expressly waive and release, for myself and on behalf of my personal representatives, heirs, next-of-kin, spouse, and assigns, any and all claims, now known or hereafter known, against the Owner of Royal Gorge Ranch & Resort, and any associated entities or corporations, including but not limited to Ajet, Royal Gorge Rafting, Royal Gorge Zipline Tours, Royal Gorge Vacation Rentals, White Water Bar & Grill, Royal Gorge Land Ventures, 302 LLC, and their respective officers, directors, managers, employees, agents, shareholders, members, affiliates, successors, and assigns (collectively, the “Releasees”), on account of injury, disability, death, property damage, or financial loss arising out of, relating to, or attributable to my participation in the Activity and my access to, use of, and presence on the Property, whether arising out of the ordinary negligence of the Owner, Royal Gorge Ranch & Resort or any other Releasees or otherwise. I covenant, for myself and on behalf of my personal representatives, heirs, next-of-kin, spouse, and assigns, not to make or bring any such claim against the Owner, Royal Gorge Ranch & Resort or any other Releasees and hereby forever release and discharge the Owner, Royal Gorge Ranch & Resort and all other Releasees from liability under such claims.

6. Indemnification

I shall defend, indemnify, and hold harmless the Owner, Royal Gorge Ranch & Resort and all other Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including legal fees, the costs of enforcing any right to indemnification under this Release, and the cost of pursuing any insurance providers, incurred by or awarded against the Owner, Royal Gorge Ranch & Resort or any other Releasees arising out of or resulting from any claim related to my participation in the Activity or my access to the Property, including any claim related to my own negligence or the negligence of the Owner, Royal Gorge Ranch & Resort, or any Releasees. This section shall survive any termination or expiration of this Release.

7. Covenants

I the participant, user agree to abide by and follow all rules established by the Owner or Royal Gorge Ranch & Resort with regard to the Activity and to my presence on the Property.

8. Medical Care

I acknowledge and understand that the Owner and Royal Gorge Ranch & Resort are not able to provide medical advice or medical care, and that the Owner and Royal Gorge Ranch & Resort assume no responsibility for providing medical care during my presence on the Property. I will arrange and pay for any medical care and/or evacuation I might require.

9. Competence and Age

I certify that I am at least 18 years of age and legally competent to sign this waiver. If I am under 18 years of age, my parent or legal guardian must complete and sign the separate minor waiver section.

10. Schedule of Permitted and Prohibited Activities (Exhibit A)

Permitted Activities:

• Hiking

• Biking (including Class 1 e-bikes)

• Mountain biking

• Accessing events

• Disc golfing

• Climbing

• Via Ferrata 

• Slack-line

• Sightseeing

• Exploring with the intent to invest in property

• Accessing Cañon City trails and property via Royal Gorge Ranch & Resort

Prohibited Activities:

• Use of motorized vehicles (except Class 1 e-bikes and vehicles on designated roadways)

• Use of gas-powered or unauthorized mechanical wheeled transport

• Camping and overnight stays

• Operation of drones

• Hunting

• Campfires, smoking, or any open flames

• Littering, vandalism, or removal of any property (except personal belongings)

• Removal of historic artifacts, rocks, plants, or mining equipment

• Bringing firearms onto the Property

11. Miscellaneous

This Release constitutes the sole and entire agreement of the Owner, Royal Gorge Ranch & Resort, and participant or user with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Release is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceabity shall not affect any other term or provision of this Release or invalidate or render unenforceable such term or provision in any other jurisdiction. I understand and agree that this release is binding upon me, my spouse, my heirs, my personal representatives, my assigns, my children and guardian ad litem for said children. All matters arising out of or relating to this Release shall be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule (whether of the State of Colorado or any other jurisdiction). Any claim or cause of action arising under this Release may be brought only in the state courts located in Fremont County, Colorado, or the federal district court for the State of Colorado, and I hereby consent to the exclusive jurisdiction of such courts. This section shall survive any termination or expiration of this Release.

BY SIGNING, I ACKNOWLEDGE AND CONFIRM THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE OWNER AND ROYAL GORGE RANCH & RESORT AND ANY RELEASEE. I ACKNOWLEDGE THAT PRIOR TO SIGNING THIS AGREEMENT, I HAD THE OPPORTUNITY TO CONSULT WITH AN ATTORNEY TO REVIEW THIS AGREEMENT.
