PARTICIPANT AGREEMENT 

ASSUMPTION OF RISK, RELEASE OF LIABILITY, INDEMNIFICATION AGREEMENT, AND OPTIONAL MEDIA RELEASE 

PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS. BY SIGNING THIS AGREEMENT, YOU ARE AGREEING TO RELEASE CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO BRING CERTAIN CLAIMS AGAINST GRANDMA'S PLAYROOM AND THE OTHER RELEASED PARTIES IDENTIFIED BELOW.

This Participant Agreement, Assumption of Risk, Release of Liability, Indemnification Agreement, and Optional Media Release ("Agreement") is entered into by the undersigned Responsible Adult in consideration for being permitted to enter upon, remain upon, or participate in any activities conducted at Grandma's Playroom. 

The Responsible Adult desires to participate personally, and/or permit one or more minor children under his or her care or supervision, to participate in recreational, educational, social, and entertainment activities offered by Grandma's Playroom. 

The Responsible Adult acknowledges that participation is entirely voluntary and that Grandma's Playroom would not permit entry or participation without execution of this Agreement. 

Accordingly, the Responsible Adult knowingly and voluntarily agrees to the following terms and conditions. 

1. DEFINITIONS 

For purposes of this Agreement, the following terms shall have the meanings set forth below. 

a. Grandma's Playroom. "Grandma's Playroom" means Grandma's Playroom, LLC (or the applicable legal entity operating the Facility), together with its owners, members, managers, officers, directors, employees, agents, volunteers, successors, assigns, insurers, and affiliated entities. 

b. Facility. "Facility" means the indoor playground and all associated premises operated by Grandma's Playroom, including but not limited to the play structures, toddler areas, climbing equipment, party rooms, classrooms, sensory areas, seating areas, waiting areas, restrooms, parking lots, sidewalks, entrances and exits, outdoor areas, common areas, and any temporary or off-site locations where Grandma's Playroom conducts Activities. 

c. Activities. "Activities" includes every activity occurring at or sponsored by Grandma's Playroom, including but not limited to open play, birthday parties, private parties, school groups, daycare visits, field trips, camps, educational classes, seasonal events, vendor markets, holiday events, sensory play, arts and crafts, music activities, fitness activities, character appearances, entertainment, photography sessions, special events, and all other recreational or social activities conducted at or through Grandma's Playroom. 

d. Responsible Adult. "Responsible Adult" means the individual signing this Agreement. The Responsible Adult represents and warrants that he or she is the parent, legal guardian, grandparent, foster parent, babysitter, nanny, adult sibling, relative, family friend, teacher, coach, daycare provider, or other adult caregiver who has authority to supervise the participating child(ren) and execute this Agreement. The Responsible Adult further represents that he or she possesses sufficient legal authority or permission from the child's parent or legal guardian to permit participation in the Activities and to execute this Agreement on behalf of each participating child. Grandma's Playroom expressly relies upon these representations in allowing participation. 

e. Participating Child. "Participating Child" means every minor child listed on this Agreement, accompanying the Responsible Adult during the visit, participating in Activities under the Responsible Adult's supervision, or otherwise entering the Facility under the Responsible Adult's care. 

f. Released Parties. The term "Released Parties" shall be interpreted broadly and includes, without limitation Grandma's Playroom, together with its owners, members, managers, officers, directors, employees, volunteers, agents, independent contractors, vendors, landlords, property owners, successors, assigns, and any other person or entity acting on behalf of Grandma's Playroom in connection with the operation of the Facility or the Activities. 

2. AUTHORITY TO EXECUTE THIS AGREEMENT 

The Responsible Adult represents and warrants that: 

1. He or she is at least eighteen (18) years of age.

2. He or she has legal capacity to enter into this Agreement.

3. He or she has authority to supervise every Participating Child.

4. If the Responsible Adult is not the parent or legal guardian, he or she has been authorized by the child's parent or legal guardian to permit participation in the Activities and to execute this Agreement.

5. The Responsible Adult understands that Grandma's Playroom is relying upon these representations in allowing admission.

6. The Responsible Adult agrees to indemnify and hold harmless the Released Parties from any claim arising from any false or inaccurate representation regarding his or her authority to execute this Agreement. 

3. PERSONS COVERED BY THIS AGREEMENT 

Unless otherwise expressly stated in writing, this Agreement applies to: 

  • the Responsible Adult;
  • every Participating Child;
  • every guest accompanying the Responsible Adult;
  • every individual entering the Facility under the Responsible Adult's supervision;
  • every birthday party guest under the Responsible Adult's supervision;
  • and every individual listed on any reservation associated with the Responsible Adult. 
  • The Responsible Adult accepts full responsibility for every Participating Child and guest under his or her supervision while present at the Facility. 

4. CONDITION OF ENTRY 

Execution of this Agreement is an express condition of entry into the Facility. 

Grandma's Playroom reserves the right to refuse admission to any individual who declines to execute this Agreement or who refuses to comply with the Facility's posted rules, policies, or employee instructions. 

Execution of this Agreement does not guarantee admission to the Facility. Grandma's Playroom reserves the right to deny admission or remove any individual whose presence is determined, in Grandma's Playroom's sole discretion, to pose a safety risk, interfere with the enjoyment of other guests, damage property, violate Facility rules, or otherwise disrupt operations. 

Admission to the Facility is a revocable license only and may be revoked at any time. 

5. ACKNOWLEDGMENT OF THE NATURE OF THE ACTIVITIES 

The Responsible Adult acknowledges that the Activities offered by Grandma's Playroom are intended to provide children and families with opportunities for recreation, exercise, learning, exploration, and social interaction through active play. The Responsible Adult understands that many Activities involve physical movement, climbing, crawling, running, jumping, balancing, sliding, interaction with play equipment, and interaction with other children and adults. Because of the nature of these Activities, participants may encounter conditions or situations that involve risks of injury despite reasonable care in the design, maintenance, inspection, and operation of the Facility. The Responsible Adult further understands that children of varying ages, sizes, developmental abilities, and physical capabilities may be participating in the Activities simultaneously. As a result, collisions, accidental contact, falls, and other incidents may occur even when all participants are acting appropriately. The Responsible Adult acknowledges that participation in the Activities is entirely voluntary and that he or she has had the opportunity to observe the Facility and determine whether participation is appropriate for each Participating Child. 

6. ASSUMPTION OF RISK 

The Responsible Adult knowingly, voluntarily, and expressly assumes all risks associated with entering the Facility or participating in any Activity, whether such risks are known or unknown, foreseeable or unforeseeable, ordinary or extraordinary. 

Without limiting the generality of the foregoing, the Responsible Adult acknowledges and assumes the risks associated with:

a. Physical Activity 

Participation in physical activities including running, climbing, crawling, jumping, balancing, sliding, playing, lifting, carrying, and interacting with play equipment. 

b. Falls and Collisions 

Slipping, tripping, falling, collisions with fixed objects, collisions with play equipment, collisions with other participants, collisions with staff members, or accidental contact with adults or children. 

c. Equipment and Toy Risks 

Use of playground equipment, toys, furniture, climbing structures, soft play equipment, rideon toys, sensory equipment, inflatable equipment, party equipment, tables, chairs, and other recreational items. The Responsible Adult understands that equipment is subject to repeated public use and that defects, wear, deterioration, detached components, loose hardware, broken pieces, or other hazardous conditions may arise despite routine inspections and maintenance. 

d. Choking Hazards 

Small toys, detached toy components, loose screws, bolts, fasteners, decorations, craft materials, food items, balloons, packaging materials, and other objects capable of creating choking hazards. The Responsible Adult acknowledges that Grandma's Playroom cannot guarantee that every small object will be immediately identified or removed. 

e. Other Participants 

The unpredictable actions of children or adults, including rough play, pushing, running, horseplay, failure to follow rules, inappropriate behavior, or accidental contact. 

f. Environmental Conditions 

Crowded conditions, changing lighting, noise levels, moving furniture, decorations, temporary displays, event equipment, cords, uneven walking surfaces, wet floors, cleaning activities, weather conditions affecting entrances or parking areas, and other environmental conditions. 

g. Illness 

Exposure to viruses, bacteria, fungi, allergens, communicable diseases, or other illnesses that may be transmitted by other participants or otherwise exist within public facilities. 

h. Serious Injury 

The possibility of serious bodily injury including cuts, scrapes, bruises, burns, sprains, strains, fractures, broken bones, dental injuries, eye injuries, concussions, traumatic brain injuries, paralysis, permanent disability, emotional distress, or death. 

The Responsible Adult acknowledges that the foregoing list is intended only as examples and is not exhaustive. 

7. RESPONSIBILITY FOR DETERMINING APPROPRIATENESS OF PARTICIPATION

The Responsible Adult acknowledges that Grandma's Playroom cannot determine whether participation is appropriate for every child. The Responsible Adult is solely responsible for determining whether each Participating Child possesses the physical, mental, emotional, developmental, and behavioral ability to safely participate in the Activities. The Responsible Adult further acknowledges that Grandma's Playroom has not made any representation that every Activity is appropriate for every participant. If the Responsible Adult has any concern regarding a Participating Child's health, developmental condition, physical limitations, allergies, behavioral needs, sensory needs, medical conditions, or other special circumstances, the Responsible Adult agrees to consult an appropriate healthcare professional before allowing participation. The Responsible Adult voluntarily accepts full responsibility for deciding whether participation is appropriate. 

8. RESPONSIBILITIES OF THE RESPONSIBLE ADULT 

The Responsible Adult agrees that he or she shall: 

a. Continuous Supervision 

Maintain direct supervision of each Participating Child at all times while present at the Facility unless the child is participating in a specifically designated supervised program offered by Grandma's Playroom. 

b. Compliance with Rules 

Ensure that every Participating Child complies with all posted rules, policies, age restrictions, height restrictions, employee instructions, and safety requirements. 

c. Monitoring Behavior 

Immediately intervene if a Participating Child engages in unsafe, reckless, abusive, aggressive, destructive, disruptive, or inappropriate conduct. 

d. Reporting Unsafe Conditions 

Promptly notify Grandma's Playroom staff of any observed unsafe condition, damaged equipment, detached toy component, loose hardware, spill, obstruction, or other potentially hazardous condition. 

e. Appropriate Attire 

Ensure that each Participating Child wears appropriate clothing and footwear required for participation and complies with all posted hygiene requirements. 

f. Health Screening 

Refrain from bringing any Participating Child to the Facility if the child is experiencing symptoms of a contagious illness, including fever, vomiting, diarrhea, or other symptoms reasonably suggesting that participation could endanger others. 

9. NO CHILDCARE SERVICES 

The Responsible Adult understands and acknowledges that Grandma's Playroom is an indoor recreational facility and is not licensed or operated as a daycare, childcare facility, babysitting service, or custodial care provider. Employees are present to facilitate operation of the Facility and are not responsible for supervising, monitoring, disciplining, or caring for children. The Responsible Adult retains sole responsibility for the supervision, conduct, safety, and wellbeing of each Participating Child while on the premises. No act or omission of any employee shall be construed as creating a duty to supervise any child. 

10. DUTY TO REPORT INJURIES AND UNSAFE CONDITIONS 

The Responsible Adult agrees to promptly notify Grandma's Playroom staff of any injury, illness, allergic reaction, damaged equipment, detached toy component, loose hardware, spill, obstruction, or other condition that may present a safety concern, regardless of whether immediate medical attention appears necessary. If a Participating Child or guest experiences any injury or illness while at the Facility, the Responsible Adult agrees to report the incident to a Grandma's Playroom employee before leaving the premises whenever reasonably practicable. The Responsible Adult acknowledges that prompt reporting allows Grandma's Playroom to: 

  • provide appropriate assistance;
  • evaluate whether emergency medical services are needed; 
  • inspect and secure the area involved;
  • preserve relevant information;
  • investigate the circumstances surrounding the incident; and
  • take corrective action, if appropriate, to promote the safety of future participants. 

Failure to report an incident shall not create liability on the part of Grandma's Playroom or otherwise alter the terms of this Agreement. 

11. NO DROP-OFF POLICY 

Unless expressly authorized in writing by Grandma's Playroom as part of a designated supervised program, children may not be left unattended at the Facility. 

The Responsible Adult agrees to remain readily available on the premises throughout the Participating Child's visit. 

If the Responsible Adult leaves the premises without authorization, Grandma's Playroom reserves the right to remove the Participating Child from participation, contact emergency contacts, or contact appropriate authorities if necessary to protect the safety and welfare of the child. 

12. RULES OF CONDUCT 

The Responsible Adult acknowledges that the purpose of Grandma's Playroom is to provide a safe, enjoyable, and welcoming environment for children and families. To promote the safety and enjoyment of all guests, the Responsible Adult agrees that he or she, each Participating Child, and all guests accompanying the Responsible Adult shall comply with this Agreement, all posted rules, and all reasonable instructions provided by Grandma's Playroom personnel. Without limitation, the Responsible Adult agrees that neither he or she nor any Participating Child or guest shall:

  • engage in rough, reckless, dangerous, or aggressive behavior;
  • intentionally push, strike, shove, trip, or otherwise interfere with another participant;
  • misuse, abuse, climb upon, or intentionally damage any equipment, furniture, fixtures, toys, decorations, or other property;
  • engage in conduct that presents an unreasonable risk of injury to any person;
  • use inappropriate, abusive, threatening, discriminatory, or offensive language or conduct;
  • interfere with the operation of the Facility or the duties of Grandma's Playroom staff; or
  • violate any posted rule or safety instruction.

Grandma's Playroom reserves the right, in its sole discretion, to deny admission to or remove any individual whose conduct is determined to be unsafe, disruptive, destructive, abusive, or otherwise inconsistent with the safe operation of the Facility. Removal from the Facility under this Section shall not entitle any person to a refund or credit. 

13. EQUIPMENT, TOYS, AND PLAY STRUCTURES

The Responsible Adult acknowledges that the toys, play structures, climbing equipment, furniture, sensory equipment, inflatables, party equipment, and other recreational items located within the Facility are subject to repeated public use by numerous participants of varying ages and abilities. Although Grandma's Playroom endeavors to inspect, maintain, clean, and repair its equipment on a regular basis, the Responsible Adult understands and acknowledges that equipment may become worn, damaged, defective, displaced, or otherwise unsafe between inspections. The Responsible Adult specifically acknowledges that detached toy components, loose hardware, screws, bolts, fasteners, decorations, craft supplies, or other small objects may create choking hazards or other risks of injury. The Responsible Adult agrees to exercise reasonable care in supervising each Participating Child, to observe the condition of equipment prior to use, and to immediately notify Grandma's Playroom personnel of any damaged equipment or unsafe condition. The Responsible Adult further acknowledges that Grandma's Playroom cannot guarantee that every hazard will be immediately identified or eliminated. 

14. OUTSIDE FOOD, BEVERAGES, AND ALLERGIES 

Grandma's Playroom permits guests to bring outside food and beverages into designated areas of the Facility. The Responsible Adult acknowledges that Grandma's Playroom does not prepare, inspect, monitor, test, verify, or control any outside food or beverage brought onto the premises by guests or third parties. The Responsible Adult understands that foods containing peanuts, tree nuts, dairy products, eggs, soy, wheat, gluten, shellfish, sesame, and other allergens may be present within the Facility. Grandma's Playroom does not represent that the Facility is free from allergens or cross-contamination and cannot eliminate the risk of exposure to food allergens. The Responsible Adult accepts sole responsibility for determining whether any food consumed by a Participating Child is appropriate and assumes all risks associated with food allergies, allergic reactions, foodborne illness, choking, contamination, or any other injury or illness arising from food or beverages consumed at the Facility. 

15. THIRD-PARTY VENDORS, ENTERTAINERS, AND SERVICES 

From time to time, Grandma's Playroom may permit third parties to provide goods or services at the Facility, including but not limited to photographers, entertainers, instructors, caterers, balloon artists, face painters, musicians, educational presenters, food vendors, retail vendors, and other independent contractors. Unless expressly stated otherwise in writing, such individuals and entities are independent contractors and are not employees of Grandma's Playroom. Grandma's Playroom does not warrant, supervise, or guarantee the products or services provided by independent vendors and shall not be responsible for the acts, omissions, products, services, representations, or conduct of any third-party vendor except as otherwise required by applicable law. Participation in activities provided by thirdparty vendors is voluntary and undertaken at the Responsible Adult's own risk. 

16. HEALTH, ILLNESS, AND HYGIENE 

The Responsible Adult agrees not to bring any Participating Child to the Facility if the child is experiencing symptoms of a contagious illness, including but not limited to fever, vomiting, diarrhea, unexplained rash, persistent cough, or other symptoms that may present a risk to other guests. The Responsible Adult acknowledges that Grandma's Playroom routinely cleans and sanitizes the Facility but cannot guarantee that the premises are free from viruses, bacteria, fungi, allergens, or other contaminants. The Responsible Adult voluntarily assumes the risk of exposure to communicable illnesses and understands that participation in public recreational activities necessarily involves interaction with other individuals whose health status may be unknown. The Responsible Adult further agrees to comply with all posted hygiene requirements, including any requirements regarding socks, footwear, or other health and safety policies established by Grandma's Playroom. 

17. ADA AND SPECIAL NEEDS ACKNOWLEDGMENT 

Grandma's Playroom welcomes children and families of all abilities. The Responsible Adult acknowledges that he or she is solely responsible for determining whether participation in any Activity is appropriate for each Participating Child based upon the child's age, physical condition, developmental level, behavioral needs, sensory needs, medical condition, and individual abilities. The Responsible Adult agrees to provide any additional supervision or assistance reasonably necessary for a Participating Child requiring such assistance during participation in the Activities. Nothing contained in this Agreement is intended to limit or waive any rights or obligations established under applicable federal, state, or local disability laws. 

18. MEDICAL AUTHORIZATION

In the event of an accident, illness, injury, or other medical emergency involving a Participating Child or the Responsible Adult, Grandma's Playroom may, but shall have no obligation to, contact emergency medical personnel or otherwise seek emergency medical assistance when, in its reasonable judgment, such action appears appropriate. The Responsible Adult authorizes Grandma's Playroom to obtain emergency medical treatment if the Responsible Adult cannot be immediately located and delay could reasonably jeopardize the health or safety of the affected individual. The Responsible Adult acknowledges that Grandma's Playroom is not providing medical services and assumes no responsibility for the quality, timing, or outcome of any medical care rendered by emergency responders or healthcare providers. The Responsible Adult agrees to be solely responsible for all medical expenses incurred as a result of any illness or injury. 

19. LOST, STOLEN, OR DAMAGED PROPERTY 

The Responsible Adult acknowledges that all personal property brought onto the premises is brought at the owner's sole risk. Grandma's Playroom shall not be responsible for the loss of, theft of, or damage to personal property, including but not limited to purses, wallets, cash, jewelry, cell phones, electronic devices, clothing, eyeglasses, strollers, diaper bags, toys, gifts, vehicles, or other personal belongings. The Responsible Adult is solely responsible for safeguarding his or her personal property and the personal property of each Participating Child and guest. 

20. DAMAGE TO FACILITY OR PROPERTY 

The Responsible Adult agrees to exercise reasonable care in using the Facility and supervising each Participating Child. The Responsible Adult shall be financially responsible for damage to the Facility or to the property of Grandma's Playroom caused by the intentional misconduct or negligent acts or omissions of the Responsible Adult, any Participating Child under his or her supervision, or any guest accompanying the Responsible Adult. Nothing contained herein shall be construed as limiting any other rights or remedies available to Grandma's Playroom under applicable law. 

21. RELEASE OF LIABILITY/ IMPORTANT LEGAL NOTICE 

THE FOLLOWING SECTIONS CONTAIN A RELEASE OF LIABILITY, INCLUDING A RELEASE OF CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES. PLEASE READ THEM CAREFULLY BEFORE SIGNING. 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RESPONSIBLE ADULT, FOR HIMSELF OR HERSELF AND, TO THE EXTENT PERMITTED BY LAW, ON BEHALF OF EACH PARTICIPATING CHILD, HEREBY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY RELEASES, WAIVES, DISCHARGES, AND FOREVER RELINQUISHES ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, LIABILITIES, COSTS, EXPENSES, OR RIGHTS OF RECOVERY OF ANY KIND AGAINST THE RELEASED PARTIES ARISING OUT OF OR RELATING IN ANY WAY TO ENTRY UPON THE FACILITY OR PARTICIPATION IN ANY ACTIVITIES.

Without limiting the foregoing, this release includes claims arising from or relating to bodily injury; personal injury; illness; allergic reactions; communicable diseases; emotional distress; mental anguish; property damage; economic loss; medical expenses; lost wages; permanent disability; wrongful death; and any other injury or damage of any kind, whether presently known or unknown, anticipated or unanticipated, and whether arising in contract, tort, statute, or otherwise. The Responsible Adult understands and agrees that this release is intended to be interpreted as broadly as permitted under Missouri law. 

22. EXPRESS RELEASE OF CLAIMS ARISING FROM ORDINARY NEGLIGENCE THE RESPONSIBLE ADULT EXPRESSLY ACKNOWLEDGES THAT THIS AGREEMENT IS INTENDED TO RELEASE CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES TO THE FULLEST EXTENT PERMITTED BY MISSOURI LAW.

The Responsible Adult understands that ordinary negligence includes the failure to exercise reasonable care and expressly agrees that this Agreement releases claims alleging ordinary negligence by any Released Party arising from or related to: operation of the Facility; maintenance of the premises; inspection of equipment; supervision of activities; selection or retention of employees; selection or retention of vendors; scheduling or operation of events; placement of equipment; condition of toys or play structures; crowd management; or any other act or omission constituting ordinary negligence. This Agreement does not release claims arising from: gross negligence; reckless or willful misconduct; intentional misconduct; or any claim that cannot legally be released under applicable law. The Responsible Adult specifically acknowledges that this provision has been separately presented in bold, capitalized language so that its significance is fully understood. 

23. WAIVER OF JURY TRIAL. 

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ACTIVITIES. 

24. INDEMNIFICATION AND HOLD HARMLESS 

The Responsible Adult agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, lawsuits, damages, judgments, liabilities, fines, penalties, settlements, costs, and expenses, including reasonable attorneys' fees and litigation expenses, arising out of or relating to: (a) the acts or omissions of the Responsible Adult; (b) the acts or omissions of any Participating Child; (c) the acts or omissions of any guest accompanying the Responsible Adult; (d) any breach of this Agreement; (e) any false representation regarding the Responsible Adult's authority to execute this Agreement; (f) damage to the Facility or property caused by the Responsible Adult, any Participating Child, or any guest; or (g) any claim asserted by or on behalf of another person arising out of the conduct of the Responsible Adult or any Participating Child. The obligations contained in this Section shall survive the completion of the Activities and the termination of this Agreement. 

25. PHOTOGRAPHY, VIDEO RECORDING, AND SECURITY CAMERAS

The Responsible Adult understands and acknowledges that Grandma's Playroom utilizes security cameras throughout portions of the Facility for safety, security, incident investigation, loss prevention, and operational purposes. The Responsible Adult consents to the recording of himself or herself and each Participating Child by such security systems while present at the Facility. Security camera recordings are the exclusive property of Grandma's Playroom and may be used for legitimate business purposes, including incident investigation, insurance claims, legal proceedings, and law enforcement requests, as permitted by law. 

26. GOVERNING LAW AND VENUE 

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles. Any action arising out of or relating to this Agreement or the Activities shall be brought exclusively in the state courts located in St. Louis County, Missouri, or, if federal jurisdiction exists, the United States District Court for the Eastern District of Missouri. The Responsible Adult consents to the personal jurisdiction of such courts and waives any objection based upon improper venue or forum non conveniens. 

27. SEVERABILITY 

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect to the fullest extent permitted by law. To the extent permissible, any invalid or unenforceable provision shall be modified and enforced so as to most closely effectuate the original intent of the parties. 

28. ENTIRE AGREEMENT 

This Agreement constitutes the entire agreement between the Responsible Adult and Grandma's Playroom concerning participation in the Activities and supersedes all prior oral or written representations, agreements, understandings, or communications relating to its subject matter. No amendment or modification of this Agreement shall be effective unless made in writing and signed by an authorized representative of Grandma's Playroom. No waiver of any provision of this Agreement shall be deemed a continuing waiver of any other provision. 

29. EFFECTIVE DATE AND DURATION

This Agreement shall become effective immediately upon execution. 

Annual Members and Prepaid Pass Holders. When the Responsible Adult purchases or maintains a membership, prepaid play pass, annual pass, punch card, recurring admission package, or other program designated by Grandma's Playroom, or open play, this Agreement shall remain effective for a period of one (1) year from the date of execution and shall apply to each visit by the Responsible Adult and the Participating Children identified herein during that period. 

Grandma's Playroom reserves the right to require execution of a new Agreement at any time.
